| STRATEGIC REPORT |
| for the financial year ended 31 December 2025 |
| The directors present their strategic report on the company for the financial year ended 31 December 2025. | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Review of the Company's Business | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Total turnover levels have increased by 8.6% from the previous financial year as a result of further expansion in the company's brand portfolio and product range accompanied by strong performance from existing key brands. Gross margin levels achieved of 13.6% have reduced from the previous financial year as a result of changes in the mix of product sales and also changes in the underlying market conditions. The directors confirm that while they are satisfied with the companys performance and its core business activities and product range, their intention is to continue to invest in the company's structures and management team to allow for further expansion both in its distribution footprint and brand portfolio within the United Kingdom market in future years. Profit before tax generated has also increased from the previous financial year, which is reflective of efficient controls in place over business activities and overhead levels by management. The directors closely oversee the performance of the company, through active consideration of monthly management accounts, comparison to budgeted figures and regular management meetings. Forecasted financial results for the financial year ended 31 December 2026 project strong increases in turnover and operating profit levels, with growth anticipated across both the current brand portfolio and the expected agreement of further brand relationships. Following review of actual results achieved to date per post year end management accounting records, the directors are satisfied that the budgeted results are achievable in full. |
| Principal Risks and Uncertainties | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The company is exposed to financial risks that could materially and adversely affect its future operating profits or financial position. Such risks include credit risk, market risk, insolvency of supplier risk, economic and competitor risk, liquidity risk, data security and technology risks and cross border trading risks. The company seeks to limit the adverse effects of such risks on its financial performance in the following ways: 1. Credit risk The company employs policies that require credit risk checks on potential customers before sales on a credit basis are completed which assists the company in mitigating customer credit risk. The companys credit control function monitors customer adherence to designated credit terms on a regular basis and takes steps where required to minimise impairment risk. 2. Market risk (i) Cash flow and fair value interest rate risk The company is exposed to interest rate risk in that it holds third party borrowings, in the form of overdraft, invoice discounting and loan facilities. The directors expect that interest rate levels may increase further in future financial periods in conjunction with current market trends, but they are satisfied that the company is generating sufficient cashflows from trading activities to deal with any increases were they to occur. The directors are further satisfied that the company will be able to effectively manage its borrowing facilities and related repayments into the future from positive cashflows generated from current trading activities. (ii) Foreign exchange risk The company faces exposure to foreign exchange fluctuations due to it undertaking transactions in currencies other than its functional currency, particularly Euros. The directors carefully manage foreign currency transactions on a daily basis to limit any potential exposure to adverse exchange rate movements. 3. Insolvency of supplier risk In the event of a supplier being declared bankrupt or insolvent, the company would have financial exposure in that it may not be in a position to meet the demands of its customers for saleable finished products. Such risk is mitigated by the company engaging and building relationships with quality brand suppliers which have strong financial positions but also through the careful management of stock levels in conjunction with sales budgets to minimise the likelihood of stock shortages arising. 4. Economic and Competitor Risk The economic environment and competition in the wider marketplace and specific trading sector can affect the companys business in respect of both turnover and gross margin levels achievable. Continuing market demand for its brands is crucial to maintaining the companys success and the directors have applied a balanced and conservative view in respect of areas in which growth and development are achievable. The company actively competes for market share in the United Kingdom sector and will endeavour to mitigate the impact of negative economic market pressures and changes in its brand and customer profiles. The company continues to maintain excellent relationships with its suppliers and customers which assists in reducing the overall risk profile. 5. Liquidity risk Liquidity risk can arise from cash flow timing mismatches relating to the realisation of assets and discharge of liabilities. The company manages such risks through the utilisation of available financing and cashflow sources, effective credit control procedures and undertaking detailed financial reviews prior to the acceptance of any proposed financial obligation to ensure that the company can continue to operate on a profitable basis and to meet its trading and other liabilities as they fall due. 6. Data Security and Technology risk The company is dependent primarily on information technology systems for its principle operational business and financial processes. As customer and supplier data is utilised as part of operational activities, and retained on the company's systems, there is an associated risk of a cyber security related attack which could result in unauthorised access to confidential information and resultant significant potential reputational and financial impacts. The company has in place system controls, disaster recovery and business continuity arrangements to mitigate the risk of an IT system failure, disruption to operational activities and limit the potential risk of a data breach occurring. The company utilises IT resources from another group undertaking, whose primary functions include the monitoring, identification and correction of issues in operating systems as they arise, and also engages with third-party IT consultants as required. 7. Cross Border Trading risk The company is exposed to risks and uncertainties associated with the continuity of supply of trading stocks and the potential impact on the market of the imposition of tariffs. Volatility in the cost of raw materials used by suppliers or the imposition of changes in tariffs, import taxes or duties on goods purchased from suppliers outside of the UK could result in increased costs to the company and potential decline in margin levels. The directors have implemented safeguards to protect the supply of goods and related costs by sourcing suppliers based in the UK primarily. The directors continue to carefully monitor the impact of market conditions on the companys business activities and are satisfied that the company has sufficient resources available to maintain its trading activities. The directors continue to actively assess the companys financial position and they are satisfied that it has, in conjunction with the generation of trading profits in the current and previous financial years and it's holding of an excess of assets over liabilities at 31 December 2025, sufficient financial resources available to ensure that it can discharge its liabilities as they fall due and continue to operate as a going concern. In addition, the company has insurances, business policies and organisational structures to limit the risks detailed above and the board of directors regularly review and reassess these risks to proactively limit the associated risk. There is a high-quality management team to manage day to day operations and relationships with the companys bankers, customers and brand suppliers remain strong. |
| Development and Performance | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The company has continued to strongly develop and expand its operations during the financial year and the directors can confirm their satisfaction with its financial performance and profits generated, which show further improvement from levels in previous financial years. These developments include the following:
- Increasing product ranges through development of close relationships with key suppliers and further engaging and marketing of new brands - Provision of improved offerings to customers in conjunction with brand partners - Continuing improvements to IT systems to achieve greater operational and trading efficiencies - Employment and allocation of additional management and staffing resources to key brand promotion and operational functions - Maintenance of warehousing and office location partnerships to allow for the utilisation of additional capacity The directors confirm that the companys relationships with key suppliers and customers continue to be excellent and they are satisfied that this will assist the company in continuing to expand its trading activities and profitability levels into the future. In addition, they confirm that the shareholders have committed to provide support to the company to ensure that it can take advantage of opportunities as they arise which will assist in the continued expansion of trading activity levels in future periods and its ability to discharge its current and future liabilities as they fall due. |

|||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Basis for opinion | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Conclusions relating to going concern |
| In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. |
| Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from the date when the financial statements are authorised for issue. |
| Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report. |
| Other Information |
The other information comprises the information included in the annual report other than the financial statements and our Auditor's Report thereon. The directors are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard. |
| Opinion on other matters prescribed by the Companies Act 2006 |
| In our opinion, based on the work undertaken in the course of the audit: |
| ■ | the information given in the Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| ■ | the Strategic Report and the Directors' Report have been prepared in accordance with applicable legal requirements. | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Matters on which we are required to report by exception |
| We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion: |
| ■ | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| ■ | the financial statements are not in agreement with the accounting records and returns; or | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| ■ | certain disclosures of directors' remuneration specified by law are not made; or | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| ■ | we have not received all the information and explanations we require for our audit. | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Responsibilities of directors for the financial statements |
| In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or has no realistic alternative but to do so. |
| Auditor's responsibilities for the audit of the financial statements |
| Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditor's Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. |
| Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below: |
We identify and assess risks of material misstatement of the financial statements, whether due to fraud of error, and then design and perform audit procedures responsive to those risks, including obtaining audit evidence that is sufficient and appropriate to provide a basis for our opinion. In identifying and assessing risks of material misstatement in respect of irregularities including fraud and non-compliance with laws and regulations, we considered the following: - results of our enquiries of management and those charged with governance about their own identification and assessment of the risks of irregularities occurring. - any matters we identified having obtained and reviewed the companys documentation of their policies and procedures relating to: >identifying, evaluating and complying with laws and regulations and whether they were aware of any instances of non-compliance; >detecting and responding to the risks of fraud and whether they have knowledge of any actual, suspected or alleged fraud; >the internal controls established to mitigate risks of fraud or non-compliance with laws and regulations. As a result of these procedures, we considered the opportunities and incentives that may exist within the organisation for fraud and identified the greatest potential area was in respect of the valuation of trading stock and the potential for under or overstatement of trading liabilities. These risk areas were raised with management as key audit matters in the current year. In common with all audits under ISAs (UK), we are also required to perform specific procedures to respond to the risk of management override. We also obtained an understanding of the legal and regulatory frameworks that the company operates in, focusing on provisions of those laws and regulations that had a direct effect on the determination of material amounts and disclosures in the financial statements. The key laws and regulations considered in this context included the Companies Act 2006 and applicable tax legislation in the United Kingdom. In addition, we have considered the provisions of other applicable laws and regulations which while not having a direct effect on the financial statements, compliance with their requirements may be fundamental to the companys ability to operate or to avoid a material penalty. These included the companys covenant requirements on existing banking facilities and agreed terms with partner suppliers. Audit response to risks identified As a result of performing the above procedures, we identified the valuation of the trading stock, including assessing obsolescence impairment provisions, and recognition of liabilities as key audit areas related to the potential risk of fraud. The specific procedures we performed in response to the risks identified included the following: - Reviewing the financial statement disclosures and undertaking specific substantive testing procedures to assess compliance with the provisions of relevant laws and regulations described as having a direct effect on the financial statements. - enquiring of management concerning actual and potential litigation and claims. - performing analytical procedures to identify any unusual or unexpected relationships that may indicate risks of material misstatement due to fraud. - undertaken substantive testing procedures to assess the valuation of trading stocks and verification of liabilities with suppliers. - reading minutes of meetings of those charged with governance. - reading the terms and conditions noted in bank correspondence and reviewing a sample of distribution agreements with suppliers; and - in addressing the risk of fraud through management override of controls, testing the appropriateness of journal entries and other adjustments, assessing whether the judgements made in making accounting estimates are indicative of a potential bias, and evaluating the business rationale of any significant transactions that are unusual or outside the normal course of business. We also communicated relevant identified laws and regulations and potential fraud risks to all engagement team members, including internal specialists and remained alert to any indications of fraud or non-compliance with laws and regulations throughout the audit process. There are inherent limitations in our audit procedures described above. The more removed laws and regulations are from financial transactions, the less likely it is that we would become aware of non-compliance. Auditing standards also limit the audit procedures required to identify non-compliance with laws and regulations to enquiry of the directors and other management and the inspection of regulatory and legal correspondence, if any. Material misstatements that arise due to fraud can be harder to detect than those that arise from error as they may involve deliberate concealment or collusion. |
| Use of our report |
| This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in an auditor's report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed. |

Turnover comprises the invoice value of goods supplied by the company, exclusive of trade discounts and value added tax. Turnover is recognised to the extent that it is probable that the economic benefits will flow to the company and the revenue can be reliably measured. Turnover is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before turnover is recognised: Sales of goods Turnover from the sale of goods is recognised when all of the following conditions are satisfied: - the company has transferred the significant risks and rewards of ownership to the buyer; - the company retains neither continuing managerial involvement to the degree usually associated with ownership nor effective control over the goods sold; - the amount of turnover can be measured reliably; - it is probable that the company will receive the consideration due under the transaction; - the costs incurred or to be incurred in respect of the transaction can be measured reliably. |

| Factored Debt | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Financial Instruments | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other accounts receivable and payable, loans from banks and other third parties and loans to related parties. Debt instruments (other than those wholly repayable or receivable within one year), including loans and other accounts receivable and payable, are initially measured at present value of the future cash flows and subsequently at amortised cost using the effective interest method. Debt instruments that are payable or receivable within one year, typically trade payables or receivables, are measured, initially and subsequently, at the undiscounted amount of the cash or other consideration, expected to be paid or received. However, if the arrangements of a short-term instrument constitute a financing transaction, like the payment of a trade debt deferred beyond normal business terms or financed at a rate of interest that is not a market rate or in case of an out-right short-term not at market rate, the financial asset or liability is measured, initially, at the present value of the future cash flow discounted at a market rate of interest for a similar debt instrument and subsequently at amortised cost. Financial assets that are measured at cost and amortised cost are assessed at the end of each reporting period for objective evidence of impairment. If objective evidence of impairment is found, an impairment loss is recognised in the Profit and Loss Account. For financial assets measured at amortised cost, the impairment loss is measured as the difference between an assets carrying amount and the present value of estimated cash flows discounted at the assets original effective interest rate. If a financial asset has a variable interest rate, the discount rate for measuring any impairment loss is the current effective interest rate determined under the contract. For financial assets measured at cost less impairment, the impairment loss is measured as the difference between an assets carrying amount and best estimate, which is an approximation of the amount that the company would receive for the asset if it were to be sold at the reporting date. Financial assets and liabilities are offset and the net amount reported in the Balance Sheet when there is an enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability. |

| Tangible assets and depreciation | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Tangible assets are stated at cost or at valuation, less accumulated depreciation. The charge to depreciation is calculated to write off the original cost or valuation of tangible assets, less their estimated residual value, over their expected useful lives as follows: | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Fixtures, fittings and equipment | - | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Computer equipment | - | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| The carrying values of tangible fixed assets are reviewed annually for impairment in periods if events or changes in circumstances indicate the carrying value may not be recoverable. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Leasing | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Stocks | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Trade and other debtors | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Trade and other debtors are initially recognised at fair value and thereafter stated at amortised cost using the effective interest method less impairment losses for bad and doubtful debts except where the effect of discounting would be immaterial. In such cases the receivables are stated at cost less impairment losses for bad and doubtful debts. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||

| The company operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the company in an independently administered fund. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Taxation and deferred taxation | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Current tax represents the amount expected to be paid or recovered in respect of taxable profits for the financial year and is calculated using the tax rates and laws that have been enacted or substantially enacted at the Balance Sheet date. Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date where transactions or events have occurred at that date that will result in an obligation to pay more tax in the future, or a right to pay less tax in the future. Timing differences are temporary differences between the company's taxable profits and its results as stated in the financial statements. Deferred tax is measured on an undiscounted basis at the tax rates that are anticipated to apply in the periods in which the timing differences are expected to reverse, based on tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |

| 3. | Significant accounting judgements and key sources of estimation uncertainty | |||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The preparation of these financial statements requires management to make judgements, estimates, and assumptions that affect the application of policies and reported amounts of assets and liabilities, income and expenses. Judgements and estimates are continually evaluated and are based on historical experiences and other factors, including expectations of future events that are believed to be reasonable under the circumstances. The company makes estimates and assumptions concerning the future. The resulting accounting estimates will by definition, seldom equal the related actual results. The estimates and assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities within the next financial year are discussed below. STOCK IMPAIRMENT Management reviews inventory balances on a periodic basis to determine if stock items can be sold at amounts greater than or equal to their carrying amounts plus costs to sell. This review includes identification of slow-moving stock, obsolete stock and partially or fully damaged stock. The identification process includes historical performance of the stock, current operational plans for the stock as well as industry and customer specific trends. Damaged stock is either provided for or written off depending on the extent of damage. Management makes an allowance for any items considered to be obsolete. The allowance represents the difference between the cost of stock and its estimated net realisable value. The net realisable value allowance is calculated using the following methodology: - Stock held for resale: comparison of expected selling price versus the carrying value on a stock keeping unit basis; - Damaged goods: examination of historical data relating to discounts associated with damaged goods and comparison to book value at the balance sheet date. Additional allowance is accrued for if there is actual evidence of a decline in selling prices after the end of the reporting period to the extent that such decline confirms conditions existing at the end of the period. If actual results differ from managements expectations with respect to the selling of stock at amounts equal to or less than their carrying amounts, management would be required to adjust the carrying amount of stock. |

| Liquidity risk | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| The objective of the company in managing liquidity risk is to ensure that it can meet its financial obligations as they fall due. The company expects to meet its financial obligations primarily through operating cash flows associated with its generation of trading profits. In the unlikely event that additional funding is required, the company has received a commitment of support from its majority shareholder, Vetranio Unlimited. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Customer credit exposure | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| The company offers credit terms to its customers and is at risk to the extent that a customer may be unable to pay the debt on the specified due date. This risk is mitigated by the strong on-going customer relationships and by the maintenance and monitoring of credit limits. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
| Market risk | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Cash flow and fair value interest rate risk The company is exposed to interest rate risk in that it holds borrowings, primarily in the form of invoice discounting facilities. The directors expect that the cost of finance facilities may increase in future financial periods but are satisfied that the company has sufficient funds available to deal with any increases should they occur. The directors are satisfied that the company will be able to effectively manage its borrowings into the future from cashflows generated from current trading activities and confirm that the market is continually reviewed for available financing facilities on more favourable terms. |
