| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.
Critical accounting judgements and key sources of estimation uncertainty
The preparation of these financial statements requires management to make judgements, estimates and assumptions that affect the application of policies and reported amounts of assets and liabilities, income and expenses.
Judgements and estimates are continually evaluated and are based on historical experiences and other factors, including expectations of future events that are believed to be reasonable under the circumstances. The company makes estimates and assumptions concerning the future. The resulting accounting estimates may not equal the related actual results. The estimates and assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities in the financial period are listed below:
(a) Establishing lives for depreciation purposes of tangible fixed assets
Long lived assets, consisting primarily of property, plant and equipment and motor vehicles comprise a significant portion of the total assets. The annual depreciation charge depends primarily on the estimated lives of each type of asset and estimates of residual values. The directors regularly reviews these asset lives and changes them as necessary to reflect current thinking on remaining lives in light of prospective economic utilisation and physical condition of the assets concerned. Changes in asset lives can have a significant impact on depreciation charges for the period. Details of the useful lives is included in the accounting policies.
Going concern
The financial statements are prepared on a going concern basis.
Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.
Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Provisions
Provisions are recognised when the entity has an obligation at the reporting date as a result of a past event; it is probable that the entity will be required to transfer economic benefits in settlement and the amount of the obligation can be estimated reliably.
Provisions are charged as an expense to the profit and loss account in the year that the company becomes aware of the obligation, and are measured at the best estimate at the balance sheet date of the expenditure required to settle the obligation, taking into account relevant risks and uncertainties. When payments are eventually made, they are charged to the provision carried in the balance sheet.
When a provision is measured at present value of the amount expected to be required to settle the obligation, the unwinding of the discount is recognised in finance costs and in the profit and loss in the period it arises.
Contingent assets and liabilities
Contingent liabilities, arising as a result of past events, are not recognised when (i) it is not probable that there will be an outflow of resources or that the amount cannot be reliably measured at the reporting date, or (ii) when the existence will be confirmed by the occurrence or non-occurrence of uncertain future events not wholly within the company's control. Contingent liabilities are disclosed in the financial statements unless the probability of an outflow of resources is remote.
Contingent assets are disclosed in the financial statements when an inflow of economic benefits is probable.

The Report of the Auditors was unqualified.
We draw attention to Note 10 to the financial statements, which describes the company’s net liability position and its reliance on the continued financial support of its parent company and fellow subsidiary. Our opinion is not modified in respect of this matter.
for and on behalf of
| 9. | ULTIMATE CONTROLLING PARTY |
The immediate and ultimate parent undertaking is Reliance Industrial Holdings Limited, a company incorporated in the Republic of Ireland. The registered office of Reliance Industrial Holdings Limited is 50 Eastgate Drive, Eastgate Business Park, Little Island, Cork, Ireland.
| 10. | GOING CONCERN |
The directors have considered the company’s net liability position and deficiency of shareholder funds as at 31 December 2025 of £314,102 (2024: £157,417). The directors have reviewed cash flow forecasts covering a period of 12 months from the expected date of approval of these financial statements.
The company is reliant upon the continued financial support of its immediate parent undertaking, Reliance Industrial Holdings Limited, and its fellow group undertaking, The Reliance Bearing and Gear Co. Ltd. They have provided letters of support confirming their intention to provide financial and operational support as may be necessary to enable the company to meet its liabilities as they fall due, and not to demand repayment of the balances currently due to them until the company has sufficient cash reserves to do so, for a period of 12 months from the date of approval of these financial statements.
Having made enquiries and considered the capacity of related parties to provide support, the directors have a reasonable expectation that the company will have adequate resources to continue in operational existence for the foreseeable future. Accordingly, the directors consider it appropriate to prepare the financial statements on a going concern basis.
The financial statements do not include any adjustments that would result if the company was unable to continue as a going concern.
