Notes to the Abridged Financial Statements
1. General Information
Noble Brit One Limited is a private company, limited by shares, incorporated in England & Wales, registered number 10302179 . The registered office is Regent House Allum Gate, Theobald Street, Borehamwood, Herts, WD6 4RS. The nature of its principal activities is set out in the Director's Report.

The financial statements are presented in Pound Sterling (£), which is the functional currency of the Company.

The Company's financial year starts on 1 January and ends on 31 December of each year.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The Company's accounting policies will be reviewed annually to confirm that they remain appropriate and are in accordance with FRS 102 and applicable law.

The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied throughout the year presented, unless otherwise stated.
2.2. Going Concern Disclosure
The financial statements have been prepared on a going concern basis.
At 31 December 2025, the Company had net liabilities of £7,164,838 and incurred a loss for the year of £1,676,524. In assessing the appropriateness of the going concern basis, the directors have considered the Company’s financial position and its expected cash flows for a period of at least 12 months from the date of approval of these financial statements.
The Company’s sole shareholder, Noble Investments Holding Limited, has confirmed its continued support for the Company and has undertaken that it will not demand or otherwise seek repayment of amounts due to it by the Company for a period of at least 12 months from the date of approval of these financial statements.
The directors have considered the Company’s financial position together with the support provided by its shareholder and, on this basis, have a reasonable expectation that the Company will have adequate resources to continue in operational existence and meet its liabilities as they fall due for the foreseeable future.
Accordingly, the directors consider it appropriate to prepare the financial statements on a going concern basis.
2.3. Significant judgements and estimations
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the application of the Company's accounting policies and the reported amounts of assets and liabilities, income and expenses. The estimates and associated assumptions are based on historical experience and various other factors that are believed to be reasonable under the circumstances, the results of which form the basis of making judgements about the carrying value of assets and liabilities that are not readily apparent from other sources. Actual results may differ from these estimates. The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimates are revised and in any future periods affected.

The most significant estimates made in preparing these financial statements are considered to be as follows:

Valuation of investment property
The property portfolio was valued by CBRE on the 22 July 2025. The Directors therefore adjusted the carrying value of the properties to reflect this valuation in the year ending 31st December 2025.

Tangible fixed Assets
The carrying amounts of the Company's assets are reviewed for impairment when events or changes in circumstances indicate that the carrying amount of the fixed asset may not be recoverable. If any such indication exists, the asset's recoverable amount is estimated.

Financial instruments
Basic financial liabilities, including trade creditors, bank loans, and loans from a Shareholder are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest.

The deep discounted bonds issued to the shareholder can be redeemed at pre-determined fixed amounts on each of the 6th to the 10th anniversaries at the option of the Company. The Holder also has rights to redeem but only to protect against credit deterioration of the Issuer, or statutory levies arising as a result of change of legislation. The effective interest rate on the instrument would vary according to the redemption date. The director considers that the event of such an early redemption is unlikely, so have calculated the effective interest rate based on the full term of the bond.

2.4. Turnover
Rental income represents lettings to residential tenants, typically for terms of one year. Rental and other related income is recognised on an accruals basis. Direct costs of negotiating and arranging for a new lease are expensed as incurred.
2.5. Tangible Fixed Assets and Depreciation
Depreciation is provided to write off the cost or valuation less the estimated residual value of tangible fixed assets by equal instalments over their estimated useful economic lives as follows:
Fixtures & Fittings 10 years
The carrying amounts of the Company's assets are reviewed for impairment when events or changes in circumstances indicate that the carrying amount of the fixed asset may not be recoverable. If any such indication exists, the asset's recoverable amount is estimated.
An impairment loss is recognised whenever the carrying amount of an asset exceeds its recoverable amount and is recognised in the profit and loss account.
2.6. Investment Properties
Investment properties are initially recorded at cost including any costs directly attributable to the purchase, such as property transfer taxes and professional fees for legal services to bring the property to the condition necessary for it to operate in the manner intended by the Company. Subsequent expenditure on renovation and development of investment properties is capitalised at cost. Day to day servicing cost of an investment property is expensed on an accruals basis.

Subsequently, investment properties are measured at fair value with any movement in valuation at the year end being taken to profit or loss. Any gain or loss between disposal proceeds and carrying value is recognised in profit or loss.

An analysis of the Company's current investment properties is included in the notes to these financial statements.
2.7. Foreign Currencies
The financial statements are presented in Pound Sterling (£), which is the functional currency of the Company.
2.8. Taxation
Current tax is based on taxable profit for the year and is calculated using tax rates that have been enacted, or substantially enacted. Taxable profit differs from profit as reported in the Income Statement because it excludes items of income or expenditure that are non taxable (or tax deductible).

Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited to the income statement.
2.9. Operating expenses
Expenses are recognised on an accruals basis as soon as there is a legal or constructive obligation committing the Company to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably.

2.10. Finance expenses
Finance expenses include interest or similar charges in respect of intercompany loans and other loans. The Company discloses total interest expense for financial liabilities that are not measured at fair value through profit or loss. Finance expenses are accounted for on an accruals basis using the effective interest method.
