Notes to the Abridged Financial Statements
1. General Information
Capri Brit One Limited is a private company, limited by shares, incorporated in England & Wales, registered number 10302254 . The registered office is Regent House Allum Gate, Theobald Street, Borehamwood, Herts, WD6 4RS.
The financial statements are presented in Pound Sterling (£), which is the functional currency of the Company.

The Company's financial year starts on 1 January and ends on 31 December of each year.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied throughout the year presented, unless otherwise stated.
2.2. Going Concern Disclosure
At 31 December 2025, the Company had net liabilities of £6,388,221. The Company’s ability to meet its liabilities as they fall due is dependent upon the continued support and forbearance of its shareholder, Capri 28 Limited. This represents a material uncertainty which may cast significant doubt on the Company’s ability to continue as a going concern.
Having considered the Company’s financial position and the anticipated continued support of its shareholder, the directors consider that the going-concern basis of preparation remains appropriate.
2.3. Significant judgements and estimations
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the application of the Company's accounting policies and the reported amounts of assets and liabilities, income and expenses. The estimates and associated assumptions are based on historical experience and various other factors that are believed to be reasonable under the circumstances, the results of which form the basis of making judgements about the carrying value of assets and liabilities that are not readily apparent from other sources. Actual results may differ from these estimates. The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimates are revised and in any future periods affected.

The most significant estimates made in preparing these financial statements relate to the carrying value of the investment property.

Valuation of investment property
The property portfolio was disposed of during the year and therefore the Directors are satisfied that this was a critical accounting judgement in the prior year rather than the current year.

Tangible fixed Assets
The carrying amounts of the Company's assets are reviewed for impairment when events or changes in circumstances indicate that the carrying amount of the fixed asset may not be recoverable. If any such indication exists, the asset's recoverable amount is estimated.

Financial instruments
The deep discounted bonds issued to the shareholder can be redeemed at pre-determined fixed amounts on each of the 6th to the 10th anniversaries at the option of the Company. The Holder also has rights to redeem but only to protect against credit deterioration of the Issuer, or statutory levies arising as a result of change of legislation. The effective interest rate on the instrument would vary according to the redemption date. The directors consider that the event of such an early redemption is unlikely, so have calculated the effective interest rate based on the full term of the bond.
2.4. Turnover
Rental income represents lettings to residential tenants, typically for terms of one year. Rental and other related income is recognised on an accruals basis. Direct costs of negotiating and arranging for a new lease are expensed as incurred.

2.5. Tangible Fixed Assets and Depreciation
Depreciation is provided to write off the cost or valuation less the estimated residual value of tangible fixed assets by equal instalments over their estimated useful economic lives as follows:
Fixtures & Fittings 10 years
The carrying amounts of the Company's assets are reviewed for impairment when events or changes in circumstances indicate that the carrying amount of the fixed asset may not be recoverable. If any such indication exists, the asset's recoverable amount is estimated.

An impairment loss is recognised whenever the carrying amount of an asset exceeds its recoverable amount and is recognised in the profit and loss account.
2.6. Investment Properties
Investment properties are initially recorded at cost including any costs directly attributable to the purchase, such as property transfer taxes and professional fees for legal services to bring the property to the condition necessary for it to operate in the manner intended by the Company. Subsequent expenditure on renovation and development of investment properties is capitalised at cost. Day to day servicing cost of an investment property is expensed on an accrual basis.

Subsequently, investment properties are measured at fair value with any movement in valuation at the year end being taken to profit or loss. Any gain or loss between disposal proceeds and carrying value is recognised in profit or loss.
An analysis of the Company's investment properties is included in the notes to these financial statements as applicable.
2.7. Foreign Currencies
The financial statements are presented in Pound Sterling (£), which is the functional currency of the Company.
2.8. Taxation
Current tax is based on taxable profit for the year and is calculated using tax rates that have been enacted, or substantially enacted. Taxable profit differs from profit as reported in the Income Statement because it excludes items of income or expenditure that are non taxable (or tax deductible).

Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited to the income statement.
2.9. Operating expenses
Expenses are recognised on an accruals basis as soon as there is a legal or constructive obligation committing the Company to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably.
2.10. Finance expenses
Finance expenses include interest or similar charges in respect of intercompany loans and other loans. The Company discloses total interest expense for financial liabilities that are not measured at fair value through profit or loss. Finance expenses are accounted for on an accruals basis using the effective interest method.
2.11. Cash and cash equivalents
Cash and cash equivalents include cash in hand, cash held by Property manager and cash in transit. Cash equivalents are short term, highly liquid investments that are readily convertible to known amounts of cash with original maturities of three months or less and that are subject to an insignificant risk of change in value.
3. Average Number of Employees
Average number of employees, including directors, during the year was: NIL (2024: NIL)

Shareholders Interest payable (49,719 ) 281,018
Other finance charges 54,858 73,545
672,170 1,071,573
Shareholders Interest payable is presented as a negative figure (£49,719) in Note 4, the reason being as follows. Although the Deep Discount notes carry an explicit interest rate of 0%, they are redeemable at a premium. This premium is treated as a finance cost and amortised over the expected term of the debt using the effective interest method. During the period, the debt was settled prior to its contractual maturity date, resulting in an early repayment discount under the terms of the agreement. Therefore, the gain on early settlement was recognized in profit or loss, exceeding the accumulated finance charge and resulting in a net negative finance cost for the period.

8. Post Balance Sheet Events
The Deep Discount notes were redeemable on 31 July 2026. However, the Company was not in a position to repay the outstanding amount at that time. Therefore, the Directors sought and received a Letter of Comfort from Capri 28 Limited indicating that they will not request these funds for a 12 month period following the signing of these financial statements. Therefore, the going concern basis of accounting remains appropriate in the view of the Directors of the Company. There are no other significant subsequent events that need to be disclosed or reflected in the financial statements for the year ended 31 December 2025.
9. Ultimate Controlling Party
The Company's controlling party is the sole shareholder Capri 28 Limited, a company limited by shares and its registered office is 3rd Floor, La Plaiderie House, La Plaiderie, St Peter Port, Guernsey, GY1 1WF.
