GROUP STRATEGIC REPORT
FOR THE YEAR ENDED 31 DECEMBER 2024

Introduction

The director presents his strategic report of the Company and the Group for the year-ended 31 December 2024.

Optibus Transportation Limited is a UK private company incorporated in England and Wales and is the parent
undertaking of an international group of subsidiaries operating across Europe, Latin America and Asia (the
"Group"). The Group has a principal activity of providing end-to-end transportation management software for
more equitable, sustainable, and efficient transportation services for agencies, operators, cities, drivers, and

The Company's disruptive technology drives some of the most complex transportation operations worldwide, helping to improve the quality of service, increase efficiencies, save money, and streamline operations.

Review of Business

Sustainability
We view sustainability as a core business responsibility, not just a corporate ideal. Our efforts focus on reducing
environmental impact by improving energy efficiency across operations and evaluating the use of renewable
energy where feasible. Environmental, social, and governance (ESG) principles are integrated into our planning
and operational decisions to support long-term value creation and responsible business conduct.

We monitor the environmental impact of our activities and continue to adopt practical measures to mitigate
adverse effects. This includes reviewing our processes to identify opportunities for greater efficiency and lower
emissions, while complying with applicable environmental regulations.

Talent Development and Culture
Our people are central to our success. We are investing in the development of our employees through targeted
training programs, leadership initiatives, and career progression plans that support both individual and business
growth. We foster a culture that values diversity, collaboration, and continuous improvement. By promoting an
inclusive and engaged workplace, we aim to attract and retain top talent and build strong teams that drive
innovation and support our strategic goals.

Joint Ventures and Partnerships
We continue to explore selective strategic partnerships that can enhance our capabilities, support expansion into
new markets, or accelerate product and service development. Each opportunity is assessed with a focus on
long-term alignment, operational fit, and value creation potential.

We remain disciplined in our approach and will proceed only with partnerships that complement our strengths
and offer clear benefits to the business.

Digital Transformation
Digital transformation remains a cornerstone of our operational evolution. By embracing automation and
optimising workflows, we are positioned to enhance efficiency and accuracy across our processes. This not only
translates to cost savings but also empowers our teams to focus on strategic initiatives that drive innovation and
create value for our stakeholders.

Regulatory and Compliance Considerations
Compliance with applicable laws and regulations is a priority for the business. We are enhancing our internal
processes and systems to ensure we meet our obligations and maintain high standards of governance.

Financial Goals and Performance
We are focused on building a resilient business with sustainable and profitable growth. We remain committed to delivering long-term value to our shareholders and aligning our financial performance with our broader business

FOR THE YEAR ENDED 31 DECEMBER 2024

objectives.

Principal risks and uncertainties

In achieving its objectives, the Group faces risks and uncertainties, including those due to macroeconomic
conditions, global and regional financial market developments and internal factors. The specific market,
operational and financial risks in the ordinary course of business are explained below and in the Director's report,
including credit, currency and liquidity risks.

Navigating risks is an integral part of a director's responsibilities. The director must actively assess and manage
risks that could impact the Group's financial health, reputation, and overall viability. This involves identifying
potential risks, developing strategies to mitigate them, and monitoring their effectiveness. The director should
encourage a risk-aware culture within the organisation, where risk management is integrated into strategic
planning and day-to-day operations. By prioritising risk management, the director contributes to the Group's
resilience and ability to weather unforeseen challenges.

Insofar as relevant, the Group will cover insurance for several common risks, which will allow for the financial
consequences of calamities as much as possible. At management level, the most important risks are assessed
that may affect the realisation of our strategic objectives. We assess the degree of risks and weigh against our
own efficiency in containing the risks or mitigating them completely.

Long-term Success
The director plays a crucial role in shaping the destiny of the organisation by prioritising long-term success over
short-term gains. A strategic approach that goes beyond immediate profitability, which the director assesses the
potential consequences of decisions on the Group's growth trajectory, market positioning, and sustainability. By
aligning actions with a forward looking vision, the director not only ensures the Group's stability but also its ability
to adapt and thrive in a rapidly changing business landscape.

Stakeholder Interests
Recognising that a Group's success is interwoven with the interests of various stakeholders, the director weighs
these interests carefully. The director must consider the expectations of shareholders seeking returns on
investment, employees seeking fulfilling careers, customers expecting value, and communities seeking positive
contributions. The director seeks to harmonise these often diverse interests to achieve outcomes that are
equitable, fostering a sense of trust and loyalty among stakeholders.

Ethical Considerations
Ethics form the moral compass that guides the director in their decision-making. Upholding ethical
considerations entails more than just compliance with laws and regulations; it means adhering to a higher
standard of integrity and accountability. The director must evaluate potential actions through an ethical lens,
assessing whether their choices are aligned with the Group's values and principles. By demonstrating ethical
leadership, the director not only sets a positive example but also builds a reputation of trustworthiness and
credibility for the organisation.

Good Faith
The director is entrusted with the responsibility to act in good faith, demonstrating diligence and honesty in their
decision-making. This involves diligently seeking information, asking probing questions, and engaging in robust
discussions. Good faith decision-making requires the director to set aside personal biases and opinions,
focusing on what is in the best interest of the Group and its stakeholders. By adhering to the principle of good
faith, the director instils confidence that their decisions are well-considered and driven by a genuine commitment
to the organisation's success.

Duty of Care
The director owes a duty of care to the Group, which encompasses their obligation to make informed decisions based on a thorough understanding of the Group's operations, finances, and industry dynamics. This involves staying informed about market trends, regulatory changes, and emerging risks that could impact the Group's performance. The director must also actively engage with management, asking critical questions and seeking

GROUP STRATEGIC REPORT (CONTINUED)
FOR THE YEAR ENDED 31 DECEMBER 2024

clarifications to ensure that they have a comprehensive grasp.

Financial key performance indicators

The year 2024 ended with an ordinary loss of $2,645 thousand (2023: loss $2,345 thousand).
As at the end of 2024 the balance sheet total amounted to a net liability of ($5,535) thousand (2023: net liability
of ($3,459) thousand).

The Company continues to monitor its liquidity and funding position closely. While the Company has net liabilities
of $5,535 thousand at 31 December 2024 and remains dependent on financial support from its parent
undertaking, the director has reviewed forecasts and available funding support and considers the going concern
basis of preparation to remain appropriate.

Outlook
In 2025, we will continue to focus on identifying the required capabilities for the different segments and different
regions in order to find the best strategy for each market and region, also taking the current and future
developments into account.

Going concern
An assessment of the Company's ability to continue as a going concern was performed, taking into account all
available information about the future, which is at least, but not limited to, twelve months from the date of
approval of these financial statements. The parent undertaking has confirmed its intention to continue providing
such support for at least twelve months from the date of approval of these financial statements and not to seek
repayment of existing balances during that period. Whilst the Company remains dependent on the continued
support of its parent undertaking, the director has no reason to believe that such support will not be forthcoming.
Accordingly, the director considers it appropriate to prepare the financial statements on a going concern basis.

Section 172(1) Statement

The director believes they have acted in the way most likely to promote the success of the Group for the benefit of its members as a whole, as required by s172 of the Companies Act 2006.

The requirements of s172 are for the director to:
 - consider the likely consequences of any decision in the long term;
 - act fairly between the members of the Company;
 - maintain a reputation for high standards of business conduct;
 - consider the interests of the Company's employees;
 - foster the Company's relationships with suppliers, customers and others; and
 - consider the impact of the Company's operations on the community and the environment.

This report was approved by the board and signed on its behalf.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free
from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our
opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise
from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be
expected to influence the economic decisions of users taken on the basis of these Group financial statements.

The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud.

Based on our understanding of the company and its industry, we identified the principal risks of non-compliance with laws and regulations related to the UK tax legislation, employment regulation and health and safety regulation, anti-bribery, corruption and fraud and money laundering.

To help us identify instances of non-compliance and its industry with these laws and regulations, and in identifying and assessing the risks of material misstatement in respect to non-compliance, our procedures included, but were not limited to:

•      Inquiries of management, and, where appropriate, those charged with governance, as to whether the
company is in compliance with laws and regulations, and discussing their policies and procedures regarding
       compliance with laws and regulations;
•      Inspecting correspondence, if any, with relevant licensing or regulatory authorities;
•      Communicating identified laws and regulations to the engagement team and remaining alert to any
indications of non-compliance throughout our audit; and
•      Considering the risk of act by the company which were contrary to applicable laws and regulations, including
       fraud.

We also considered those laws and regulations that have a direct effect on the preparation of the financial statements, such as tax legislation, pension legislation and the Companies Act 2006.

In addition, we evaluated the directors’ and management’s incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of override of controls) and determined that the principal risks were related to posting manual journal entries to manipulate financial performance, management bias through judgements and assumptions in significant accounting estimates, in particular in relation to revenue recognition (which we pinpointed to the cut off assertion) and significant one-off or unusual transactions.

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF OPTIBUS TRANSPORTATION LIMITED (CONTINUED)

Our audit procedures in relation to fraud included but were not limited to:
• Making enquiries of the directors and management on whether they had knowledge of any actual,
           suspected or alleged fraud;
• Gaining an understanding of the internal controls established to mitigate risks related to fraud;
• Discussing amongst the engagement team the risks of fraud; and
• Addressing the risks of fraud through management override of controls by performing journal entry testing.

There are inherent limitations in the audit procedures described above and the primary responsibility for the prevention and detection of irregularities including fraud rests with management. As with any audit, there remained a risk of non-detection of irregularities, as these may involve collusion, forgery, intentional omissions, misrepresentations or the override of internal controls.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditors' Report.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2024

1.

General information

Optibus Transportation Limited ('the Company') and its subsidiaries (together 'the Group') operate in a number of countries around the world, mainly the UK. The ultimate parent undertaking is based in Israel.

Optibus Transportation Limited is a private company, limited by shares, registered in England and Wales. The company's registered number and registered office address can be found on the General Information page.

2.Accounting policies

2.1

Basis of preparation of financial statements

These consolidated & individual financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The presentational and functional currency of Optibus Transportation Ltd is considered to be United States Dollar because that is the currency of the primary economic environment in which the Company operates. Amounts are rounded to the nearest thousand US Dollars unless otherwise stated.

The Company is a qualifying entity as defined by FRS 102 and has taken advantage of the exemption from preparing a statement of cash flows available under FRS 102.

The Company has taken advantage of the exemption allowed under section 408 of the Companies Act 2006 and has not presented its own Statement of Comprehensive Income in these financial statements.

2.2

Going concern

The company is reliant for its working capital on funds provided to it by the company's ultimate parent undertaking, Optibus Ltd, who has confirmed that it will continue to make such funds available to the Company for a period of 12 months from the date of approval of these financial statements and, in particular, will not seek repayment of the amounts currently made available. This should enable the company to continue in operational existence for the foreseeable future by meeting its liabilities as they fall due.

As with any company placing reliance on other group entities for financial support, the director acknowledges that there can be no certainty that this support will continue although, at the date of approval of these financial statements, he has no reason to believe that it will not do so. On this basis, the director considers it appropriate to prepare the financial statements on a going concern basis.

2.Accounting policies (continued)

2.3

Critical accounting judgements and key sources of estimation uncertainty

In the application of the Company's accounting policies, the director is required to make judgements, estimates and assumptions about the carrying amounts of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors considered relevant. Actual results may differ from these estimates. The principal areas requiring the use of judgement and estimation are:

Useful economic lives and impairment of intangible assets
The Group is required to estimate the useful economic lives of its intangible assets and assess such assets for indicators of impairment. The assessment of useful lives and recoverable amounts requires management to make estimates regarding future cash flows, growth rates and discount rates. Changes in these assumptions could result in material adjustments to amortisation charges or impairment provisions.

Share-based payment arrangements
The fair value of share-based payment awards is determined using valuation techniques that require management to make estimates and assumptions regarding expected volatility, the expected life of the awards, risk-free interest rates and other relevant inputs. Changes in these assumptions may affect the share-based payment charge recognised in the financial statements.

Deferred taxation
Deferred tax assets and liabilities are measured using enacted or substantively enacted tax rates expected to apply when the temporary differences reverse. The recognition and measurement of deferred tax balances require management to estimate the future recovery or settlement of assets and liabilities and the availability of future taxable profits. Actual outcomes may differ from these estimates.

2.Accounting policies (continued)

2.4

Basis of consolidation

The consolidated financial statements present the results of the Group for the year ended 31 December 2024. Group financial statements have been prepared in accordance with Section 9: Consolidated and Separate Financial Statements of FRS 102: The Financial Reporting Standard applicable in the UK and Republic of Ireland.

The consolidated financial statements incorporate the financial statements of the parent company, Optibus Transportation Limited, and all of its subsidiaries made up to the same reporting date.

Subsidiaries are entities controlled by the Group. Control exists when the Group has the power to govern the financial and operating policies of an entity so as to obtain benefits from its activities. The results of subsidiaries acquired or disposed of during the year are included in the Consolidated Statement of Comprehensive Income from the effective date of acquisition or up to the effective date of disposal, as appropriate.

All intra-group transactions, balances, income and expenses are eliminated on consolidation to the extent permitted by FRS 102. Where necessary, adjustments are made to the financial statements of subsidiaries to bring their accounting policies into line with those used by the Group. The financial statements of all group entities are prepared to the same reporting date using consistent accounting policies.

Acquisitions of subsidiaries and businesses are accounted for using the acquisition method. The consideration for each acquisition is measured at the aggregate of the fair values of the assets given, liabilities incurred and equity instruments issued by the Company in exchange for control of the acquired business.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2024

2.Accounting policies (continued)

2.5

Revenue and revenue recognition

Revenue is measured at the fair value of the consideration received or receivable and represents the amount receivable for goods supplied or services rendered, net of returns, discounts and rebates allowed by the group and value added taxes. The group bases its estimate of returns on historical results, taking into consideration the type of customer, the type of transaction and the specifics of each arrangement.

Sale of goods

The Group recognises revenue when all of the following conditions are satisfied:
∙the Group has transferred the significant risks and rewards of ownership to the buyer;
∙the Group retains no continuing involvement or control over the goods;
∙the amount of revenue can be measured reliably;
∙it is probable that the Group will receive the consideration due under the transaction; and
∙the specific criteria relating to each of the Group's sales channels have been met.

Subscription revenue

Revenue from software subscription contracts is recognised on a straight-line basis over the period in which the services are provided. Amounts invoiced in advance of service delivery are recognised as deferred income and released to revenue over the relevant contract term.

Professional services revenue

Revenue from implementation, consulting and other professional services is recognised as the services are provided to the customer.

2.6

Business combinations and goodwill

Goodwill
Goodwill, being the amount paid in connection with the acquisition of a business in 2023, is being amortised evenly over its estimated useful life of five years.

Business combination
Business combinations are accounted for by applying the purchase method. The cost of a business combination is the fair value of the consideration given, liabilities incurred or assumed and of equity instruments issued plus the costs directly attributable to the business combination. Where control is achieved in stages the cost is the consideration at the date of each transaction.

Contingent consideration is initially recognised at an estimated amount where the consideration is probable and can be measured reliably. Where (i) the contingent consideration is not considered probable or cannot be reliably measured but subsequently becomes probable and measurable or (ii) contingent consideration previously measured is adjusted, the amounts are recognised as an adjustment to the cost of the business combination.

On acquisition of a business, fair values are attributed to the identifiable assets, liabilities and contingent liabilities unless the fair value cannot be measured reliably, in which case the value is incorporated in goodwill. Intangible assets are only recognised separately from goodwill where they are separable and arise from contractual or other legal rights. Where the fair value of contingent liabilities cannot be reliably measured they are disclosed on the same basis as other contingent liabilities.

Page 22

OPTIBUS TRANSPORTATION LIMITED

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2024

2.Accounting policies (continued)

Goodwill recognised represents the excess of the fair value and directly attributable costs of the purchase consideration over the fair values to the group's interest in the identifiable net assets, liabilities and contingent liabilities acquired.

On acquisition, goodwill is allocated to cash-generating units (CGUs) that are expected to benefit from the combination.

Goodwill is amortised over its expected useful life which is estimated to be five years. Goodwill is assessed for impairment when there are indicators of impairment and any impairment is charged to the income statement. No reversals of impairment are recognised.

If the fair value of net assets exceeded the consideration paid, the excess would be recognised as negative goodwill and be wound out through the profit and loss over the estimated useful life of the asset.

2.7

Research and development

In the research phase of an internal project it is not possible to demonstrate that the project will generate future economic benefits and hence all expenditure on research shall be recognised as an expense when it is incurred. Intangible assets are recognised from the development phase of a project if and only if certain specific criteria are met in order to demonstrate the asset will generate probable future economic benefits and that its cost can be reliably measured. The capitalised development costs are subsequently amortised on a straight-line basis over their useful economic lives, which range from 3 to 6 years.

If it is not possible to distinguish between the research phase and the development phase of an internal project, the expenditure is treated as if it were all incurred in the research phase only.

2.8

Finance costs

Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.

Page 23

2.Accounting policies (continued)

2.9

Pensions

Pension costs and other post-retirement benefits

The Group provides a range of benefits to employees, including annual bonus arrangements, paid holiday arrangements and defined contribution pension plans.

Short term benefits, including holiday pay and other similar non-monetary benefits, are recognised as an expense in the period in which the service is received.

The Group operates a number of country-specific defined contribution plans for its employees. A defined contribution plan is a pension plan under which the Group pays fixed contributions into a separate entity. Once the contributions have been paid the group has no further payment obligations. The contributions are recognised as an expense when they are due. Amounts not paid are shown in accruals in the balance sheet. The assets of the plan are held separately from the Group in independently administered funds.

Payments in respect of other post-retirement benefits are charged to profit or loss in the period to which they relate.

2.10

Current and deferred taxation

Taxation for the year comprises current and deferred tax. Tax is recognised in the Consolidated Statement of Comprehensive Income, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2024

2.Accounting policies (continued)

2.11

Intangible assets

Intangible assets are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

Patents and licences are being amortised evenly over their estimated useful life of four and a half years.

Computer software is being amortised evenly over its estimated useful life of four and a half years.

2.12

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

Improvements to property
-
10%
straight-line basis
Fixtures and fittings
-
25%
straight-line basis
Computer equipment
-
33%
straight-line basis

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

2.13

Hire purchase and leasing commitments

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the period of the lease.

2.14

Investments

Investment in a subsidiary company is held at cost less accumulated impairment losses.

The carrying amount of investments is reviewed for indicators of impairment at each reporting date. Where indicators of impairment exist, the recoverable amount is estimated and an impairment loss is recognised in profit or loss to the extent that the carrying amount exceeds its recoverable amount.

Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.

Cost includes the purchase price, including taxes and duties and transport and handling directly attributable to bringing the stock to its present location and condition.

At the end of each reporting period inventories are assessed for impairment. If an item of inventory is impaired, the identified inventory is reduced to its selling price less costs to complete and sell and an impairment charge is recognised in the profit and loss account. Where a reversal of the impairment is required the impairment charge is reversed, up to the original impairment loss, and is recognised as a credit in the profit and loss account.

2.16

Trade and other receivables

Trade and other receivables are recognised initially at fair value and shown less any provision for amounts considered irrecoverable. They are subsequently measured at amortised cost using the effective interest rate method, less irrecoverable provision for receivables.

2.17

Cash and cash equivalents

Cash and cash equivalents include cash in hand and short-term deposits, with a maturity of less than three months, held with banks.

2.18

Trade and other payables

Trade and other payables are recognised initially at fair value and subsequently measured at amortised cost using the effective interest rate method.

2.19

Provisions

Provisions are recognised when the Group has a present legal or constructive obligation as a result of a past event, it is probable that an outflow of economic benefits will be required to settle the obligation and the amount of the obligation can be estimated reliably.

Share-based payments

Share-based compensation benefits are provided to employees via the Optibus Ltd Employee Option Plan. This scheme contains options which do not qualify for an HMRC approved scheme. Information relating to these schemes is set out in note 18.

Group share-based payment arrangements
The Company's employees participate in share-based payment arrangements operated by the ultimate parent undertaking, Optibus Ltd. The Company has no obligation to settle the awards. In accordance with FRS 102, the services received from employees are recognised as an employee benefits expense with a corresponding increase in equity, measured by reference to the fair value of the awards granted by the parent undertaking.

Employee options
The fair value of options granted under the Optibus Employee Option Plan is recognised as an employee benefits expense, with a corresponding increase in equity. The total amount to be expensed is determined by reference to the fair value of the options at the grant date:

- including any market performance conditions (such as the entity's share price);
- excluding the impact of any service and non-market performance vesting conditions (for example, profitability, sales growth targets and remaining an employee of the entity over a specified time period); and
- including the impact of any non-vesting conditions (such as the requirement for employees to save or hold shares for a specific period of time).

The total expense is recognised over the vesting period, which is the period over which all of the specified vesting conditions are to be satisfied. At the end of each period, the entity revises its estimates of the number of options that are expected to vest based on the non-market vesting and service conditions. It recognises the impact of the revision to original estimates, such as forfeitures and cancellation, in profit or loss, with a corresponding adjustment to equity.

2.21

Financial instruments

The Group has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.

Basic financial assets

Basic financial assets, including trade and other receivables, cash and bank balances and investments in commercial paper, are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Such assets are subsequently carried at amortised cost using the effective interest method.

At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset's original effective interest rate. The impairment loss is recognised in profit or loss.

Such assets are subsequently carried at fair value and the changes in fair value are recognised in profit or loss, except that investments in equity instruments that are not publicly traded and whose fair values cannot be measured reliably are measured at cost less impairment.

2.21
Financial instruments (continued)

Basic financial liabilities

Basic financial liabilities, including trade and other payables, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest.

Debt instruments are subsequently carried at amortised cost, using the effective interest rate method. Fees paid on the establishment of loan facilities are recognised as transaction costs of the loan to the extent that it is probable that some or all of the facility will be drawn down. In this case, the fee is deferred until the draw-down occurs. To the extent there is no evidence that it is probable that some or all of the facility will be drawn down, the fee is capitalised as a pre-payment for liquidity services and amortised over the period of the facility to which it relates.

Trade payables are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade payables are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Derecognition of financial instruments

Derecognition of financial assets

Financial assets are derecognised when (a) the contractual rights to the cash flows from the asset expire or are settled, or (b) substantially all the risks and rewards of the ownership of the asset are transferred to another party, or (c) despite having retained some significant risks and rewards of ownership, control of the asset has been transferred to another party who has the practical ability to unilaterally sell the asset to an unrelated third party without imposing additional restrictions.

Offsetting

Financial assets and liabilities are offset and the net amounts presented in the financial statements when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Included within  creditors falling due after more than one year is a capital note liability of $8,783,100 (2023: $7,420,652).

The capital notes represent non-interest-bearing intercompany funding arrangements (between the ultimate parent entity, Optibus Ltd and Optibus Brasil Sistemas e Soluções em Transporte Ltda and Optibus Transportation Limited). The notes have contractual maturity terms of five years from the date of issue, with the earliest maturity arising in July 2027. No repayments were made during the year as none of the facilities had reached maturity.

The increase in the balance during the year primarily reflects additional funding advanced of approximately $1.4 million together with foreign exchange movements of approximately $56 thousand.

Management has assessed the terms of the capital notes and concluded that, as they contain a contractual obligation to repay the principal amount at maturity, they meet the definition of a financial liability and have therefore been classified as debt within creditors falling due after more than one year.

Share-based payments

The Company's employees participate in equity-settled share-based payment arrangements operated by its ultimate parent undertaking, Optibus Ltd. The Company has no obligation to settle the awards granted.

The fair value of employee services received in exchange for the grant of share options is recognised as an employee benefits expense, with a corresponding increase in equity. The expense is recognised over the vesting period and is determined by reference to the grant-date fair value of the options awarded.

At each reporting date, the Company revises its estimate of the number of awards expected to vest based on service and non-market performance conditions. The impact of any revision is recognised in profit or loss with a corresponding adjustment to equity.

Fair value of options granted

The fair value of equity compensation instruments is estimated on the date of grant using the Black-Scholes option-pricing model.

The significant assumptions used in determining the grant-date fair value of options granted during the year were within the following ranges:
- Expected volatility: 55.34% to 59.50%
- Expected option life: 4.48 to 6.08 years
- Risk-free interest rate: 3.54% to 4.38%
- Exercise price: $0.40 to $0.80
- Fair value per option: $0.91 to $1.11

The fair value of options granted during the year ended 31 December 2024 was $13.86 per option (2023: $13.70 per option).

The weighted average grant-date fair value of options granted during the year ended 31 December 2024 was $13.86 per option (2023: $13.70 per option).

Prior year adjustment

During the preparation of the financial statements, the director identified certain balances included in the comparative financial information that had not been accounted for in accordance with FRS 102. These balances related to the recognition of right-of-use assets and lease liabilities and the capitalisation of sales commission balances. Accordingly, the comparative figures for the year ended 31 December 2023 have been restated.

In the prior year, tangible fixed assets included a right-of-use asset of $866,906. The corresponding lease liability of $928,248 was recognised in creditors falling due within one year($754,698) and creditors falling due after more than one year ($173,574). As the Group reports under FRS 102, these balances have been derecognised through the retrospective restatement of the comparative statement of financial position.

The restatement also resulted in the recognition of operating lease expense of $6,754 and foreign exchange gain of $53,678, resulting in a net increase in retained earnings of $14,418 at 31 December 2023.

In addition, sales commission balances previously capitalised of $670,627 (current) and $613,396 (non current) were derecognised, and additional sales commission expense of $192,295 was recognised. This correction resulted in a reduction in retained earnings of $1,091,728 at 31 December 2023. The comparative financial information has also been amended to recognise a non-controlling interest arising from a 0.01% ownership interest in a subsidiary.

The aggregate impact of the above adjustments on retained earnings and total equity at 31 December 2023 was $1,078,000, as set out in the table below.
