Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.
The principal accounting policies are summarised below. They have remained unchanged from the previous year and have been applied consistently, except as follows.
Change in presentation – cloud infrastructure costs
During the year, costs of cloud infrastructure directly associated with delivering the company's advertising services have been presented within cost of sales, having previously been included within administrative expenses under software in 2024. The directors consider this presentation more appropriately reflects the nature of these costs.
The comparative figures have not been reclassified, as the information needed to identify the equivalent 2024 amounts is not available, and reclassification is therefore impracticable. This change affects presentation only and has no effect on the loss for the year or net assets.
The accounts have been prepared under the historical cost convention.
The company operates a branch in the United Arab Emirates. The branch is registered in the UAE as a branch of the company and is not a separate legal entity. Its results, assets and liabilities are included in these financial statements.
At 31 December 2025 the company had net current liabilities of £3,320,107 and net liabilities of £3,513,124 and made a loss after tax of £3,409,883 for the year.
In May 2026 the company repaid in full the loan from NightHawk Finance, which was included within creditors due within one year at 31 December 2025, and the facility was closed.
In assessing whether the going concern basis is appropriate, the directors have considered the company's trading since the year end, cash flow forecasts for a period of at least 12 months from the date of approval of these financial statements, and the liquidity and funding available to the company. On this basis, the directors have a reasonable expectation that the company will be able to meet its liabilities as they fall due and has adequate resources to continue in operation for the foreseeable future. For this reason, the company continues to adopt the going concern basis in preparing the financial statements.
The accounts are presented in £ sterling.
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. Turnover from the sale of goods is recognised when goods have been delivered to customers such that risks and rewards of ownership have transferred to them. Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs.
