2.Accounting policies (continued)
The establishment of NSAI Certification UK Limited remains a key component of the parent entity's strategic objectives and supports the progression of UKAS (United Kingdom Accreditation Service) accreditations required to provide UKCA certification for construction products entering the UK market. UKAS accreditation for Construction was obtained in April 2023, and certification activities have continued during the year.
At the NSAI Board meeting held on the 30th July a decision was made to exit the medical devices business. Preparation for the process of withdrawal has commenced. This process itself is governed by the various regulations and once formally triggered, the regulatory requirement is for business continuity for a minimum of 12 months. Many of the staff employed through NSAI Certification UK will continue to be employed by the entity for at least the next twelve months and therefore there should be no impact on the going concern position.
During the year, the Company undertook a restructuring of its operations. The impact of the restructuring has been reflected in the Company's forecasts and cash flow projections considered by the directors as part of their going concern assessment.
The parent entity, NSAI, Ireland's National Standards Body and a Government body, received sanction from the Government's Department of Public Expenditure and Reform for the establishment of the UK subsidiary and its financing. The Company's budgets and forecasts are prepared as part of the group annual budgeting process and are approved by both the UK Board and the parent entity.
The Company continues to be funded by its parent entity through intercompany arrangements. Under the intercompany services agreement, the Company operated on a cost-plus 1% basis for most of the financial year. Following a review of the arrangement, the agreement was amended with effect from December 2025 such that services are provided on a cost-plus 8% basis. The directors have considered the impact of this revised arrangement in their forecasts and expect it to support the Company's pathway to profitability and generation of positive cash flows.
Whilst amounts owed to group undertakings are repayable on demand and no formal letter of support is in place, the directors have considered the parent entity's ongoing involvement, its approval of budgets and forecasts, its historical financial support of the Company, and the continuing intercompany arrangements. Based on this, the directors have a reasonable expectation that financial support will continue for at least twelve months from the date of approval of the financial statements.
Based on the above assessment, and noting that management has not identified any material uncertainties relating to events or conditions that may cast significant doubt on the Company's ability to continue as a going concern, the directors have concluded that it is appropriate to prepare the financial statements on a going concern basis.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025
2.Accounting policies (continued)
Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:
Rendering of services
Revenue from a contract to provide services is recognised in the period in which the services are provided in accordance with the stage of completion of the contract when all of the following conditions are satisfied:
∙the amount of revenue can be measured reliably;
∙it is probable that the Company will receive the consideration due under the contract;
∙the stage of completion of the contract at the end of the reporting period can be measured reliably; and
∙the costs incurred and the costs to complete the contract can be measured reliably.
Revenue comprises amounts receivable from the Company's parent undertaking under an intercompany service agreement. During the year, revenue was generated through the recharge of payroll and related employment costs incurred in providing services to the NSAI group, together with a 1% mark-up. The mark-up increased to 8% from January 2026. This arrangement replaced the previous methodology whereby recharges were based primarily on work performed for specific clients and supported by employee timesheet records.
Defined contribution pension plan
The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.
The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the Company in independently administered funds.

2.Accounting policies (continued)
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.
Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the balance sheet date, except that:
∙The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and
∙Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.
Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

Judgements in applying accounting policies and key sources of estimation uncertainty
|
Deferred tax
Management is required to assess whether it is appropriate to recognise a deferred tax asset relating to taxable losses available to the Company. The recognition of deferred tax assets is based upon whether it is more likely than not that sufficient and suitable taxable profits will be available in the future against which the reversal of losses and other deductions can be deducted. To determine the future taxable profits, reference is made to the latest available forecasts. Therefore this involves judgement regarding the future financial performance of the Company in which a deferred tax asset could be recognised. The trade losses available to be carried forward to offset future taxable profits at 31 December 2025 were £1,400,829 (2024 - £1,217,937).

The average monthly number of employees, including directors, during the year was 9 (2024 - 4).
