SETLDPAY LTD

Notes to the Financial Statements

for the Period Ended 30 April 2026

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

    Turnover policy

Revenue is measured at the fair value of the consideration received or receivable for services provided in the normal course of business, net of discounts, value added tax and other sales taxes, and is recognised to the extent that it is probable that the economic benefits will flow to the company and the amount of revenue can be measured reliably. Revenue from set-up and onboarding services is recognised over the period in which the services are performed by reference to the stage of completion. Transaction-based and fulfilment revenue is recognised in the period in which the underlying transactions or services occur. Amounts invoiced in advance of the performance of the related services are recognised as deferred income within creditors and released to revenue as the services are provided.

    Tangible fixed assets depreciation policy

Tangible fixed assets are stated at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided so as to write off the cost of the assets, less their estimated residual value, on a straight-line basis over their estimated useful lives of five years (20% per annum). A full year’s depreciation is charged in the year of acquisition.

    Intangible fixed assets amortisation policy

Intangible assets are stated at historical cost less accumulated amortisation and any accumulated impairment losses. Historical cost includes expenditure that meets the definition and recognition criteria of an intangible asset under Section 18 of FRS 102. Amortisation is charged so as to allocate the cost of the assets, less their estimated residual value, over their estimated useful lives on a straight-line basis, at 20% per annum (Systems / IP). The assets’ residual values, useful lives and amortisation methods are reviewed and adjusted prospectively if appropriate.

    Other accounting policies

Basis of Preparation These financial statements have been prepared in accordance with Section 1A "Small Entities" of Financial Reporting Standard 102, "The Financial Reporting Standard applicable in the UK and Republic of Ireland" (FRS 102), and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. These are the first financial statements of the company prepared in accordance with FRS 102; in the periods up to and including the year ended 30 April 2025 the financial statements were prepared in accordance with FRS 105, the micro-entities standard. The date of transition to FRS 102 is 1 May 2024, and the transition did not have any effect on the company's equity or results as previously reported. The financial statements are presented in Pounds Sterling (£), which is the functional currency of the company, and are rounded to the nearest £1. Going concern The company has continued to grow in each of the three years since incorporation, scaling its customer base and revenue streams. At 30 April 2026 the company had net assets of £237,144 and net current assets of £16,492. The directors have prepared trading and cash flow forecasts covering a period of at least twelve months from the date of approval of these financial statements, which indicate that the company is expected to remain profitable and to generate positive operating cash flows. The company also continues to have the committed support of its directors and shareholder, who have confirmed that they will not seek repayment of their loans within twelve months of the date of approval of these financial statements. Accordingly, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future and have prepared the financial statements on the going concern basis. Taxation Taxation for the year comprises current and deferred tax. Tax is recognised in the profit and loss account except where it relates to items recognised directly in equity. Current tax is the expected tax payable or recoverable on the taxable profit or loss for the year, using tax rates enacted or substantively enacted at the reporting date. Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the reporting date. Deferred tax assets are recognised only to the extent that, on the basis of all available evidence, it is regarded as more likely than not that there will be suitable taxable profits against which the reversal of the underlying timing differences can be deducted. Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date and that are expected to apply to the reversal of the timing difference. The company has measured its deferred tax at 19%, being the small profits rate of corporation tax expected to apply when the underlying timing differences reverse. Deferred tax balances are not discounted. Pensions The company operates a defined contribution pension plan for its employees. Contributions are recognised as an expense in profit or loss when they fall due. The assets of the plan are held separately from the company in independently administered funds. Financial instruments The company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities such as trade and other debtors and creditors, and loans from directors and a shareholder. Debtors and creditors receivable or payable within one year are measured at the undiscounted amount of the cash or other consideration expected to be received or paid. Loans from the directors of a small company, and other financing liabilities within the scope of the exemption available to small entities under FRS 102, are measured at transaction price and are not subsequently discounted to present value. Foreign currencies Transactions in foreign currencies are translated into Sterling at the rate of exchange ruling at the date of the transaction. Monetary assets and liabilities denominated in foreign currencies are retranslated into Sterling at the rates of exchange ruling at the reporting date. Exchange differences are taken to the profit and loss account.
