Geometric Manufacturing Ltd
Directors' Report for the Year Ended 28 February 2026
The directors present their report and the financial statements for the year ended 28 February 2026.
Strategic Report
Introduction and Strategy
This report details the strategic performance and position of Geometric Manufacturing Ltd for the year ended 28 February 2026. Following the pivotal investments made in the 2025 financial year, which included the launch of the 'Fabrication and finishing' division to secure downstream supply processes, the 2026 financial year focused on consolidating these expanded operations. The company’s core strategy was driving efficiencies, managing costs to improve operating margins, and capitalizing on the increased market share and new revenue streams established in the previous period.
Review of Financial Performance
The company’s performance reflects the highly successful integration and maturation of its recent expansion strategy.
● Turnover: Revenue experienced substantial growth of 20.5%, reaching £8.18 million (2025: £6.78 million). This was driven by strong performances in both core Machining, which grew to £5.48 million, and the recently established Fabrications division, which contributed £2.40 million.
● Profitability: Gross Profit increased significantly to £3.60 million (2025: £2.68 million). Through effective cost management and operational efficiencies, the gross profit margin recovered strongly to 44.05% (2025: 39.56%), absorbing the initial start-up impacts seen in the prior year.
● Operating Costs:Administrative expenses rose to £2.48 million (2025: £2.21 million) to support increased output. The average number of employees grew to 92 (2025: 84) to manage expanded production. Directors' remuneration saw a minimal increase to £409,006 (2025: £403,412).
● Cash Generation (EBITDA): Because the recent capacity expansion required heavy capital expenditure, resulting in elevated non-cash depreciation charges of £390,684 (2025: £353,930), management monitors EBITDA to assess underlying cash generation. EBITDA grew by an exceptional 80.9% to £1.53 million (2025: £846,459), demonstrating the strong cash-converting nature of the new revenue streams. The EBITDA margin improved from 12.5% to 18.7%.
● Net Profit: The focus on margin improvement yielded excellent results, with Operating Profit more than doubling to £1.12 million (2025: £478,004). While finance costs increased to £228,774 (2025: £181,040) due to prior asset funding, the company achieved a robust Profit Before Tax of £896,142 (2025: £297,812). After a tax charge of £97,075, the company delivered a Profit for the Year (Net Profit) of £799,067, a 122% increase from 2025.

Directors' Report for the Year Ended 28 February 2026
Review of Financial Position
The company's balance sheet has been notably strengthened, moving into a highly positive current asset position.
● Fixed Assets: The company continued to invest in operational capacity, with additions to tangible assets totalling £869,681. After accounting for depreciation and amortisation, the total fixed asset base expanded to £3.23 million (2025: £2.77 million).
● Working Capital: To support record revenues and a strong order book, stock levels increased to £1.02 million (2025: £557,002). Trade debtors also rose to £1.65 million. Crucially, the company's working capital management shifted the overall net current position from a liability of £198,730 in 2025 to positive net current assets of £341,346 in 2026.
● Financing and Net Assets: Non-current loans and hire purchase contracts increased to £899,241 (2025: £744,170) to support continuing capital expenditures. Driven by exceptional profit generation, total equity (net assets) grew by 60.2% to £2,126,082 (2025: £1,327,015).
Future Outlook
The strategic initiatives executed over the past two years have firmly established Geometric Manufacturing Ltd.’s enhanced inhouse capabilities and cross-divisional revenue streams. The Company will continue to capitalise on its strong presence in the Defence and Security sector to drive consistent, double-digit growth.
The Board's focus for the 2027 financial year will be to leverage the newly positive working capital position to optimise inventory turnover, continue investing in targeted accreditations to further expand the customer base, and maintain the strong 44% gross margin profile achieved this year.
Directors of the company
The directors who held office during the year were as follows:
Principal activity
The principal activity of the company is manufacturing.
Geometric Manufacturing Ltd
Directors' Report for the Year Ended 28 February 2026
Principle risks and uncertainties
The directors have identified the following principal risks:
1. Operational Integration Risk: Managing a larger workforce of 92 employees and elevated production volumes requires continuous investment in training, quality control, and robust operational systems.
2. Liquidity and Debt Management: While the company has moved to a net current asset position, it operates with £1.63 million in current loans and borrowings and elevated finance costs of £228,774. Efficient cash flow management remains a primary focus to service this debt.
3. Inventory Management: Raw materials and work in progress stock levels increased to over £1 million to support the growing order book. There is an ongoing risk that elevated inventory levels could unnecessarily tie up working capital if not strictly monitored.
4. Market Reliance: The company’s continued revenue growth remains tied to the performance of its major market in Defence and Security; unexpected sector downturns could impact future financial forecasts.

Accounting policies |
Summary of significant accounting policies and key accounting estimates
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated.
Statement of compliance
These financial statements have been prepared in accordance with Financial Reporting Standard 102 Section 1A smaller entities - 'The Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland' and the Companies Act 2006 (as applicable to companies subject to the small companies' regime).
Basis of preparation
These financial statements have been prepared using the historical cost convention except that as disclosed in the accounting policies certain items are shown at fair value.
Revenue recognition
Turnover comprises the fair value of the consideration received or receivable for the sale of goods and provision of services in the ordinary course of the company’s activities. Turnover is shown net of value added tax, returns, rebates and discounts.
The company recognises revenue when:
The amount of revenue can be reliably measured;
it is probable that future economic benefits will flow to the entity;
and specific criteria have been met for each of the company's activities.
Tax
The tax expense for the period comprises current and deferred tax. Tax is recognised in profit or loss, except that a change attributable to an item of income or expense recognised as other comprehensive income is also recognised directly in other comprehensive income.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the company operates and generates taxable income.
Geometric Manufacturing Ltd
Notes to the Unaudited Financial Statements for the Year Ended 28 February 2026
Deferred tax is recognised in respect of all timing differences between taxable profits and profits reported in the financial statements.
Unrelieved tax losses and other deferred tax assets are recognised when it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date and that are expected to apply to the reversal of the timing difference.
Tangible assets
Tangible assets are stated in the balance sheet at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.
The cost of tangible assets includes directly attributable incremental costs incurred in their acquisition and installation.
Depreciation
Depreciation is charged so as to write off the cost of assets, other than land and properties under construction over their estimated useful lives, as follows:
|
Asset class |
Depreciation method and rate |
|
Plant and machinery |
10% to 20% straight line |
|
Motor vehicles |
25% straight line |
|
Office equipment |
33.3% straight line |
|
Fixtures and fittings |
20% straight line |
Business combinations
Business combinations are accounted for using the purchase method. The consideration for each acquisition is measured at the aggregate of the fair values at acquisition date of assets given, liabilities incurred or assumed, and equity instruments issued by the group in exchange for control of the acquired, plus any costs directly attributable to the business combination. When a business combination agreement provides for an adjustment to the cost of the combination contingent on future events, the group includes the estimated amount of that adjustment in the cost of the combination at the acquisition date if the adjustment is probable and can be measured reliably.
Goodwill
Goodwill arising on the acquisition of an entity represents the excess of the cost of acquisition over the company’s interest in the net fair value of the identifiable assets, liabilities and contingent liabilities of the entity recognised at the date of acquisition. Goodwill is initially recognised as an asset at cost and is subsequently measured at cost less accumulated amortisation and accumulated impairment losses. Goodwill is held in the currency of the acquired entity and revalued to the closing rate at each reporting period date. Goodwill is amortised over its useful life, which shall not exceed ten years if a reliable estimate of the useful life cannot be made.
Amortisation
Amortisation is provided on intangible assets so as to write off the cost, less any estimated residual value, over their useful life as follows:
|
Asset class |
Amortisation method and rate |
|
Goodwill |
straight line over 10 years |
Geometric Manufacturing Ltd
Notes to the Unaudited Financial Statements for the Year Ended 28 February 2026
Investments
Investments in equity shares which are publicly traded or where the fair value can be measured reliably are initially measured at fair value, with changes in fair value recognised in profit or loss. Investments in equity shares which are not publicly traded and where fair value cannot be measured reliably are measured at cost less impairment.
Interest income on debt securities, where applicable, is recognised in income using the effective interest method. Dividends on equity securities are recognised in income when receivable.
Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost is determined using the first-in, first-out (FIFO) method.
The cost of finished goods and work in progress comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the inventories to their present location and condition. At each reporting date, stocks are assessed for impairment. If stocks are impaired, the carrying amount is reduced to its selling price less costs to complete and sell; the impairment loss is recognised immediately in profit or loss.
Borrowings
Interest-bearing borrowings are initially recorded at fair value, net of transaction costs. Interest-bearing borrowings are subsequently carried at amortised cost, with the difference between the proceeds, net of transaction costs, and the amount due on redemption being recognised as a charge to the profit and loss account over the period of the relevant borrowing.
Interest expense is recognised on the basis of the effective interest method and is included in interest payable and similar charges.
Borrowings are classified as current liabilities unless the company has an unconditional right to defer settlement of the liability for at least twelve months after the reporting date.
Leases
Leases in which substantially all the risks and rewards of ownership are retained by the lessor are classified as operating leases. Payments made under operating leases are charged to profit or loss on a straight-line basis over the period of the lease.
Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of ownership to the lessee.
Assets held under finance leases are recognised at the lower of their fair value at inception of the lease and the present value of the minimum lease payments. These assets are depreciated on a straight-line basis over the shorter of the useful life of the asset and the lease term. The corresponding liability to the lessor is included in the balance sheet as a finance lease obligation.
Lease payments are apportioned between finance costs in the profit and loss account and reduction of the lease obligation so as to achieve a constant periodic rate of interest on the remaining balance of the liability.
Geometric Manufacturing Ltd
Notes to the Unaudited Financial Statements for the Year Ended 28 February 2026
Share capital
Ordinary shares are classified as equity. Equity instruments are measured at the fair value of the cash or other resources received or receivable, net of the direct costs of issuing the equity instruments. If payment is deferred and the time value of money is material, the initial measurement is on a present value basis.
Defined contribution pension obligation
A defined contribution plan is a pension plan under which fixed contributions are paid into a pension fund and the company has no legal or constructive obligation to pay further contributions even if the fund does not hold sufficient assets to pay all employees the benefits relating to employee service in the current and prior periods.
Contributions to defined contribution plans are recognised as employee benefit expense when they are due. If contribution payments exceed the contribution due for service, the excess is recognised as a prepayment.
