The directors present their annual report and financial statements for the year ended 30 April 2026.
The directors who held office during the year and up to the date of signature of the financial statements were as follows:
Going concern
In adopting the going concern basis for preparing the financial statements, the directors have considered the business activities as well as the principal risks. The directors are satisfied that the Company has adequate resources to continue in operational existence for the foreseeable future. Artorius Wealth Limited, the parent company, has confirmed that it does not intend to seek repayment of amounts owed by the Company for a period of at least twelve months from the date of approval of these financial statements and will continue to provide such financial support as is considered necessary to enable the Company to meet its liabilities as they fall due. For this reason, the directors continue to adopt the going concern basis in preparing the financial statements.
Financial risk management
Risk management is an inherent part of the Company’s activities. The Company’s risk management framework and governance structure are intended to provide comprehensive controls and ongoing management of its major risks. The Company exercises oversight through the board of directors.
The Company’s operations expose it to a variety of financial risks, the most significant of which are credit risk, operational risk and market risk. An overview of the key aspects of risk management and the use of financial instruments is provided below.
Credit risk
The Company’s principal financial assets are bank balances and cash, and trade and other receivables. The Company’s credit risk is primarily attributable to its trade debtors. The Company complies with group policies which require monthly monitoring and reporting of exposures of all trade debtors. The credit risk on liquid funds is considered limited because the counterparties are banks with high credit-ratings assigned by international credit-rating agencies.
Operational risk
Operational risk is the risk of loss resulting from inadequate or failed processes or systems, human factors or external events. To monitor and control operating risk, the Company maintains a system of comprehensive policies and a control framework designed to provide a well-controlled operational environment, and to monitor and record any control failures.
Market risk
Market risk is the risk to turnover arising from changes in the performance of the economy. The Company subsidiary companies earn annual management fees which are based on the value of funds under management. The Company complies with group risk policies surrounding the monitoring and control of market risk. This includes monthly Board consideration during board meetings and regular investment committee meetings.
Dividends
No dividends were paid to the shareholders by the Company during the year (2025: £nil). The Board has not recommended that a final dividend be paid (2025: £nil).
Financial risk management, risks and uncertainties
The risks and uncertainties relevant to the parent, Artorius Wealth Limited and main trading subsidiary, Artorius Wealth Management Limited have been recorded in the relevant statutory accounts of those legal entities. The directors don’t consider any further risks relevant for disclosure for the Company other than those recorded in the parent or main trading subsidiary.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
Investments in subsidiaries are carried at cost less impairment.
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.
Basic financial liabilities, including creditors and loans from fellow group companies, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
Taxation
Tax on the profit or loss for the year comprises current and deferred tax. Tax is recognised in the profit and loss account except to the extent that it relates to items recognised directly in equity or other comprehensive income, in which case it is recognised directly in equity or other comprehensive income.
Current tax is the expected tax payable or receivable on the taxable income or loss for the year, using tax rates enacted or substantively enacted at the balance sheet date, and any adjustment to tax payable in respect of previous years.
Deferred tax is provided on timing differences which arise from the inclusion of income and expenses in tax assessments in years different from those in which they are recognised in the financial statements. The following timing differences are not provided for: differences between accumulated depreciation and tax allowances for the cost of a fixed asset if and when all conditions for retaining the tax allowances have been met; and differences relating to investments in subsidiaries, to the extent that it is not probable that they will reverse in the foreseeable future and the reporting entity is able to control the reversal of the timing difference. Deferred tax is not recognised on permanent differences arising because certain types of income or expense are non-taxable or are disallowable for tax or because certain tax charges or allowances are greater or smaller than the corresponding income or expense.
Deferred tax is measured at the tax rate that is expected to apply to the reversal of the related difference, using tax rates enacted or substantively enacted at the balance sheet date. Deferred tax balances are not discounted.
