Share option Scheme
The company has an unapproved share option schemes in place. Options vest over time and all options are settled by equity upon exercise. The fair value of the options has been determined by reference to a multiple of maintainable earnings, discounted for relevant factors. In the current year, a charge of £5,876 has been recognised in the profit and loss account. This comprises an increase in fair value during the period of £8,695, offset by an adjustment of £2,819 in respect of the prior year. The prior year adjustment arose as the fair value had been calculated using a fair value per share relating to an earlier period, rather than the fair value applicable to 2025. The revised 2025 valuation reflects the trading loss incurred during that year, which reduced maintainable earnings and consequently resulted in a lower fair value per share. The number and weighted average exercise prices for the options are as follows: (i) outstanding at the beginning of the period - 17,224 shares at £0.34 exercise price each; (ii) granted during the period - nil; (iii) forfeited during the period - 3,889 shares at £0.34 exercise price each; (iv) exercised during the period - nil; (v) expired during the period - nil; (vi) outstanding at the end of the period - 13,335 share options at £0.34 exercise price each; and (vii) exercisable at the end of the period - 13,150 share options at £0.34 exercise price each.
Cash and cash equivalents
Cash and cash equivalents includes cash in hand, deposits held at call with banks, other short-term highly liquid investments with original maturities of three months or less and bank overdrafts. Bank overdrafts, when applicable, are shown within borrowings in current liabilities.
Pension costs
The company operates a defined contribution scheme for the benefit of its employees. Contributions payable are recognised in the profit and loss account when due.
Employee benefits
The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets. The cost of any unused holiday entitlement is recognised in the period in which the employee's services are received. Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
Foreign exchange
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rates of exchange ruling at the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
Going concern
The directors consider the going concern basis to be appropriate having paid due regard to the company's projected results during the twelve months from the date the financial statements are approved and anticipated cash flows, availability of financing facilities and mitigating actions that can be taken during the period.
