Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities, except that the correction described in Note 3 has been recognised in the current year rather than by restatement of comparative amounts.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
The accounts have been prepared under the historical cost convention.
The accounts are presented in £ sterling.
The company does not trade and had no liabilities at the balance sheet date. Its assets comprise intellectual property and contractual rights, minority investments in unquoted companies, short-term investments, cash, and amounts owed by its parent. The company’s parent, Conectid Limited, has confirmed that it will continue to provide such financial support as the company may require for at least twelve months from the date of approval of these financial statements. On this basis, the directors consider it appropriate to prepare the financial statements on a going concern basis.
Intangible fixed assets are stated at cost less accumulated amortisation and any impairment. Amortisation is charged on a straight-line basis over the useful economic life of each asset from the date it is available for use: contractual rights over the term of the underlying agreements (25 years); patents, trade marks and designs over 10 years. Useful lives and carrying amounts are reviewed at each reporting date.
Investments in unquoted companies in which the company holds less than 20% of the share capital are stated at cost. None of the company's holdings exceeds 20% of the share capital of the investee.
Correction of the accounting for assets acquired in 2020
Assets acquired on 31 December 2020 for a total of £500,000 comprised shareholdings in unquoted companies (£250,000) and intellectual property and contractual rights (£250,000), all of which had been presented as a single intangible asset and, in the year ended 31 October 2024, revalued upwards by £55,000 through the income statement.
During the year the directors reviewed this accounting. The shareholdings have been reclassified to fixed asset investments at cost. The intellectual property and contractual rights are carried at cost less amortisation: the revaluation recognised in the prior year has been reversed through the income statement, and amortisation of £14,208 relating to the years ended 31 October 2021 to 2024 has been charged in the current year, in addition to the charge for the year of £16,750. The loss for the year therefore includes £69,208 relating to prior periods.
Comparative amounts have been reclassified to present the shareholdings as fixed asset investments; they have not otherwise been restated.
There is no effect on cash.

The column headed "Other" in this note comprises the company's intellectual property and contractual rights. The amortisation charge for the year of £30,958 includes £14,208 relating to the years ended 31 October 2021 to 2024. The amounts described as "Valuation" in the fixed asset investments note represent cost: the investments are stated at cost in accordance with Note 3 and no valuation has been made. The comparative figures in this note and in the fixed asset investments note have been reclassified to present the shareholdings (£250,000) as fixed asset investments rather than as intangible assets (Note 3).
