2.2

Going concern

During the year ended 30 June 2025 the Company made a profit of £10,615 (2024: £29,600) and has net assets of £8,150,230 (2024: £8,139,615) as at that date. The financial statements have been prepared on a going concern basis.

The company is dependent on the continued financial support of its parent undertaking and fellow group entities to meet its liabilities as they fall due. The directors have reviewed the Company's liabilities over the next 12 months and consider the business to be a going concern.

The parent undertaking has confirmed that it will provide such financial support as is necessary to enable the company to meet its obligations as they fall due for a period of at least 12 months from the date of approval of these financial statements.

Based on this support, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future and have therefore adopted the going concern basis in preparing the financial statements.

3.

Judgments in applying accounting policies and key sources of estimation uncertainty

Estimates and judgments are continually evaluated and are based on historical experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances.

Although estimates are based on management's best knowledge of the amount, events or actions actual results ultimately may differ from those estimates. The directors consider the most significant estimates required in the preparation of the financial statements are in respect of the recoverability of amounts owed by group undertakings.

Recoverability of amounts owed by group undertaking

The Company's principal asset at 30 June 2025 is a loan of £8,128,664 (2024: £8,101,967) owing from a fellow group undertaking.

The loan is unsecured and repayment is contingent upon the borrower generating sufficient future profits or surplus assets. There is no fixed repayment date.

The directors have exercised judgment in assessing the recoverability of this balance. In forming their view, the directors have considered the financial position and forecasts of the borrowing entity, including expected future funding rounds and the group’s broader strategy.

The assessment of recoverability is inherently subjective and sensitive to assumptions regarding the future performance and funding prospects of the borrower. A deterioration in these assumptions could result in a material impairment to the carrying value of the loan
