| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
These financial statements have been prepared in accordance with FRS 102 "The Financial Reporting Standards applicable in the UK and Republic of Ireland" ("FRS 102") and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies' regime.
The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £1.
The financial statements have been prepared under the historical cost convention, modified to include certain financial instruments at fair value. The principal accounting policies adopted are set out below.
Going concern
At the balance sheet date the company has net liabilities, and is reliant upon the support of creditors and shareholders to continue trading. The directors have indicated that this support will continue for a period of at least 12 months from the date of signing these financial statements, and as such the going concern basis has been used.

Turnover
Revenue is recognised in accordance with Section 23 of FRS 102 Revenue from Contracts with Customers.
Revenue comprises the fair value of consideration receivable for the provision of artificial intelligence consultancy services, software development services, software subscriptions and related support services, net of value added tax and trade discounts.
Revenue is recognised when control of the promised goods or services has transferred to the customer in an amount that reflects the consideration to which the company expects to be entitled.
Consultancy and advisory services
Revenue from consultancy and advisory engagements is recognised over time as the services are provided to the customer. Where contracts are performed over a period of time, revenue is recognised by reference to the stage of completion of the engagement at the reporting date.
Software development services
Revenue from custom software and AI development projects is recognised over time where the customer simultaneously receives and consumes the benefits of the company's performance or where the work performed creates or enhances an asset controlled by the customer. Progress towards completion is measured using an appropriate input or output method that faithfully depicts the transfer of services to the customer. Where the criteria for over time recognition are not met, revenue is recognised at the point the completed solution is delivered and accepted by the customer.
Software subscriptions and hosted services
Revenue from software subscriptions, hosted platforms and access to AI powered products is recognised on a straight line basis over the period in which the customer has access to the service.
Support and maintenance services
Revenue relating to support and maintenance contracts is recognised over the period in which the services are provided.
Contract assets and contract liabilities
Amounts recognised as revenue in advance of invoicing are recorded as contract assets. Amounts invoiced in advance of the delivery of services are recognised as deferred income and released to revenue as the related performance obligations are satisfied.
Intangible assets
Development costs are recognised as intangible fixed assets as they do not meet the definition of cash, cash equivalents or financial instruments under FRS 102. Intangible assets are initially measured at cost.
After initial recognition, they are measured at cost less accumulated amortisation and any accumulated impairment losses. Development costs are amortised on a straight-line basis over their estimated useful economic life of ten years.

Tangible fixed assets
Computer Equipment - Straight line over 3 years
The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset and is recognised in the income statement.
Taxation
Taxation for the year comprises current tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Research and development
Expenditure on research activities is recognised as an expense in the period in which it is incurred.
An internally generated intangible asset arising from development (or the development phase of an internal project) is recognised if, and only if, an entity can demonstrate all of the following:
The technical feasibility of completing the intangible asset so that it will be available for use or sale.
Its intention to complete the intangible asset and use or sell it;
Its ability to use or sell the intangible asset;
How the intangible asset will generate probable future economic benefits;
The availability of adequate technical, financial and other resources to complete the development and to use or sell the intangible asset;
Its ability to measure reliably the expenditure attributable to the intangible asset during its development.
Capitalised development costs are amortised on a systematic basis over their expected useful life, starting from the point at which the asset is available for commercial use. If development expenditure does not meet the criteria above, it is recognised as an expense in the period in which it is incurred.
Financial assets
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 'Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.
Financial assets are recognised in the company's statement of financial position when the company becomes party to the contractual provisions of the instrument.
Basic financial assets, which include trade and other receivables and cash and bank balances are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method, unless the arrangement constitutes a financial transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Basic financial liabilities, which include trade and other payables, are initially measured at transaction price and subsequently measured at amortised cost, unless the arrangement constitutes a financing transaction where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest.
Equity instruments
Equity instruments issued by the company are recorded at the fair value of the proceeds received net of direct issue costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.

| 9. | SECURED DEBTS |
£321,394 of company borrowing has been personally guaranteed by the directors.
| 10. | CONTINGENT LIABILITIES |
The company has received legal services in relation to a review of its share structure and associated compliance matters. The final amount payable in respect of these services has not yet been agreed and discussions are ongoing with the legal advisers regarding the fees to be charged. As the outcome of these discussions remains uncertain at the balance sheet date, it is not possible to determine reliably the extent of any additional liability that may arise.
