GROUP STRATEGIC REPORT
FOR THE YEAR ENDED 31 JANUARY 2026

Introduction

The Directors present their strategic report on the Group for the year to 31st January 2026.

Business review

Turnover increased by 9.9% to £52,970,403 (2025: £48,214,277), with profit before taxation increasing to £7,724,684 (2025: £4,333,989), reflecting another year of strong trading performance. Gross profit margin improved to 67.8% (2025: 65.8%), supported by easing cost pressures and continued operational efficiencies, while all subsidiaries reported increased sales during the year.

At 31 January 2026, the Group had net assets of £84,825,404 (2025: £73,002,455). The increase primarily reflected the Group's strong trading performance together with growth in the defined benefit pension surplus, partially offset by foreign exchange translation movements. The Group also maintained a highly liquid balance sheet, with cash balances (excluding bank deposits held as guarantees) of £23,206,973 and low levels of external borrowings, resulting in a strong net cash position and low gearing. This provides the Group with significant financial flexibility to support ongoing investment and future growth.

The Group continued to monitor supply chain risks throughout the year. Although inflationary pressures eased, disruption to shipping routes through the Red Sea continued to present logistical challenges. Changes to US tariff policy also created uncertainty; however, the Group continued to achieve growth in sales within the region. The year concluded with a higher order book than the previous year, providing a positive platform for continued growth.

Future developments

The Board has continued to progress its long-term strategic growth plan, supported by the Group's strong financial position and sustained trading performance. During the year, investment continued across the business to strengthen operational capability, improve efficiency and support future growth.

Manufacturing capacity has been enhanced through continued investment in production facilities and equipment to support increasing customer demand. The Group has also continued to invest in its IT infrastructure to improve systems integration, operational efficiency and the quality of management information. Marketing activities have been further developed through increased investment in digital and web-based initiatives to strengthen the Group's global presence and generate new business opportunities.

The Board remains confident that the Group is well positioned for continued growth. Supported by its strong balance sheet, highly liquid financial position and healthy order book, the Group will continue to invest in its people, technology and manufacturing capabilities to deliver its long-term strategic objectives.

Principal risks and uncertainties

The principal risks and uncertainties facing the Group remain largely unchanged and relate to:
∙Inflationary pressures from global uncertainty;
∙Competition selling similar clones and copies of products at lower prices where they have no R&D costs;
∙Ensuring the group’s UK based manufacturing costs are globally competitive;
∙Impact of geopolitical uncertainty leading to closure of transport links affecting supply chains
∙Impact of USA tariff policy
∙Retention of key staff and management;
∙Maintaining margin in the face of exchange rate volatility, material price increases and labour costs of manufacturing in the UK; and
∙The Group looks to reduce the risk by implementing a common report & transaction platform across the group, instilling a continuous improvement culture and managing foreign exchange risk by currency hedging.

Key performance indicators

The Board monitors a number of financial and operational key performance indicators ("KPIs") to assess the Group's performance against its strategic objectives. Turnover growth is a key indicator of financial performance and is monitored against budget throughout the year. The Group also monitors its order book, which provides visibility over future confirmed customer demand and is compared with the prior year as an indicator of future trading activity.

Going concern

The Group's business activities, together with the principal risks and uncertainties likely to affect its future development, performance and position, are set out in this Strategic Report. Details of the Group's future developments and strategic objectives are also outlined above.

The Group continues to maintain a strong financial position, with significant cash resources, low levels of external borrowings and a diverse customer and supplier base across a range of geographic markets and industries. These factors provide resilience and support the Group's ability to manage the principal risks facing the business

Having considered the Group's current trading performance, forecasts and available financial resources, the Directors have a reasonable expectation that the Company and the Group have adequate resources to continue in operational existence for the foreseeable future. Accordingly, they continue to adopt the going concern basis in preparing the annual report and financial statements.

Business relationships

There are continuous customer surveys indicating where the Group needs to improve and, also, engagement with suppliers, not only to ensure they adhere to the Group’s code of conduct and that they comply with the company’s policy of anti-bribery, anti-corruption and Modern Slavery policies. There is an emphasis to ensure subsidiaries comply with the Group’s Health & Safety and quality policy.

The Group has a strategy for the environment where there is an emphasis to engage with Green policies. The two main factories are powered by Solar generation for much of their electrical requirements. All metal waste is recycled and paper waste has been reduced with a push to go paperless.

At all the Group’s sites there is a push for community involvement with engagement with local charities and projects to improve the local environment.

Group's policy on payment of Creditors

It is the Group's policy that payments to suppliers are made in accordance with those terms and conditions agreed with its suppliers, provided that all trading terms and conditions have been complied with.

Greenhouse gas emissions, energy consumption and energy efficiency action

The energy and carbon information presented below relates to Russell Finex Limited. Energy and carbon information relating to subsidiary undertakings included within the consolidated financial statements has not been included where those subsidiaries would not themselves be required to make such disclosures if reporting on an individual basis, as permitted by the Regulations. In accordance with the requirements of the Companies (Directors’ Report) and Limited Liabilities (Energy and Carbon Report) Regulations 2018, the Directors would like to disclose the following information for the period ended 31 January 2026.

Carbon Emissions plus intensity Ratio (as per Regulations):

186.6
Scope 2 (Indirect emissions) - Electricity
105.0
146.3
Scope 3 Electricity Transmission/distribution & Employee Cars
0.7
1.2

Intensity Metrics

Scope 1, 2 & 3 emission / Sales Revenue amounts to £8.16 (2025: £12.66) Tonnes CO2/£m. Total reported emissions decreased by 20.0% year-on-year, reflecting reductions in energy consumption across the business. Scope 1 emissions reduced by 15.3%, primarily due to lower gas and fuel usage, partly offset by increased company vehicle emissions. Scope 2 emissions reduced by 25.9% due to lower purchased electricity consumption and generated green electricity. Scope 3 emissions reduced by 40.4%, mainly due to lower business travel and waste-related emissions, although these remain immaterial to total reported emissions.

Methodologies used within the calculation

The company has used actual consumption data, including kWh data from monthly supplier invoices, as the basis for calculating reported energy use and associated emissions. This data has been converted into tonnes of CO2e using the UK Government’s published greenhouse gas conversion factors for company reporting for the relevant reporting period. The SECR report was prepared using the Telex UK accounting platform, with Telex UK acting as the external specialist in the preparation of the calculations.

Energy efficiency actions taken to date

Russell Finex has undertaken a number of initiatives to reduce energy consumption, improve operational efficiency and lower the Group’s carbon footprint. These include the following:

∙Renewable energy generation: The Group has supported the installation of solar panels on site, enabling renewable electricity generation and reducing reliance on grid-supplied electricity.

∙Biomass boiler: The Group uses a wood burner with pellets to provide energy for parts of the business. Alternative, more environmentally friendly products have also been introduced within chemical and product processes. In addition, the Group has recently moved to more energy-efficient CNC machinery.

∙Lighting and energy awareness: The Group continues to promote energy awareness across the business, including reminders to switch off lights in meeting rooms and other areas when not in use. Sensor lighting has been installed in selected kitchen areas, and factory lighting has been upgraded from fluorescent lighting to LED lighting.

∙Waste reduction and recycling: The Group has implemented a range of waste reduction and recycling measures, including the installation of a baling machine and shredder bins on site. Shredded waste is reused in RF shipping packaging, and scrap metal and electrical waste are recycled. The Group has also reduced landfill waste by removing polystyrene cups from site and providing employees with reusable water bottles and thermo mugs.

∙Fuel reduction: The Group encourages employees to participate in the Cycle to Work scheme. It has also implemented a “4-mile rule” policy, under which employees living within four miles of the site are encouraged to use public transport or alternative methods of travel, with onsite parking restricted for those employees.

∙have been prepared in accordance with the requirements of the Companies Act 2006.

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the Group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

We have nothing to report in this regard.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF RUSSELL FINEX LIMITED (CONTINUED)

Opinion on other matters prescribed by the Companies Act 2006

In our opinion, based on the work undertaken in the course of the audit:

∙the information given in the Group Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and
∙the Group Strategic Report and the Directors' Report have been prepared in accordance with applicable legal requirements.

Matters on which we are required to report by exception

In the light of the knowledge and understanding of the Group and the Parent Company and its environment obtained in the course of the audit, we have not identified material misstatements in the Group Strategic Report or the Directors' Report.

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:

∙adequate accounting records have not been kept by the Parent Company, or returns adequate for our audit have not been received from branches not visited by us; or
∙the Parent Company financial statements are not in agreement with the accounting records and returns; or
∙certain disclosures of directors' remuneration specified by law are not made; or
∙we have not received all the information and explanations we require for our audit.

Responsibilities of directors

As explained more fully in the Directors' Responsibilities Statement set out on page 4, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the Group's and the Parent Company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the Group or the Parent Company or to cease operations, or have no realistic alternative but to do so.

INDEPENDENT AUDITOR'S REPORT TO THE MEMBERS OF RUSSELL FINEX LIMITED (CONTINUED)

Auditor's responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditor's Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these Group financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

∙The Group is subject to laws and regulations that directly affect the financial statements including financial reporting legislation. We determined that the following laws and regulations were most significant including UK Companies Act, employment law and tax legislation. We assessed the extent of compliance with these laws and regulations as part of our procedures on the related financial statement items.

∙We understood how the Group is complying with those legal and regulatory frameworks by, making inquiries to management, those responsible for legal and compliance procedures.

∙The engagement partner assessed whether the engagement team collectively had the appropriate competence and capabilities to identify or recognise non-compliance with laws and regulations. The assessment did not identify any issues in this area.

∙We assessed the susceptibility of the Group's financial statements to material misstatement, including how fraud might occur. Audit procedures performed by the engagement team included:

°Identifying and assessing the design effectiveness of controls management has in place to prevent and detect fraud;

°Understanding how those charged with governance considered and addressed the potential for override of controls or other inappropriate influence over the financial reporting process;

°Challenging assumptions and judgements made by management in its significant accounting estimates; and

°Identifying and testing journal entries, in particular any journal entries posted with unusual account combinations.

∙As a result of the above procedures, we considered the opportunities and incentives that may exist within the organisation for fraud and identified the greatest potential for fraud in the following areas:

°Posting of unusual journals and complex transactions;

°Misappropriation of assets; and

°Incorrect revenue recognition.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditor's Report.

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 JANUARY 2026

1.

General information

Russell Finex Limited is a private company limited by shares, incorporated in England and Wales. The address of the registered office and its principal place of business is given in the company information page of these financial statements.

The nature of the Group and Company's operations and principal activity is the manufacture and supply of sieving and straining equipment.

2.Accounting policies

2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires Group management to exercise judgement in applying the Group's accounting policies (see note 3).

The Company has taken advantage of the exemption allowed under section 408 of the Companies Act 2006 and has not presented its own Statement of Comprehensive Income in these financial statements.

The following principal accounting policies have been applied:

2.2

Disclosure exemptions

The parent company satisfies the criteria of being a qualifying entity as defined in FRS 102. As such, advantage has been taken of the following reduced disclosures available under FRS 102:

a) No cash flow statement has been presented for the company.
b) Disclosures in respect of financial instruments have not been presented.
c) No disclosure has been given for the aggregate remuneration of key management personnel.

2.3

Basis of consolidation

The consolidated financial statements present the results of the Company and its own subsidiaries ("the Group") as if they form a single entity. Intercompany transactions and balances between group companies are therefore eliminated in full.

The consolidated financial statements incorporate the results of business combinations using the purchase method. In the Statement of Financial Position, the acquiree's identifiable assets, liabilities and contingent liabilities are initially recognised at their fair values at the acquisition date. The results of acquired operations are included in the Consolidated Statement of Comprehensive Income from the date on which control is obtained. They are deconsolidated from the date control ceases.

2.4

Foreign currency translation

Functional and presentation currency

The Company's functional and presentational currency is GBP.

Transactions and balances

Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.

At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.

Foreign exchange gains and losses that relate to borrowings and cash and cash equivalents are presented in the Consolidated Statement of Comprehensive Income within 'finance income or costs'. All other foreign exchange gains and losses are presented in profit or loss within 'other operating income'.

On consolidation, the results of overseas operations are translated into Sterling at rates approximating to those ruling when the transactions took place. All assets and liabilities of overseas operations are translated at the rate ruling at the reporting date. Exchange differences arising on translating the opening net assets at opening rate and the results of overseas operations at actual rate are recognised in other comprehensive income.

2.5

Revenue

Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Group and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:

Revenue from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have transferred to the buyer.

Revenue from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs.

2.6

Research and development

Expenditure on research and development is written off in the year in which it is incurred.

2.7

Borrowing costs

All borrowing costs are recognised in profit or loss in the year in which they are incurred.

Pensions

Defined contribution pension plan

The Group participates in the NEST defined contribution workplace pension scheme for eligible employees. A defined contribution plan is a pension plan under which the Group pays fixed contributions into a separate entity. Once the contributions have been paid, the Group has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Statement of Financial Position. The assets of the plan are held separately from the Group in independently administered funds.

Defined benefit pension plan

The Group operates a defined benefit plan for certain employees. A defined benefit plan defines the pension benefit that the employee will receive on retirement, usually dependent upon several factors including but not limited to age, length of service and remuneration. A defined benefit plan is a pension plan that is not a defined contribution plan.

The liability recognised in the Statement of Financial Position in respect of the defined benefit plan is the present value of the defined benefit obligation at the end of the reporting date less the fair value of plan assets at the reporting date (if any) out of which the obligations are to be settled.

The defined benefit obligation is calculated using the projected unit credit method. Annually the company engages independent actuaries to calculate the obligation. The present value is determined by discounting the estimated future payments using market yields on high quality corporate bonds that are denominated in sterling and that have terms approximating to the estimated period of the future payments ('discount rate').

The fair value of plan assets is measured in accordance with the FRS102 fair value hierarchy and in accordance with the Group's policy for similarly held assets. This includes the use of appropriate valuation techniques.

Actuarial gains and losses arising from experience adjustments and changes in actuarial assumptions are charged or credited to other comprehensive income. These amounts together with the return on plan assets, less amounts included in net interest, are disclosed as 'Remeasurement of net defined benefit liability'.

The cost of the defined benefit plan, recognised in profit or loss as employee costs, except where included in the cost of an asset, comprises:

a) the increase in net pension benefit liability arising from employee service during the period; and

b) the cost of plan introductions, benefit changes, curtailments and settlements.

The net interest cost is calculated by applying the discount rate to the net balance of the defined benefit obligation and the fair value of plan assets. This cost is recognised in profit or loss as a 'finance expense'.

2.9

Current and deferred taxation

The tax expense for the year comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company and the Group operate and generate income.

Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the reporting date, except that:
∙The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits;
∙Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met; and
∙Where they relate to timing differences in respect of interests in subsidiaries, associates, branches and joint ventures and the Group can control the reversal of the timing differences and such reversal is not considered probable in the foreseeable future.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date.

2.10

Intangible assets

Intangible assets are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

All intangible assets are considered to have a finite useful life. If a reliable estimate of the useful life cannot be made, the useful life shall not exceed ten years.

2.11

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

2.11
Tangible fixed assets (continued)

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

Freehold buildings
-
4% on cost
Plant and machinery & motor vehicles
-
10 - 25% on cost
Fixture & fitting, computer and office equipment
-
10 - 25% on cost

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

2.12

Revaluation of tangible fixed assets

Individual freehold and leasehold properties are carried at current year value at fair value at the date of the revaluation less any subsequent accumulated depreciation and subsequent accumulated impairment losses. Revaluations are undertaken with sufficient regularity to ensure the carrying amount does not differ materially from that which would be determined using fair value at the reporting date.

Fair values are determined from market based evidence normally undertaken by professionally qualified valuers.

Revaluation gains and losses are recognised in other comprehensive income unless losses exceed the previously recognised gains or reflect a clear consumption of economic benefits, in which case the excess losses are recognised in profit or loss.

2.13

Investment property

Investment property is carried at fair value determined annually by external valuers and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided. Changes in fair value are recognised in profit or loss.

2.14

Valuation of investments

Investments in subsidiaries are measured at cost less accumulated impairment.

2.15

Stocks

Stocks are stated at the lower of cost and net realisable value, being the estimated selling price less costs to complete and sell. Cost is based on the cost of purchase on a weighted average basis. Work in progress and finished goods include labour and attributable overheads.

Inventory held on consignment at subsidiary locations remains the property of the Company until control and legal title transfers. Accordingly, such inventory continues to be recognised within inventories and is measured at the lower of cost and estimated selling price less costs to complete and sell.

At each reporting date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss.

2.16

Provisions for liabilities

Provisions are recognised when an event has taken place that gives rise to a legal or constructive obligation, a transfer of economic benefits is probable and a reliable estimate can be made.

Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.

Increases in provisions are generally charged as an expense to profit or loss.

2.17

Financial instruments

The Group only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, loans from banks and other third parties, loans to related parties and investments in ordinary shares.

Financial assets that are measured at cost and amortised cost are assessed at the end of each reporting period for objective evidence of impairment. If objective evidence of impairment is found, an impairment loss is recognised in the Consolidated Statement of Comprehensive Income.

For financial assets measured at amortised cost, the impairment loss is measured as the difference between an asset's carrying amount and the present value of estimated cash flows discounted at the asset's original effective interest rate. If a financial asset has a variable interest rate, the discount rate for measuring any impairment loss is the current effective interest rate determined under the contract.

For financial assets measured at cost less impairment, the impairment loss is measured as the difference between an asset's carrying amount and best estimate of the recoverable amount, which is an approximation of the amount that the Group would receive for the asset if it were to be sold at the reporting date.

Financial assets and liabilities are offset and the net amount reported in the Statement of Financial Position when there is an enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Derivatives, including interest rate swaps and forward foreign exchange contracts, are not basic financial instruments. Derivatives are initially recognised at fair value on the date a derivative contract is entered into and are subsequently re-measured at their fair value. Changes in the fair value of derivatives are recognised in profit or loss in finance costs or income as appropriate. The company does not currently apply hedge accounting for interest rate and foreign exchange derivatives.

2.18

Derivatives

Derivative financial instruments are initially measured at fair value at the date on which a derivative contract is entered into and are measured at fair value through profit or loss.

The company uses derivatives to measure the gain or loss on forward contract financial contracts. The fair value is determined by forward foreign currency exchange rates at the balance sheet date.

2.19

Employee benefit trusts

Russell Finex Limited operates an Employee Benefit Trust which is constituted as an employee share scheme under section 1166 of the Companies Act 2006. The activities of the trust are controlled by the company and therefore the assets of the trust are accounted for as if they were assets of the company until such time as the assets vest unconditionally in identified beneficiaries. Where the assets of the trust are shares in Russell Finex Limited these are presented as a deduction from share capital rather than as investments.

The company does not recognise a charge in the profit and loss account in respect of contributions to the Trust until such time as the underlying assets vest unconditionally in identified beneficiaries.

Russell Finex Limited offers a defined contribution benefit scheme with NEST to all employees until they qualify for the Russell-Hurst Pension Scheme. Pension costs are recorded within the Statement of Comprehensive Income.

Judgements in applying accounting policies and key sources of estimation uncertainty

The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported. These estimates and judgements are continually reviewed and are based on experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances.

Significant judgements

The directors have considered the application of the Group's accounting policies and have concluded that there are no significant judgements, apart from those involving estimations, that have had a significant effect on the amounts recognised in the financial statements.

Key sources of estimation uncertainty

Accounting estimates and assumptions are made concerning the future and, by their nature, will rarely equal the related actual outcome. The directors have identified the following key source of estimation uncertainty in applying the Group's accounting policies:

∙Defined benefit pension obligations – Estimates are made in determining the net defined benefit pension obligation, which is based on actuarial assumptions including life expectancy, future salary increases, the valuation of scheme assets and the discount rate applied to corporate bonds. These assumptions are based on historical experience, current market conditions and advice from the Group's independent actuary. Changes in these assumptions could result in material changes to the value of the pension obligation recognised in the financial statements.

∙Investment property valuations – Estimates are made in determining the fair value of investment properties, which is based on active market prices and adjusted, where appropriate, for differences in the nature, location and condition of the specific property. The directors review the valuation of the properties annually, taking prevailing market conditions into account, and consider the carrying values included in the financial statements to represent fair value. Changes in market conditions or the assumptions applied could result in material changes to the fair value of the investment properties recognised in the financial statements.

The directors have considered the areas of estimation uncertainty and concluded that there are no other key sources of estimation uncertainty that have a significant risk of resulting in a material adjustment to the carrying amounts of assets and liabilities in the financial statements.

4.

Turnover

The turnover and profit before taxation are attributable to one principal activity of the Group.

The directors are of the view that the disclosure of geographical location of turnover would be seriously prejudicial to interests of the Group and is therefore not shown.

Pension commitments

The Group operates a defined benefit pension scheme.

Russell Finex Limited (the Company) operates a defined benefit pension arrangement called the Russell-Hurst Pension Scheme (the Scheme). The Scheme provides benefits based on final salary and length of service on retirement, leaving service or death. The following disclosures exclude any allowance for defined contribution schemes operated by the company.

The Scheme is subject to the Statutory Funding Objective under the Pensions Act 2004. A valuation of the Scheme is carried out at least once every three years to determine whether the Statutory Funding Objective is met. As part of the process the Company must agree with the trustees of the Scheme the contributions to be paid to address any shortfall against the Statutory Funding Objective and contributions to pay for future accrual of benefits.

The most recent comprehensive actuarial valuation of the Scheme was carried out as at 31 December 2024. The results of that valuation were updated to 31 January 2026 allowing for cashflows in and out of the Scheme and changes to assumptions over the period.
