HOWAT LTD

Notes to the Financial Statements

for the Period Ended 30 September 2026

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

    Turnover policy

Turnover comprises services provided during the year, excluding VAT.

    Tangible fixed assets depreciation policy

Equipment is stated at cost less accumulated depreciation and impairment; IT equipment is depreciated on a straight-line basis over three years from the month available for use, after allowing for estimated residual values.

    Other accounting policies

Basis of preparation and presentation Howat Ltd is a private company limited by shares incorporated in England and Wales. These financial statements are prepared under the historical cost convention in accordance with FRS 102, including Section 1A, and the Companies Act 2006. Sterling is the functional and presentation currency. The first-time adoption and comparative treatment are explained below. The numerical statements in this web filing are presented in whole pounds, with totals calculated from rounded components. The detailed amounts in the following disclosures are shown to pence. Going concern and research expenditure The going concern basis is used. The director's assessment takes account of the collection of existing receivables, active marketing and the ability to reduce or pause future remuneration. No uncommitted funding or R&D tax refund is assumed. Research expenditure is charged as incurred. Taxation policy and associated disclosure Current tax is provided on the supported taxable profit for the year. Deferred tax is recognised on timing differences at the rates expected to apply on reversal; tax assets are recognised only where recovery is probable. The 2026 tax charge comprises current Corporation Tax of £12,876.56 and deferred tax of £35.45, totalling £12,912.01. The current tax estimate includes £3,017.81 Annual Investment Allowance and £703.55 director interest, assuming payment by 30 September 2027. No current deduction is taken for earlier unpaid interest, and no benefit is recognised for unestablished historical tax losses or R&D relief. Net deferred tax of £35.45 comprises a £500.85 capital-allowance liability and a £465.40 asset for earlier unpaid interest, at 19%. Recovery of the asset is supported by reversal of the capital-allowance timing difference. Historic deferred tax is not restated, as explained below. Share capital and retained earnings The issued share capital comprises one ordinary share of £1. The subscription was unpaid at the year-end. Retained earnings at 1 October 2025, after correction, were a deficit of £22,967.56. The profit for the financial year was £51,318.26 and dividends were £17,721.20, giving retained earnings at 30 September 2026 of £10,629.50. Prior-period corrections and first-time adoption The previous accounts were prepared under FRS 105. These are the company's first financial statements prepared under FRS 102 Section 1A. Identified omissions in the prior balance sheet have been corrected as follows: Equity at 30 September 2025 as previously reported: £1,404.00. Correction of Bank and other current assets: £268.79. Previously omitted equipment: £73.24. Previously omitted director's loan: (£15,891.85). Previously omitted accrued director interest: (£2,449.45). Other creditor and tax corrections: (£6,371.29). Equity after correction: (£22,966.56). The original closing ledger and supporting tax computations are unavailable. The retained records support the corrected balances above, but do not permit reliable allocation of all cumulative errors between earlier periods. The cumulative correction of £24,370.56 is reflected in opening retained earnings at 1 October 2025. The 2025 performance comparative includes identified corrections of £645.14 finance costs, £58.59 monitor depreciation and £1,838.56 director interest, increasing the reported loss from £1,309.71 to £3,852.00. A further £610.89 director interest belongs to earlier periods. Other period-specific effects cannot be reliably allocated under paragraph 10.22 of FRS 102, so the comparative is not fully comparable. The known balance-sheet errors are distinct from the change of framework. Historic deferred tax and the earlier transition reconciliation cannot be reliably reconstructed, including earlier recovery assumptions for unpaid interest. Paragraph 35.11 has been applied to those historical adjustments and disclosures. The first reliably measurable net deferred-tax liability of £35.45 is recognised at 30 September 2026, with the charge included in the current-year result. These comparative corrections do not constitute a replacement filing of the 2025 accounts.
