REVIEW OF BUSINESS AND FUTURE DEVELOPMENTS
The results for the year and financial position of the company are shown in the annexed financial statements.
The directors aim to present a balanced review of the development and performance of the business during the year and its position at the year end consistent with its size and non-complex nature.
Summary
The year ended 31 March 2026 marked a successful period for Chepstow Plant International. Profit before tax improved by over £1.8m to £1.27m, despite a reduction in top-line performance, while the business also achieved a reduction in its debt-to-equity ratio of over 30%.
These results were delivered alongside continued investment in the fleet, with £14.5m invested in new, more sustainable assets. This demonstrates Chepstow Plant International's resilience, disciplined financial management and commitment to long-term profitability, while positioning the business to respond effectively to future market opportunities.
Principal activities
The principal activities of Chepstow Plant International continue to be the hire of plant and machinery to construction-based markets, notably for earthmoving projects and for supporting the extraction and transport of minerals and aggregates
.
In addition, the company leverages its extensive expertise in the trading of new and used plant, providing complementary support to its operating business and strengthening customer relationships across the UK.
Performance
Chepstow Plant International is one of the leading providers of plant and equipment to the minerals and aggregates industries. The business is focused on providing a safety-first, quality-led service that enables customers to meet their operational objectives through access to modern equipment and specialist expertise in extracting and moving materials.
Operating across the United Kingdom on both short- and long-term contracts, Chepstow Plant International is valued by its customers for its safe, efficient and progressive approach.
The proactive structuring of the business model in response to market dynamics has enabled Chepstow Plant International to achieve profitability against a backdrop of declining revenues. Operationally, the business consistently achieved fleet utilisation of more than 90%, supplementing peaks in demand with third-party hire where appropriate. Combined with robust cost management, this translated into improved operating margins during the period, providing a strong foundation on which the business can continue to build.
Within the cost base, the latter part of the year saw increased uncertainty in fuel pricing, influenced by the escalation of events around Iran and the associated impact on global fuel markets. As a business that consumes significant volumes of fuel, Chepstow Plant International remains exposed to volatility in fuel costs. However, through contractual mechanisms, active cost control and a continued focus on operational efficiency, the business has largely mitigated its exposure during the period. Management remains mindful of the wider inflationary pressures that may arise over the coming months and will continue to monitor and respond to these risks accordingly.
As a capital-intensive business, financing remains a key component of Chepstow Plant International's strategy. The company is pleased with the overall reduction in debt achieved during the year. Given the continued investment of over £14.5m in the fleet, this reduction has supported improved liquidity and placed the business in a more sustainable position for future years. It also allows the business to continue investing in one of the newest, environmentally focused and technologically advanced fleets in the industry.
Chepstow Plant International Limited (Registered number: 03031145)
Strategic Report
for the Year Ended 31 March 2026
This improvement has been achieved through considered asset-based restructuring, supported by fleet optimisation and enhanced efficiencies within the operating model. The business has adjusted its focus to enable it to respond quickly and proportionately to market conditions as they have evolved over the past twelve months.
These activities, alongside sound strategic leadership, are positioning the business for sustainable profitability in its fourth decade - a testament to its longevity, resilience and ability to evolve with the market. Although the outlook for economic growth, particularly in some traditional industries, remains uncertain, the actions taken by Chepstow Plant International mean it is well placed to capitalise on future opportunities and diversify into complementary markets within the plant hire industry, and leverage the capabilities of sister companies such as Chepstow Construction and Maintenance within the civil engineering sector.
With an asset base aligned to market demand, high fleet utilisation and the ability to flex its business model in line with customer requirements, Chepstow Plant International is positioned as a sustainable, forward-thinking going concern for the years ahead.
Future developments and outlook
Looking ahead, Chepstow Plant International, with the structures, relationships and operational discipline in place to maintain its trajectory towards sustainable profitability. Although the current and future trading landscape is expected to remain challenging, the return to profitability in FY2026, combined with improved gearing and continued investment in a modern, environmentally focused fleet, provides confidence that the business is well positioned for sustainable growth.
With a flexible business model, strong customer relationships, a progressive approach to health and safety, and a fleet aligned to market requirements, Chepstow Plant International is well placed to support its existing commitments and capitalise on emerging opportunities.
Management remains cautiously confident that the actions taken over the past twelve months have laid a solid foundation for continued profitability and long-term success.

Strategic Report
for the Year Ended 31 March 2026
PRINCIPAL RISKS AND UNCERTAINTIES
The business and economic environment continues to be challenging, particularly for construction-affiliated sectors. Margins remain under pressure as businesses focus on minimising their cost base, and Chepstow Plant International is subject to these pressures in the same way as other operators. The company seeks to absorb costs where possible and pass on only those that are unavoidable.
The principal risks faced by Chepstow Plant International are set out below.
Financial risk
As noted above, Chepstow Plant International is a capital-intensive and leveraged business that utilises a number of banking instruments to support its activities. As a result, changes in the Bank of England base rate can have a material impact on interest payment liabilities where financing arrangements are not on fixed terms.
Chepstow Plant International maintains a mixture of fixed and variable agreements to mitigate this exposure and actively restructures agreements where business needs require it. The company retains headroom within its current credit lines, allowing the business to respond flexibly to market conditions.
Liquidity risk
The cost of the equipment maintained within Chepstow Plant International's fleet has increased significantly in recent years. As this represents a material cash outlay for the business, it can affect liquidity when combined with the financial risks noted above.
To mitigate this risk, the business takes a cash-first approach, supported by detailed cash management practices and strong relationships with its institutional banking partners. This helps ensure that liquidity remains positive and supports the achievement of the company's business objectives.
Credit risk
As an SME, Chepstow Plant International has exposure to credit default, which can materially affect performance and cash recovery. Longer payment terms are common, particularly among long-standing blue-chip customers.
For short-term hires, Chepstow Plant International uses credit checking software and references to assess creditworthiness. Where risk is considered unfavourable, pro forma payments and guarantees are required.
Fuel price and inflation risk
The business consumes significant volumes of fuel and is therefore exposed to volatility in fuel prices. During the latter part of the year, increased uncertainty in global fuel markets highlighted this exposure. The company seeks to mitigate this risk through contractual mechanisms, active cost control and a continued focus on operational efficiency. Management will continue to monitor fuel pricing and wider inflationary pressures and respond where appropriate.

ON BEHALF OF THE BOARD:
Report of the Independent Auditors to the Members of
Chepstow Plant International Limited
Opinion
We have audited the financial statements of Chepstow Plant International Limited (the 'company') for the year ended 31 March 2026 which comprise the Income Statement, Other Comprehensive Income, Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and Notes to the Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
| - | give a true and fair view of the state of the company's affairs as at 31 March 2026 and of its profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Other information
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
Report of the Independent Auditors to the Members of
Chepstow Plant International Limited
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
| - | the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
| - | the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements. |
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors.
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
| - | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |
| - | the financial statements are not in agreement with the accounting records and returns; or |
| - | certain disclosures of directors' remuneration specified by law are not made; or |
| - | we have not received all the information and explanations we require for our audit. |
Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page six, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
Report of the Independent Auditors to the Members of
Chepstow Plant International Limited
Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
We gained an understanding of the legal and regulatory framework applicable to the company, and the industry in which it operates, and considered the risk of acts by the company that were contrary to applicable laws and regulations, including fraud. We designed audit procedures to respond to the risk, recognising that the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentations, or through collusion.
We focused on laws and regulations which could give rise to a material misstatement in the financial statements, including, but not limited to, the Companies Act 2006 and UK tax legislation. As in all our audits, we evaluated management's incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of override of controls) and determined that the principal risks were related to posting inappropriate journal entries to manipulate financial performance and misappropriation of assets. Audit procedures performed included:
- Discussions with management, including consideration of known or suspected instances of actual and potential litigation and claims, non-compliance with laws and regulations and fraud;
- Identifying and reviewing journal entries to ensure that we understood the reasoning behind them and agreeing that they were appropriate;
- Evaluating the business rationale of significant transactions outside the normal course of business and reviewing accounting estimates for indicators of potential bias;
- Designing audit procedures to incorporate unpredictability around the nature, timing or extent of our testing;
- Agreeing the financial statement disclosures to underlying supporting documentation.
There are inherent limitations in the audit procedures described above and, the further removed non-compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it. We did not identify any key audit matters relating to irregularities, including fraud.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.
Report of the Independent Auditors to the Members of
Chepstow Plant International Limited
Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

Significant judgements and estimates
The preparation of the financial statements requires management to make estimates and assumptions concerning the future. The resulting estimates will, by definition, be likely to differ from the related actual results. The estimates and assumption that have a significant risk of causing material adjustments to the carrying amounts of assets and liabilities within the next financial year are addressed below.
Depreciation
The annual depreciation charge for tangible fixed assets is sensitive to changes in the estimated useful economic lives and residual values of the assets.
The useful economic lives and residual values of the tangible fixed assets are regularly re-assessed and amended, as necessary, to reflect current estimates based on their future economic utilisation and physical condition.
Impairment of debtors
The company makes an estimate of the recoverable value of trade and other debtors.
When assessing impairment of trade and other debtors management considers factors including the credit rating of the debtor, the ageing profile of debtors and historical experience.
Recognition of income
Turnover representing the fair value of services provided and work done on contracts during the year is recognised as the contract progresses and the right to consideration is earned as determined by the company.
Non-derivative financial instruments
Non-derivative financial instruments comprise trade and other debtors, cash and cash equivalents, trade and other creditors and interest free loans.
Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in expenditure.
Cash and cash equivalents comprise cash at bank and in hand. For the purpose of the cash flow statement cash and cash equivalents are net of bank overdrafts and advances which are repayable on demand.
Loans and borrowings and concessionary loans are initially recognised at transaction price including transaction costs. Subsequently, they are measured at amortised cost using the effective interest rate method less impairment. If an arrangement constitutes a finance transaction it is measured at present value. Loans and borrowings receivable within one year are not discounted.
