Independent auditor’s report to the directors of UKNSW Limited
Opinion
We have audited the initial accounts of UKNSW Limited , which comprise the Statement of Comprehensive Income, Statement of Financial Position, Statement of Changes in Equity, Statement of Cash Flows for the financial period from 14 November 2024 to 31 December 2025, and the related notes to the financial statements, including a summary of material accounting policies (“the initial accounts”).
The financial reporting framework that has been applied in the preparation of the financial statements is applicable law and UK-adopted International Accounting Standards.
In our opinion, UKNSW Limited's financial statements:
• | give a true and fair view in accordance with UK-adopted International Accounting Standards of the Company's assets, liabilities and financial position as at 31 December 2025 and of the Company's financial performance and cash flows for the period then ended; and |
• | have been properly prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (‘ISAs (UK)’) and applicable law. Our responsibilities under those standards are further described in the ‘Responsibilities of the auditor for the examination of the initial accounts’ section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the initial accounts in the United Kingdom, including the FRC’s Ethical Standard and the ethical pronouncements established by Institute of Chartered Accountants in England and Wales (ICAEW), applied as determined to be appropriate in the circumstances for the entity. We have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the initial accounts, we have concluded that the directors’ use of going concern basis of accounting in the preparation of the initial accounts is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company’s ability to continue as a going concern for a period of at least twelve months from the date when the initial accounts are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Independent auditor’s report to the directors of UKNSW Limited

Other information comprises information included in the annual report, other than the financial statements and our auditor’s report thereon, including the Directors’ Report. The directors are responsible for the other information. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies in the financial statements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified any material misstatements in the Directors’ Report. We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
• | the Company has not kept proper books of account, or if proper returns adequate for our audit have not been received from branches not visited by us; or |
• | the financial statements are not in agreement with the books of account and returns; or |
• | the financial statements do not contain particulars as to loans to, and remuneration of Directors; or |
• | we have not received all the information and explanations which are necessary for the purposes of our audit. |
Responsibilities of management and those charged with governance for the initial accounts
Management is responsible for the preparation of the initial accounts which give a true and fair view in accordance with UK-adopted International Accounting Standards, and for such internal control as directors determine necessary to enable the preparation of financial statements are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, management is responsible for assessing the company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the company or to cease operations, or has no realistic alternative but to do so.
Those charged with governance are responsible for overseeing the company’s financial reporting process.
Independent auditor’s report to the directors of UKNSW Limited
Responsibilities of the auditor for the examination of the initial accounts
The objectives of an auditor are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes their opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
A further description of an auditor’s responsibilities for the audit of the financial statements is located on the Financial Reporting Council’s website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our auditor’s report.
Explanation as to what extent the audit was considered capable of detecting irregularities, including fraud
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. Owing to the inherent limitations of an audit, there is an unavoidable risk that material misstatement in the financial statements may not be detected, even though the audit is properly planned and performed in accordance with the ISAs (UK). The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.
Based on our understanding of the Company and industry, we identified that the principal risks of non-compliance with laws and regulations related to compliance with Employment Law, and we considered the extent to which non-compliance might have a material effect on the financial statements. We also considered those laws and regulations that have a direct impact on the preparation of the financial statements such as the Companies Act 2006 and UK tax legislation. The Audit engagement partner considered the experience and expertise of the engagement team (including ITGC specialists as applicable) to ensure that the team had appropriate competence and capabilities to identify or recognise non-compliance with the laws and regulation. We evaluated management’s incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of override of controls) and determined that the principal risks were related to posting inappropriate journal entries to manipulate financial performance and management bias through judgements and assumptions in significant accounting estimates, in particular in relation to significant one-off or unusual transactions. We apply professional scepticism through the audit to consider potential deliberate omission or concealment of significant transactions, or incomplete/inaccurate disclosures in the financial statements.
In response to these principal risks, our audit procedures included but were not limited to:
• | enquiries of management, the board, risk and compliance and legal functions on the policies and procedures in place regarding compliance with laws and regulations, including consideration of known or suspected instances of non-compliance and whether they have knowledge of any actual, suspected or alleged fraud; |
• | inspection of the Company’s regulatory and legal correspondence and review of minutes of board meetings during the year to corroborate inquiries made; |
Independent auditor’s report to the directors of UKNSW Limited
• | gaining an understanding of the entity’s current activities, the scope of authorisation and the effectiveness of its control environment to mitigate risks related to fraud; |
• | discussion amongst the engagement team in relation to the identified laws and regulations and regarding the risk of fraud, and remaining alert to any indications of non-compliance or opportunities for fraudulent manipulation of financial statements throughout the audit; |
• | identifying and testing journal entries to address the risk of inappropriate journals and management override of controls |
• | designing audit procedures to incorporate unpredictability around the nature, timing or extent of our testing |
• | challenging assumptions and judgements made by management in their significant accounting estimates, including provisions |
• | review of the financial statement disclosures to underlying supporting documentation and inquiries of management. |
The primary responsibility for the prevention and detection of irregularities including fraud rests with those charged with governance and management. As with any audit, there remains a risk of non-detection or irregularities, as these may involve collusion, forgery, intentional omissions, misrepresentations or override of internal controls.
The purpose of our audit work and to whom we owe our responsibilities
This report is made solely to the company’s members, as a body, in accordance with the Companies Act 2006. Our audit work has been undertaken so that we might state to the company’s members those matters we are required to state to them in an auditor’s report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company’s members as a body, for out audit work, for this report, or for the opinions we have formed.

UKNSW Limited ("the Company"), provides business support services to North South West Limited.
The Company is a private limited company and is incorporated and domiciled in the
The financial statements have been prepared in accordance with UK-adopted International Accounting Standards and the requirements of the Companies Act 2006. The financial statements also comply with International Financial Reporting Standards (IFRS) as issued by the International Accounting Standards Board (IASB).
The Company was incorporated on 14 November 2024. These are the Company's first financial statements and they cover the period from incorporation to 31 December 2025. Accordingly, no comparative information is presented.
The functional currency of the Company is Great British Pound (GPB). The financial statements are presented in euro (EUR) and have been rounded to the nearest euro.
The following material accounting policies have been applied:
2. Basis of preparation and accounting policies
The financial statements of the Company have been prepared on an accruals basis in accordance with UK-adopted International Accounting Standards and in compliance with the Companies Act 2006.
Going concern
The financial statements have been prepared in accordance with UK-adopted International Accounting Standards and the requirements of the Companies Act 2006. The financial statements also comply with UK-adopted International Accounting Standards. They have been prepared under the assumption the Company operates on a going concern basis, which assumes the Company will be able to discharge its liabilities as they fall due.
After reviewing the Company's forecasts and projections, the Directors have reasonable expectations that the Company has adequate resources to continue in operational existence for the foreseeable future and is well placed to manage its business risks successfully. Accordingly, the Directors has adopted the going concern basis in preparing the financial statements.
Revenue recognition

Foreign currencies
Transactions in foreign currencies during the period have been converted at the rates of exchange ruling on the date of the transaction. Assets and liabilities denominated in foreign currencies have been translated at the rates of exchange ruling on the balance sheet date. Any gains or losses arising from these conversions are credited or charged to the Profit and Loss Account.
Taxes
The tax expense for the period represents the sum of current tax and deferred tax. Tax is recognised in the Statement of Profit or Loss and Other Comprehensive Income, except to the extent that it relates to items recognised in other comprehensive income or directly in equity, in which case the related tax is also recognised in other comprehensive income or directly in equity, respectively.
Current tax is the amount of income tax payable or recoverable in respect of the taxable profit or loss for the period. Taxable profit differs from profit or loss as reported in the Statement of Profit or Loss and Other Comprehensive Income because it excludes items of income or expense that are taxable or deductible in other periods, as well as items that are never taxable or deductible. The Company's current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on temporary differences between the carrying amounts of assets and liabilities in the consolidated financial statements and their corresponding tax bases. Deferred tax assets are recognised only to the extent that it is probable that sufficient future taxable profits will be available against which the deductible temporary differences or tax losses can be utilised.
Compensation to employees
Compensation refers to all forms of compensation that the Company provides to employees. Short-term benefits consist of, among other things, wages, paid holiday, paid absence, bonuses and compensation after termination of employment (pension). Short-term compensation is reported as an expense and a liability when there is a legal or informal obligation to pay compensation as a result of a past event and a reliable estimate of the amount can be made.

Financial assets
Initial recognition classification and measurement
Except forthose trade receivables that do not contain a significant financing component and are measured at the transaction price in accordance with IFRS 15, all financial assets are initially measured at fair value adjusted for transaction costs (where applicable).
Financial assets, other than those designated and effective as hedging instruments, are classified into one of the following categories:
- | amortised cost, |
- | fair value through profit or loss (FVTPL), or |
- | fair value through other comprehensive income (FVOCI). |
In the period presented the Company does not have any financial assets categorised as FVOCI and FVPTL. The classification is determined by both the Company's business model for managing the financial asset and the contractual cash flow characteristics of the financial asset.
All revenue and expenses relating to financial assets that are recognised in profit or loss are presented within finance costs, finance income or other financial items, except for impairment of trade receivables which is presented within other expenses.
Subsequent measurement
Financial assets at amortised cost
Financial assets are measured at amortised cost if the assets meet the following conditions (and are not designated as FVTPL):
- | they are held within a business model whose objective is to hold the financial assets and collect its contractual cash flows, and |
- | the contractual terms of the financial assets give rise to cash flows that are solely payments of principal and interest on the principal amount outstanding. |
After initial recognition, these are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.
Derecognition
Financial assets are derecognised when the contractual rights to the cash flows from the financial asset expire, or when the financial asset and substantially all the risks and rewards are transferred. A financial liability is derecognised when it is extinguished, discharged, cancelled or expires.

Notes to the Financial Statements (continued)
2. Basis of preparation and accounting policies (continued)
Financial assets (continued)
Impairment of financial assets
The Company assesses at each reporting date, whether there is objective evidence that a financial asset or a group of financial assets is impaired. A financial asset or a group of financial assets is deemed to be impaired if there is objective evidence of impairment as a result of one or more events that has occurred since the initial recognition of the asset (an incurred 'loss event') and that loss event has an impact on the estimated future cash flows of the financial asset or the group of financial assets that can be reliably estimated. Evidence of impairment may include indications that the debtors or a group of debtors is experiencing significant financial difficulty, default or delinquency in interest or principal payments, the probability that they will enter bankruptcy or other financial reorganisation and observable data indicating that there is a measurable decrease in the estimated future cash flows, such as changes in arrears or economic conditions that correlate with defaults.
Expected Credit Losses
In accordance with IFRS 9, impairment assessments require use forward-looking information to recognise expected credit losses-the 'expected credit loss (ECL) model'. Instruments within the scope of the requirements included loans and other debt-type financial assets measured at amortised cost and FVOCI, trade receivables, contract assets recognised and measured under IFRS 15, loan commitments and some financial guarantee contracts (for the issuer) that are not measured at fair value through profit or loss.
The Company considers a broad range of information when assessing credit risk and measuring expected credit losses, including past events, current conditions, reasonable and supportable forecasts that affect the expected collectability of the future cash flows of the instrument. In applying this forward-looking approach, a distinction is made between:
• | financial instruments that have not deteriorated significantly in credit quality since initial recognition or that have low credit risk ('Stage 1') and, |
• | financial instruments that have deteriorated significantly in credit quality since initial recognition and whose credit risk is not low ('Stage 2'). |
'Stage 3' would cover financial assets that have objective evidence of impairment at the reporting date.
'12-month expected credit losses' are recognised forthe first category (i.e. Stage 1) while 'lifetime expected credit losses' are recognised forthe second category (i.e. Stage 2).
Measurement of the expected credit losses is determined by a probability-weighted estimate of credit losses over the expected life of the financial instrument.
UKNSW Limited
Annual report and financial statements for the period ended 31 December 2025
Notes to the Financial Statements (continued)
2. Basis of preparation and accounting policies (continued)
Financial assets (continued)
Expected Credit Losses (continued)
The Company makes use of a simplified approach in accounting for trade and other receivables and records the loss allowance as lifetime expected credit losses. These are the expected shortfalls in contractual cash flows, considering the potential for default at any point during the life of the financial instrument. In calculating, the Company uses its historical experience, external indicators and forward-looking information to calculate the expected credit losses using a provision matrix.
Financial Liabilities
Initial recognition classification and measurement
Financial liabilities are recognised when the Company becomes a party of the contractual provisions of the financial instrument.
Financial liabilities within the scope of IFRS 9 are classified as financial liabilities at fair value through profit or loss. The Company determines the classification of its financial liabilities at initial recognition. All financial liabilities are recognised initially at fair value and, in the case of loans and borrowings, net of directly attributable transaction costs. The Company's financial liabilities include trade and other payables.
Financial liabilities at fair value through profit or loss
Subsequently, financial liabilities are measured at amortised cost using the effective interest method except for derivatives and financial liabilities designated at FVTPL, which are carried subsequently at fair value with gains or losses recognised in profit or loss (other than derivative financial instruments that are designated and effective as hedging instruments). All interest- related charges and, if applicable, changes in an instrument'sfair value that are reported in profit or loss are included within finance costs or finance income.
Derecognition
A financial liability is derecognised when the obligation under the liability is discharged or cancelled or expires. When an existing financial liability is replaced by another from the same lender on substantially different terms, or the terms of an existing liability are substantially modified, such an exchange or modification is treated as the derecognition of the original liability and the recognition of a new liability. The difference in the respective carrying amounts is recognised in the statement of profit and loss and other comprehensive income.
Financial Liabilities
Offsetting of financial instruments
Financial assets and financial liabilities are offset, and the net amount is reported in the statement of financial position if there is a currently enforceable legal right to offset the recognised amounts and there is an intention to settle on a net basis, to realise the assets and settle the liabilities simultaneously

Equity, reserves and dividend payments
Share capital represents the nominal (par) value of shares that have been issued.
Retained earnings includes all current period retained profits.
Significant accounting estimates and assumptions
Use of estimates and judgements
In preparing the Company's financial statements, management is required to make judgements, estimates and assumptions that affect reported income, expenses, assets, liabilities and disclosure of contingent assets and liabilities. Use of available information and application of judgement are inherent in the formation of estimates. Actual results in the future could differ from such estimates and the differences may be material to the financial statements. These estimates are reviewed on a regular basis and if a change is needed, it is accounted for in the year the changes become known.
Legal and regulatory
In the opinion of the management, the accounting estimates, assumptions and judgements made in the course of preparing these financial statements are not difficult, subjective or complex to a degree which would warrant their description as critical in terms of the requirements of IAS 1 (revised)- 'Presentation of financial statements'.
Changes in accounting policy
a) New standards, interpretations and amendments effective from 1 January 2025
The following new standards, amendments and interpretations are effective for the first time in these financial statements, but none have had a material effect on the Company:

Changes in accounting policy (continued)
b) New standards, interpretations and amendments as adopted by UK-adopted International Accounting Standards but not yet effective
The following new standards, interpretations and amendments, which have not been applied in these financial statements, will or may have an effect on the Company's future financial statements:
| Effective from |
Amendments IFRS 9 and IFRS 7 regarding the classification and measurement of financial instruments | 01/01/2026 |
Amendments to IFRS 9 and IFRS 7 – Contracts Referencing Nature-dependent Electricity | 01/01/2026 |

IFRS 18: Presentation and Disclosure in Financial Statements | 01/01/2027 |
IFRS 19 : Subsidiaries without Public Accountability- Disclosures | 01/01/2027 |
The Company has not early adopted all these revisions to the requirements of IFRSs and the Company's management is of the opinion that there are no requirements that will have a possible significant impact on the Company's financial statements in the period of initial application.
Management anticipates that all of the relevant pronouncements will be adopted in the Company's accounting policies for the first period beginning after the effective date of the pronouncement. No new standards, amendments and interpretations are expected to be relevant to the Company's financial statements
c) New standards, interpretations and amendments issued by UK-adopted International Accounting Standards but not yet adopted for use in the United Kingdom
There were none at the date of the authorisation of the Financial Statements.

Currency risk
Foreign currency risk is the risk that the fair value or future cash flows of a financial instrument will fluctuate because of changes in foreign exchange rates. The Company's exposure to the risk of changes inforeign exchange rates relates primarily to the Company's operating activities when revenue or expense, or assets and liabilities is denominated in a different currency from the Company's presentation currency. During the year under review, the Company's financial assets and liabilities were mainly held in EUR and GBP. To reduce transaction exposure, the Company uses currency bank accounts to the extent possible, to pay costs in different currencies in the same currency. The Company does not use derivatives for hedging.
Capital management
When managing capital, management has two objectives. Firstly, it aims to ensure that the Company continues as a going concern with an appropriate funding structure. Secondly, it aims to maintain optimal returns to shareholders and benefits to other stakeholders by keeping the Company's cost of capital at a low level.
Fair value Measurement
The carrying amount of the financial assets and liabilities in the financial statements are considered to approximate their fair values. The fair value of the financial assets and liabilities are included at an amount represented at which the instrument could be exchanged in a current transaction between willing parties, other than in a forced liquidation sale.
Cash and short-term deposits, current receivables with group companies and trade payables approximate the carrying amounts due to the short-term maturities of these instruments.

Fair value Measurement (continued)
IFRS 13 requires disclosure of the fair value measurement of the Company's assets and liabilities, the related valuation techniques, the valuation's recurrence and the inputs used to assess and develop those measurements.
The Group discloses fair value measurements by level of the following fair value measurement hierarchy:
• | Quoted prices (unadjusted) in active markets for identical assets or liabilities (level 1). |
• | Inputs other than quoted prices included within level 1 that are observable forthe asset or liability, either directly (that is, as prices) or indirectly (that is, derived from prices) (level 2). |
• | Inputs for the asset or liability that are not based on observable market data (that is, unobservable inputs) (level 3). |
The level in the fair value hierarchy within which the asset or liability is categorised is determined on the basis of the lowest input that is significant to the fair value measurement. Assets and liabilities measured at fair value are classified in their entirety into one of the three levels.
As at the reporting date there are no assets or liabilities measured at fair value. Consequently, no disclosures about valuation methodologies or significant unobservable inputs have been disclosed.
The following table shows the carrying amounts and fair values of financial assets and financial liabilities, including their levels in the fair value hierarchy. It does not include fair value information for financial assets and financial liabilities not measured at fair value if the carrying amount is a reasonable approximation of fair value.
