Basis of measurement and preparation of accounts
Sales, bank interest and other income were nil. The board adopted pre-incorporation formation costs of GBP 79.99 in this first period. The company was not UK VAT-registered; non-recoverable VAT is included in the costs. All services included in those formation costs were consumed by the period end, so no prepayment remains. Other expenses and the accounting loss for the period are GBP 79.99.
The shareholder bears these company costs without reimbursement. GBP 79.99 is recognised as a non-repayable shareholder contribution, separate from the share subscription and not as turnover or a director loan. No additional company costs, unpaid invoices or other payables existed at the balance-sheet date.
One ORDINARY share of nominal value GBP 1 was issued. The GBP 1 subscription remained unpaid at 28 February 2026 and is due and recoverable as confirmed by the director. Cash at bank and in hand was nil. Capital and reserves reconcile as GBP 1.00 issued capital plus GBP 79.99 shareholder contribution less GBP 79.99 retained loss, giving net assets and capital and reserves of GBP 1.00.
There were no employees, inventories, fixed assets, investments, other receivables or borrowings. The average number of employees was zero. There were no financial commitments, guarantees, off-balance-sheet arrangements or advances and credits provided to directors.
The supporting accounts retain pence. Balance-sheet amounts are presented in whole GBP. This accounting loss does not constitute a claim for a deductible trading loss, and no HMRC return is included in this Companies House filing.
