Notes to the Financial Statements
1. General Information
2SD TECHNOLOGIES LIMITED is a private company, limited by shares, incorporated in England & Wales, registered number 16192512 . The registered office is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The financial statements have been prepared under the historical cost convention, except where FRS 102 requires or permits an alternative measurement basis.
The financial statements are prepared in pounds sterling (£), which is the functional and presentational currency of the Company.
2.2. Going Concern Disclosure
The financial statements have been prepared on a going concern basis. The directors have considered the Company's financial position, expected future trading performance, cash flows and available financial resources for a period of at least twelve months from the date of approval of these financial statements.
On the basis of this assessment, the directors consider that the Company has adequate resources to continue in operational existence for the foreseeable future. Accordingly, the directors consider it appropriate to adopt the going concern basis in preparing the financial statements.
2.3. Turnover
Revenue represents amounts receivable for services provided in the ordinary course of the Company's activities, excluding VAT and trade discounts.
Revenue from IT consultancy and software development services is recognised when the Company satisfies its performance obligations by transferring the promised services to the customer and the amount of revenue can be measured reliably.
Where services are performed over a period of time, revenue is recognised by reference to the stage of completion of the relevant contract or project, where the outcome of the contract can be estimated reliably. The stage of completion is determined using an appropriate measure of performance, such as the proportion of services performed or costs incurred relative to the total expected costs, as appropriate to the nature of the contract.
Where amounts have been earned for services performed by the reporting date but have not yet been invoiced, the amount is recognised as accrued or unbilled revenue, subject to the Company's right to consideration and the requirements of FRS 102.
Amounts invoiced in advance of services being provided are recognised as deferred income and recognised as revenue as the related services are performed.
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Computer Equipment over 3 years on straight line basis

Page 3
2.5. Stocks and Work in Progress
Work in progress and unbilled work represents costs and/or amounts attributable to services performed on customer projects which have not yet been invoiced at the reporting date.
Such amounts are recognised in accordance with the Company's revenue recognition policy and are measured based on the value of services performed at the reporting date, taking into account amounts already invoiced and amounts expected to be recoverable.
Where the outcome of a contract cannot be estimated reliably, revenue is recognised only to the extent that recoverable costs are expected to be incurred.
Any expected losses on customer contracts are recognised immediately in profit or loss.
2.6. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.7. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the period, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.
2.8. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.
2.9. Research and development
Research and development expenditure is charged to profit or loss in the period in which it is incurred, except where the expenditure meets the criteria for recognition as an intangible asset under FRS 102.
The Company claims Research and Development Expenditure Credit ("RDEC") under the merged R&D tax relief scheme. The expenditure credit is recognised as other operating income in profit or loss when the Company has reasonable assurance that the relevant conditions have been satisfied and the credit will be received.
