1. Statutory Information
EBY INVESTMENT LTD is a private company, limited by shares, registered in England and Wales, registration number 14214818.
2. Accounting Policies
Basis of preparing the Financial Statements
These financial statements have been prepared in accordance with FRS 102 Section 1A (Small Entities) and the Companies Act 2006, under the historical cost convention as modified by the measurement of investment property at fair value.Going concern: The company holds an investment property valued at £425,000, financed by an interest-only mortgage of £300,353 and by loans from its director. The net liabilities of £86,496 at 31 July 2025 arise because the company owes its director £220,886; excluding these amounts, the company's assets exceed its liabilities. The director has confirmed that she will not seek repayment of these amounts in the foreseeable future and will continue to fund the company's costs, including mortgage interest and the remaining works to the property, until it is let. Surveys of the outstanding works have been arranged with a view to completing them and letting the property. The fixed-rate period of the mortgage ends shortly, and the director has taken the likely cost of a replacement rate into account in her assessment. Having considered the company's position for at least twelve months from the date of approval of these financial statements, the director considers it appropriate to prepare the accounts on a going concern basis.
Presentation Currency
The accounts are presented in £ sterling.
Turnover
Turnover comprises rental income receivable, recognised in the period to which it relates. No rental income was receivable in either period, as the property had not yet been let.

Notes to the Accounts

Deferred Tax
Deferred tax is recognised on timing differences between the treatment of items for accounting and tax purposes, to the extent that it is probable that it will be recovered or settled. No deferred tax asset has been recognised in respect of the difference between the tax base and the fair value of the investment property, or in respect of tax losses, as it is not yet sufficiently certain that suitable taxable profits will arise against which they could be used. The position will be reassessed once the property is let.

Notes to the Accounts

10. Directors advances, Credits and Guarantees
No advances or credits were granted by the company to its director, and no guarantees were given on her behalf. Related party transactions: The director, Henrietta Nwosu, funds the company. During the year she paid company costs of £15,439 personally, comprising mortgage interest of £11,611 and service charges of £3,828. At 31 July 2025 the company owed her £220,886 (2024: £205,447), of which £139,288 relates to funding of the property purchase and £81,598 to company costs. These amounts are unsecured, interest-free and have no fixed repayment date.
11. Post Balance Sheet Events
On 24 October 2025 the director paid £3,250 of service charges relating to the 2025/26 service charge year. This relates to a period after the balance sheet date and has not been recognised in these financial statements.
12. Additional Notes
Investment property: The company's leasehold flat is held as an investment property to earn rental income. It is measured at fair value at each reporting date, with changes in fair value recognised in profit or loss, and is not depreciated. The fair value of £425,000 at 31 July 2025 and 31 July 2024 has been determined by the director by reference to the purchase price and comparable sales of similar properties in the locality; no independent valuation has been obtained. Expenditure to bring the property into a condition fit for letting is capitalised. The historical cost of the property, including acquisition costs and capitalised works, is £464,357.Prior period adjustment: The accounts previously filed for the periods ended 31 July 2023 and 31 July 2024 did not recognise the company's expenses in the profit and loss account. Both reported a profit of £nil and retained earnings of £nil, with the expenditure carried instead in fixed assets and prepayments. This treatment was adopted on professional advice, on the basis that the company had not yet received rental income. It is not consistent with FRS 102, because costs relating to periods that have already elapsed are not assets, whether or not rental income has commenced. The error has been corrected in accordance with FRS 102 Section 10 by restating the comparative figures. In addition, expenditure to prepare the property for letting has been capitalised, and the investment property has been measured at fair value at each reporting date.Effect of the restatement: Retained earnings at 1 August 2023, previously reported as £nil, are restated as £(39,284). The loss for the year ended 31 July 2024, previously reported as £nil, is restated as £(28,925). Retained earnings at 31 July 2024, previously reported as £nil, are restated as £(68,209). Net assets at 31 July 2024, previously reported as £10, are restated as net liabilities of £(68,199). All 2024 comparative figures in these financial statements are the restated amounts. The notes to the 2024 accounts also referred to depreciation of £8,903, which did not correspond to any amount in those accounts; it has not been carried forward.
