Notes to the Financial Statements
1. General Information
Edinburgh Street Food Ltd is a private company, limited by shares, incorporated in Scotland, registered number SC670053 . The registered office is Hudson House, 8 Albany Street, Edinburgh, Lothian, EH1 3QB.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have assessed the Balance Sheet and likely future cash flows at the date of approving these financial statements. At 31 August 2026 the Company had net assets of £744,391 (2025: net liabilities of £116,680), following a profit for the year of £861,071. The Company had net current liabilities of £91,554 (2025: £502,480) at the balance sheet date.
The Company is financed in part by a loan from its parent company, Street Food Holdings Limited, of £521,502 at 31 August 2026, which falls due after more than one year. The directors have received confirmation that the parent company will not seek repayment of this balance within at least 12 months from the date of signing these financial statements, and will continue to provide financial support to the Company as required.
Having considered the Company's cash position of £425,941 at the year end, its trading performance and forecast cash flows, and the continued support of the parent company, the directors believe that the Company will be able to meet its liabilities as they fall due for at least 12 months from the date of signing these financial statements. Accordingly, they continue to adopt the going concern basis in preparing the financial statements.
2.3. Turnover
Turnover represents amounts receivable for goods and services provided in the normal course of business, net of discounts, promotional vouchers redeemed, VAT and other sales-related taxes. The Company's principal revenue streams are recognised as follows:
Bar (wet) sales – the Company sells food and drink directly to customers as principal. Revenue is recognised at the point of sale.
Vendor commissions and concessions – the Company operates its venues with permanent food vendors and guest traders. Sales made by vendors to customers are collected by the Company on the vendors' behalf; the Company acts as agent in respect of these sales and recognises as turnover only the commission and fixed concession fees to which it is entitled. Variable commission is recognised as the underlying vendor sales occur, and fixed fees are recognised over the period to which they relate. Amounts collected and not yet remitted to vendors are included within creditors.
Service charge income – service charges are recognised as turnover when the related sale occurs. Amounts subsequently distributed to employees are included within staff costs.
Other income – other income is recognised when the Company becomes entitled to it.
Promotional vouchers issued are recognised as a liability and released to turnover when redeemed or when they expire.
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Leasehold 5% Straight Line
Motor Vehicles 5% Straight Line
Fixtures & Fittings 10% Straight Line
Computer Equipment 33% Straight Line

Page 4
2.5. Leasing and Hire Purchase Contracts
Finance leases and hire purchase contracts – assets held under finance leases and hire purchase contracts, which transfer substantially all the risks and rewards of ownership to the Company, are capitalised as tangible fixed assets at the lower of fair value and the present value of the minimum lease payments, and depreciated over the shorter of the lease term and the asset's useful life. The corresponding obligation is included within creditors. Finance charges are allocated to the profit and loss account over the term of the agreement so as to produce a constant rate of charge on the outstanding balance.
Operating leases – rentals payable under operating leases, including property leases, are charged to the profit and loss account on a straight-line basis over the lease term. Lease incentives, such as rent-free periods, are recognised on a straight-line basis over the lease term, and the resulting difference between rent charged and rent paid is held as a rent accrual within creditors.
2.6. Stocks and Work in Progress
Stocks and work in progress are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads. Work-in-progress is reflected in the accounts on a contract by contract basis by recording turnover and related costs as contract activity progresses.
2.7. Financial Instruments
The Company has elected to apply the provisions of Section 11 "Basic Financial Instruments" of FRS 102 to all of its financial instruments. Financial instruments are recognised when the Company becomes party to the contractual provisions of the instrument.
Basic financial assets, including trade and other debtors, amounts owed by group undertakings and cash at bank, are initially measured at transaction price and subsequently at amortised cost, less any impairment. Basic financial liabilities, including trade and other creditors, bank and other loans, and amounts owed to group undertakings, are initially measured at transaction price and subsequently at amortised cost using the effective interest method. Balances payable or receivable within one year, and intercompany balances repayable on demand, are measured at the undiscounted amount expected to be paid or received.
Financial assets are assessed for impairment at each reporting date, and any impairment loss is recognised in the profit and loss account.
2.8. Taxation
The tax expense for the year comprises current and deferred tax. Current tax is the amount of corporation tax payable in respect of the taxable profit for the year, calculated using tax rates enacted or substantively enacted at the balance sheet date.
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date, principally arising from differences between depreciation and capital allowances on fixed assets. Deferred tax assets are recognised only to the extent that it is probable they will be recovered against future taxable profits. Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date and that are expected to apply to the reversal of the timing difference. Deferred tax balances are not discounted.
2.9. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.
2.10. Stocks
Stocks comprise bar stock and consumables, including consumables held for supply to vendors. Stocks are valued at the lower of cost and estimated selling price less costs to sell, after making due allowance for obsolete and slow-moving items. Cost is determined on a first-in, first-out basis.
3. Average Number of Employees
Average number of employees, including directors, during the year was: 106 (2025: 114)
