At 31 August 2026 the company had net liabilities of £89,874 (2025: £71,904) and made a loss of £17,970 for the year. The company has not yet started trading. It is fitting out a street food venue in Manchester, which is expected to open in July 2027. At the year end it held cash of £436,892. That cash is committed to completing the fit-out and is not available to meet the company's other obligations.
The company is financed mainly by its parent undertaking, Street Food Holdings Ltd ("SFH"), to which it owed £695,003 at the year end. That balance is included in creditors falling due after more than one year. SFH has confirmed that it will not seek repayment of this balance, or of any further amounts it advances, for at least twelve months from the date these financial statements are approved, unless the company is able to repay without affecting its ability to meet its other liabilities as they fall due.
To complete the fit-out and open the venue, the company needs to draw down a £1.4 million facility from Portman. The directors are also considering an equity raise of up to £450,000. They have prepared cash flow forecasts covering the period to Aug 27. Those forecasts assume that the Portman facility is drawn as planned, that the equity raise is completed and that the venue opens in July 2027. On those assumptions, the forecasts show that the company can meet its liabilities as they fall due.
Having considered these matters, the directors reasonably expect that the funding will be obtained and that the company has adequate resources to continue in operational existence for the foreseeable future. For this reason the financial statements have been prepared on a going concern basis. They do not include any adjustments that would be needed if the company were unable to continue as a going concern, such as writing down the fit-out costs to their recoverable amount or reclassifying amounts owed to group undertakings as falling due within one year.
