TRUSTEES' REPORT
FOR THE PERIOD ENDED 30 JUNE 2026
The Trustees present their annual report together with the financial statements of the Kind Meanwhile Ltd for the period 19 June 2025 to 30 June 2026. The Annual report serves the purposes of both a Trustees' report and a directors' report under company law. The Trustees confirm that the Annual report and financial statements of the charitable company comply with the current statutory requirements, the requirements of the charitable company's governing document and the provisions of the Statement of Recommended Practice (SORP) applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019).
Since the Company qualifies as small under section 382 of the Companies Act 2006, the Strategic report required of medium and large companies under the Companies Act 2006 (Strategic Report and Directors' Report) Regulations 2013 has been omitted.
Objectives and activities
l Policies and objectives
Kind Meanwhile will repurpose otherwise empty and unused land and property for meaningful community benefit. These spaces will primarily provide free and low-cost workspaces, storage, parking, and development areas for artists, entrepreneurs, non-profits, makers, and public and third-sector initiatives.
By transforming vacant spaces into vibrant hubs of activity, we aim to:
* Support local economic development
* Encourage innovation and creativity
* Foster stronger, more resilient communities
* Reduce urban blight and bring underutilised areas back into positive use
In setting objectives and planning for activities, the Trustees have given due consideration to general guidance published by the Charity Commission relating to public benefit, including the guidance 'Public benefit: running a charity (PB2)'.
l Strategies for achieving objectives
Kind Meanwhile achieves its charitable purposes by sourcing, securing, and transforming vacant, unutilized, or underutilised real estate assets (from both the public and private sectors) into vibrant hubs for community benefit.
Sourcing empty commercial, retail, or local authority properties via short-to-medium term "meanwhile" leases or licenses.
Subsidising and offering these physical footprints as free or low-cost workspaces, studio facilities, storage, and rehearsal areas for artists, creative initiatives, non-profits, and third-sector organisations priced out of standard commercial markets.
Deploying dedicated vacant property footprint to serve as localized, high-capacity distribution and storage hubs for essential goods.
Operating specialised crisis infrastructure - specifically cold-storage refrigerator/freezer capacity - to resolve food redistribution bottlenecks, enabling local authority and third-sector partners to store and distribute fresh surplus food safely.
Receiving bulk corporate and public donations (including food, warm clothing, household essentials, and educational supplies) and managing the sorting, logistics, and free direct distribution to individuals facing

financial hardship, as well as to partner charities, local schools, and community groups.
Providing structured space, mentorship, and operational support to individuals facing social or economic barriers who are seeking to launch social enterprises or community-focused ventures.
l Main activities undertaken to further the Company's purposes for the public benefit
Transforming empty, blighted, or underutilised commercial and public properties into active, safe, and welcoming community spaces. Reduces urban decay and high-street vacancy, restores pride in local neighbourhoods, and provides physical infrastructure for public use without burdening local taxpayers.
Providing free and heavily subsidised workspaces, maker facilities, and equipment to emerging artists, creative workers, and micro-entrepreneurs facing social or financial barriers.
Housing specialised crisis logistics - specifically industrial cold-storage refrigeration and freezing infrastructure - within dedicated vacant property footprints.
Operating free sorting, storage, and logistical distribution hubs for essential donated goods (e.g. non-perishable food, winter clothing, household goods, and educational supplies).
Establishing accessible, inclusive hubs that bring together charities, voluntary groups, and local residents to co-create projects, share resources, and host public events.
Achievements and performance
l Main achievements of the Company
During the financial period, the charity did not carry out operational programmes as it was in a dormant phase while completing the necessary legal setup, governance structuring, and preparation for registration with the Charity Commission for England and Wales.
Key achievements during the period include:
Establishment & Governance: Successfully incorporating the company and completing the foundational legal work, including drafting the governing articles, setting up board oversight, and establishing operational policies.
Charity Registration Preparation: Preparing of the application for charitable status to the Charity Commission to enable full operational launch.
Initial Funding: Securing foundational startup funding, receiving a initial donation totalling £5,001. These funds are held in unrestricted reserves to cover initial operational setup, statutory compliance costs, and launch overheads once registration is finalised.
Financial review
l Going concern
After making appropriate enquiries, the Trustees have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.
