Trustees' Report
for the Year Ended 30 June 2026
The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 June 2026. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Objectives and aims
The objective of the charity, and its principal activity in both the year under review and the preceding period, was the provision of pre-school education.
ACHIEVEMENTS AND PERFORMANCE
Charitable activities
Pre-school education, the Nursery's principal activity, was provided to 26 children during the year. The Nursery employed 8 staff during the year (2025 - 8 staff).
During the year, the Nursery received government funding from Inverclyde Council for all children aged 3-5years. Lunch and snacks were provided free to all children in 2025/26.
There was continued investment in the nursery environment and resources during the year.
The Trustees and staff remain focused on maintaining Duchal's ethos and values which, underpinned by the skill, empathy and enthusiasm of the staff, have allowed Duchal over its 50 plus year history to provide its distinctive, stimulating and caring environment for children.
FINANCIAL REVIEW
Financial position
The results reported in these financial statements, for the year ended 30 June 2026 as set out on pages 5 to 7, show a surplus of £34,982 (2025 - £27,963) and net assets of £283,904 (2025 - £248,922). The comparative figures were presented in the statutory accounts for the period to 30 June 2025.
The Trustees regard these results as satisfactory and are confident as regards the charity's future prospects.
Reserves policy
The charity has identified a minimum net current asset requirement of £50,000 in order to meet commitments as they fall due. The accounts show net current assets of £283,904 (2025 - £248,922).
Going concern
The company is mainly funded by Inverclyde Council grants and generates additional income from nursery activities.
After making appropriate enquiries, the Trustees have a reasonable expectation that the charity has adequate resources and reserves to continue in operational existence for the foreseeable future and therefore, for this reason they continue to adopt the going concern basis in preparing its financial statements.

FUTURE PLANS
Planned Improvements
During the 2026-27 financial year, the nursery plans to continue investing in and improving its facilities and learning environment.
The existing bathroom area will be modernised and reconfigured to provide three private toilet cubicles, together with a designated, enclosed and private changing station for children who require nappy changing.
These improvements will provide children with greater privacy, dignity, comfort and appropriate personal care facilities.
The nursery also plans to extend the outdoor garden area, creating additional space for children to explore, play and engage with nature. As part of this development, we intend to introduce additional woodwork equipment and resources, supporting children's opportunities to develop practical skills, creativity, problem-solving, confidence and an understanding of risk through supervised hands-on learning.
These planned improvements reflect the nursery's ongoing commitment to providing a high-quality, inclusive and stimulating environment that supports children's wellbeing, development and learning.
Funding 2026-27
The nursery's financial position remains strong for the 2025-26 financial year, providing a positive foundation for the year ahead.
The nursery is also preparing for the forthcoming change to Inverclyde Council's early years funding arrangements, under which funded provision will commence in the term following a child's third birthday. We recognise that this change will present additional financial challenges for the nursery and may have an impact on income levels and occupancy patterns.
In response, the nursery will continue to monitor income and costs carefully to ensure that the nursery remains financially sustainable. We will continue to review our costs and operations throughout the year and make appropriate adjustments where necessary, while maintaining our commitment to providing a high-quality early years' experience for all children.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.
Charity constitution
The company is a charitable company limited by guarantee and is governed by its Articles of Association. The management of the charity is the responsibility of the trustees who are elected under the terms of the Articles.
Recruitment and appointment of new trustees
The directors of the charitable company ("the charity") are its trustees for the purposes of charity law and, throughout this report, are collectively referred to as the Trustees. Trustees are appointed after a recruitment process. Trustees listed below have held office during the year and at the date of signing of this report.
Organisational structure
The charity is exempt from taxation under Section 505 of the Income and Corporation Taxes Act 1988. Duchal Nursery is run by unpaid trustees and is managed by the trustees, who in turn facilitate effective operations for operational matters including finance and employment.

Trustees' Report
for the Year Ended 30 June 2026
STRUCTURE, GOVERNANCE AND MANAGEMENT
Induction and training of new trustees
An induction process and regular communications inform and update both new trustees and existing trustees in respect of the organisation's legal status, constitutional documents and other general information, in addition to a review of the activities within the organisation. The charity will review its policies relating to induction and training to comply with any new guidelines and recommendations from the Office of the Scottish Charity Regulator. This is to ensure that its policies are sufficient to meet the training needs of its directors and staff and that the charity continues to maintain the highest possible standards of service.
Key management remuneration
The directors consider that the Board of Directors, who are the charity trustees, and the senior management team are the key people who oversee direction, focus and operations. The pay of the senior staff is reviewed annually by the Board of Directors. The Directors consider increases in conjunction with increases awarded to the wider staff team. In addition, the Directors benchmark pay levels with those in other voluntary organisations. No remuneration was paid to the Trustees for their services.
Risk management
The trustees are continually examining the major strategic, business and operational risks which the Company faces, to confirm that systems already established will enable regular reports to be produced so that the necessary steps can be taken to lessen these risks.

STATEMENT OF TRUSTEES' RESPONSIBILITIES
The trustees (who are also the directors of Duchal Nursery School for the purposes of company law) are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company law requires the trustees to prepare financial statements for each financial year. Under that law, the trustees have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law).
Under company law the trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to
| - | select suitable accounting policies and then apply them consistently; |
| - | observe the methods and principles in the Charities SORP; |
| - | make judgements and estimates that are reasonable and prudent; |
| - | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business. |
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent examiner's report to the trustees of Duchal Nursery School ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 June 2026.
Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:
| 1. | accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or |
| 2. | the accounts do not accord with those records; or |
| 3. | the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |
| 4. | the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). |
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

Notes to the Financial Statements
for the Year Ended 30 June 2026
| 1. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
Duchal Nursery meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting period policy note(s).
Preparation of accounts on a going concern basis
The financial statements have been prepared on a going concern basis. The Trustees have assessed the charitable company's ability to continue as a going concern and have reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. They have, therefore, continued to adopt the going concern basis of accounting in preparing these accounts and are satisfied that no material uncertainties exist in respect of the going concern basis.
Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, any performance conditions attached to the income have been met, it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.
Irrecoverable VAT is charged as a cost against the activity for which the expenditure was incurred.
Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.
| Freehold property | - |
Tangible fixed assets are included in the balance sheet at cost less accumulated depreciation and impairment losses. No value has been attributed to the land.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
All of the charity's funds are unrestricted funds. The Trustees intend to use part of the unrestricted funds for the future property requirements of the charity and have set up a designated fund to reflect this. The funds held in each of these categories are disclosed in note 10 of the accounts.
Duchal Nursery School
Notes to the Financial Statements - continued
for the Year Ended 30 June 2026
| 1. | ACCOUNTING POLICIES - continued |
Pension costs and other post-retirement benefits
The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.
Financial instruments
The Charity has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 ' Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transactions costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when the charity transfers the financial asset and substantially all the risks and rewards of ownership to another entity, or if some significant risks and rewards of ownership are retained but control of the asset has transferred to another party that is able to sell the asset in its entirety to an unrelated third party.
Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the charity after deducting all of its liabilities.
Basic financial liabilities
Basic financial liabilities, including creditors, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
