Notes to the Financial Statements
1. General Information
Kaboodle Solutions Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 09654103 . The registered office is 1.4 One Xpress, 1 George Leigh Street, Manchester, England, M4 5DL.
The company does not have a single principal place of business.
The company's accounting reference date was extended from 31 August 2025 to 31 December 2025 in order to match that of the group of which it became a subsidiary during the period. The comparatives may not be entirely comparable as a result.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern.
2.3. Significant judgements and estimations
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the amounts reported for assets and liabilities at the reporting date and the amounts reported for revenues and expenses during the year. However, the nature of estimation means that actual outcomes might differ from those estimates
.
The following judgement has been made by the directors in applying the company's accounting policies:
Development costs
The directors capitalise payroll costs for the technicians who make improvements to the company's IT systems, often bespoke to individual customers. These costs are then amortised over the expected period the software is expected to generate economic benefits for the company, namely five years.
2.4. Turnover
Turnover represents commission, booking fees, postage/administration costs, and event insurance cover for event bookings processed via the company's online ticketing platform. These are stated net of VAT and rebates and are recognised on receipt of funds from the end customer.
2.5. Intangible Fixed Assets and Amortisation - Other Intangible
Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

Patents and licences are being amortised evenly over their estimated useful life of five years.

Development costs are being amortised evenly over their estimated useful life of five years.
2.6. Research and Development
Software development costs are capitalised when it is probable that the software will generate economic benefits for the company and such costs can be measured reliably. These costs are capitalised on the Balance Sheet in the year in which they are incurred and are subsequently amortised over the useful economic life of the software of 5 years. The useful economic life is reviewed by the directors if there are any indications of impairment, and any impairment charges are debited to the Profit and Loss in full in that year. Development costs which do not meet the criteria above are charged to the Profit and Loss when they are incurred.

Page 4
2.7. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Fixtures & Fittings 20% on cost
Computer Equipment 33% on cost
2.8. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.9. Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
2.10. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.
2.11. Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
