In our opinion the financial statements:
-give a true and fair view of the state of the company's affairs as at 31 October 2025 and of its profit for the year then ended;
-have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
-have been prepared in accordance with the requirements of the Companies Act 2006.

Basis of opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

Other information
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.

Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.

Opinions on other matters prescribed by the Companies Act 2006

- the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and
- the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements.

Report of the Independent Auditors to the Members of
Henig Diamonds Limited

Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors.

We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
- adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
- the financial statements are not in agreement with the accounting records and returns; or
- certain disclosures of directors' remuneration specified by law are not made; or
- we have not received all the information and explanations we require for our audit.

Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page six, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.

Report of the Independent Auditors to the Members of
Henig Diamonds Limited

Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud.

The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

We gained an understanding of the legal and regulatory framework applicable to the company and the industry in which it operates, and considered the risk of acts by the company that were contrary to applicable laws and regulations, including fraud. We discussed with the Directors the policies and procedures in place regarding compliance with laws and regulations. We discussed amongst the audit team the identified laws and regulations, and remained alert to any indications of non-compliance.

During the audit we focussed on laws and regulations which could reasonably be expected to give rise to a material misstatement in the financial statements, including, but not limited to, the Companies Act 2006, UK tax legislation and distributable profits legislation. Our tests included agreeing the financial statement disclosures to underlying supporting documentation and enquiries with management.

Our procedures in relation to fraud included but were not limited to: inquires of management whether they have any knowledge of any actual, suspected or alleged fraud, and discussions amongst the audit team regarding risk of fraud such as opportunities for fraudulent manipulation of financial statements. We determined that the principal risks related to posting manual journal entries to manipulate financial performance and management bias through judgements in accounting estimates. We also addressed the risk of management override of internal controls, including testing journals and appropriateness of other entries in the nominal ledger; reviewing transactions around the end of the reporting period; and evaluating whether there was evidence of bias by the directors that represented a risk of material misstatement due to fraud.

Audit procedures performed in response to identified risks included testing journal entries, reviewing accounting estimates for evidence of management bias, evaluating the business rationale for significant unusual transactions, testing revenue recognition and performing procedures over the completeness and valuation of inventory balances.

The audit procedures performed were designed to identify material misstatements arising from fraud or error but were not designed to identify all instances of non-compliance with laws and regulations.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.

Notes to the Financial Statements
for the Year Ended 31 October 2025

1. STATUTORY INFORMATION

Henig Diamonds Limited is a private company, limited by shares, registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

The presentation currency of the financial statements is the Pound Sterling (£).

2. ACCOUNTING POLICIES

BASIS OF PREPARING THE FINANCIAL STATEMENTS
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

GOING CONCERN
The financial statements have been prepared on the going concern basis.

In assessing the appropriateness of the going concern basis of accounting, the directors have considered the Company's current financial position, available cash resources, borrowing facilities, working capital requirements and trading performance.

The directors have also reviewed post year-end trading results, cash flows and management information available up to the date of approval of these financial statements and have considered the impact of reasonably foreseeable adverse scenarios on the Company's operations and liquidity.

Based on this assessment, the directors have a reasonable expectation that the Company will have adequate resources to continue in operational existence and meet its liabilities as they fall due for a period of at least twelve months from the date of approval of these financial statements.

Accordingly, the directors continue to adopt the going concern basis in preparing these financial statements.

REVENUE RECOGNITION
Revenue represents amounts receivable for diamonds and jewellery supplied during the year, excluding value added tax and trade discounts.

Revenue is measured at the fair value of consideration received or receivable and is recognised only when the Company has transferred control and the significant risks and rewards of ownership of the goods to the customer.

Revenue is recognised when:
- the goods have been delivered to the customer and customer acceptance has been obtained where required;
- the Company retains neither continuing managerial involvement nor effective control over the goods sold;
- the amount of revenue can be measured reliably;
- it is probable that the economic benefits associated with the transaction will flow to the company; and
- the costs incurred or to be incurred in respect of the transaction can be measured reliably.

For goods supplied on approval or similar arrangements, revenue is recognised only when the customer has accepted the goods or the approval period has expired and the conditions for revenue recognition have been satisfied.

Where goods have been delivered before the reporting date but invoiced subsequent to the reporting date, revenue is recognised in the period in which control and the significant risks and rewards of ownership have transferred to the customer.

INTANGIBLE ASSETS
Intangible assets comprise website development costs and other software development expenditure.

Costs directly attributable to the development and implementation of identifiable software systems that are expected to generate future economic benefits are capitalised as intangible assets. Expenditure relating to maintenance and ongoing support is recognised in profit or loss as incurred.

Intangible assets are measured at cost less accumulated amortisation and accumulated impairment losses.

Amortisation is charged on a straight-line basis over the estimated useful economic life of three years, which reflects the expected period over which the assets are anticipated to generate economic benefits.

The useful economic life and residual value of intangible assets are reviewed annually.

TANGIBLE FIXED ASSETS
Tangible assets are stated in the statement of financial position at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.

Leasehold improvement costs comprise expenditure incurred on the refurbishment and fit-out of leased premises. Leasehold improvements are stated at cost less accumulated depreciation and impairment losses.

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Leasehold improvements10 year lease (over the period of lease )
Fixtures & fittings15% Written down value method
Computer equipment20% Straight line method

At each balance sheet date, the company reviews the carrying amounts of its property, plant and equipment to determine whether there is any indication that any items of property, plant and equipment have suffered an impairment loss. If any such indication exists, the recoverable amount of an asset is estimated in order to determine the extent of the impairment loss, if any. Where it is not possible to estimate the recoverable amount of the asset, the company estimates the recoverable amount of the cash-generating unit to which the asset belongs.

If the recoverable amount of an asset is estimated to be less than its carrying amount, the carrying amount of the asset is reduced to its recoverable amount. Impairment loss is recognised as an expense immediately.

Where an impairment loss subsequently reverses, the carrying amount of the asset is increased to the revised estimate of its recoverable amount, to the extent that the increased carrying amount does not exceed the carrying amount that would have been determined (net of depreciation) had no impairment loss been recognised for the asset in prior years. A reversal of an impairment loss is recognised as income immediately.

STOCKS
Stocks are stated at the lower of cost and net realisable value. Cost comprises purchase cost together with directly attributable costs incurred in bringing the inventories to their present location and condition. Net realisable value represents the estimated selling price in the ordinary course of business less all estimated costs of completion and costs necessary to make the sale.

When stocks are sold, the carrying amount of those stocks is recognised as an expense in the period in which the related revenue is recognised. The amount of any write-down of stocks to net realisable value and all losses of stocks are recognised as an expense in the period in which the write-down or loss occurs. The amount of any reversal of any write-down of stocks is recognised as a reduction in the amount of inventories recognised as an expense in the period in which the reversal occurs.

FINANCIAL INSTRUMENTS
The Company has elected to apply the provisions of Sections 11 and 12 of FRS 102 in respect of financial instruments.

The Company's basic financial instruments comprise cash and bank balances, trade debtors, trade creditors, bank loans and amounts due to and from directors and related parties.

Trade debtors are measured initially at transaction price and subsequently at amortised cost less estimated impairment losses.

Trade creditors and borrowings are measured initially at transaction price and subsequently at amortised cost using the effective interest method.

Financial assets are reviewed for impairment at each reporting date and provisions are recognised where there is objective evidence that amounts may not be fully recoverable.

TAXATION
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

DEFERRED TAX
Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the Balance Sheet date, except that:

- The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and

- Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

PROVISIONS
Provisions are recognised when the company has a present legal or constructive obligation arising as a result of a past event, it is probable that an outflow of economic benefits will be required to settle the obligation and a reliable estimate can be made. Provisions are measured at the present value of the expenditures expected to be required to settle the obligation using a pre-tax rate that reflects current market assessments of the time value of money and the risks specific to the obligation. The increase in the provision due to passage of time is recognised as interest expense.

FOREIGN CURRENCIES
The financial statements are presented in Sterling, which is also the functional currency of the company. Transactions in currencies, other than the functional currency of the company, are recorded at the rate of exchange on the date the transaction occurred. Monetary items denominated in other currencies are translated at the rate prevailing at the end of the reporting period. All differences are taken to the statement of comprehensive income. Non-monetary items that are measured at historic cost in a foreign currency are not retranslated.

HIRE PURCHASE AND LEASING COMMITMENTS
Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the lease s asset are consumed.

PENSION COSTS AND OTHER POST-RETIREMENT BENEFITS
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the company has no further payment obligations.

TRADE AND OTHER DEBTORS
Trade and other debtors that are receivable within one year and do not constitute a financing transaction are recorded at the undiscounted amount expected to be received, net of impairment. Those that are receivable after more than one year or that constitute a financing transaction are recorded initially at fair value less transaction costs and subsequently at amortised cost, net of impairment.

CASH AND CASH EQUIVALENTS
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.

TRADE AND OTHER CREDITORS
Trade and other creditors are initially recognised at fair value and thereafter stated at amortised cost using the effective interest method unless the effect of discounting would be immaterial, in which case they are stated at cost.

BORROWINGS
Interest-bearing borrowings are initially recorded at fair value, net of transaction costs.
Interest-bearing borrowings are subsequently carried at amortised cost, with the difference between the proceeds, net of transaction costs, and the amount due on redemption being recognised as a charge to the Profit and Loss Account over the period of the relevant borrowing.

Interest expense is recognised on the basis of the effective interest method and is included in interest payable and similar charges. Borrowings are classified as current liabilities unless the company has an unconditional right to defer settlement of the liability for at least twelve months after the reporting date.

SHARE CAPITAL
Ordinary shares are classified as equity. Equity instruments are measured at the fair value of the cash or other resources received or receivable, net of the direct costs of issuing the equity instruments. If payment is deferred and the time value of money is material, the initial measurement is on a present value basis.

DIVIDENDS
Dividends are recognised when they become legally payable. Interim equity dividends are recognised when paid. Final equity dividends are recognised when approved by the shareholders at an annual general meeting.

3. CRITICAL ACCOUNTING JUDGEMENTS AND KEY SOURCES OF ESTIMATION UNCERTAINTY

Critical Accounting Judgements
In the application of the Company's accounting policies, the directors are required to make judgements, apart from those involving estimations, that have the most significant effect on the amounts recognised in the financial statements.

(i) Capitalisation of Website Development Costs
The Company incurs expenditure in relation to the development and enhancement of its website and technology platforms.

Management exercises judgement in determining whether expenditure meets the recognition criteria for capitalisation as an intangible asset, including assessment of technical feasibility, expected future economic benefits and the ability to reliably measure the costs attributable to the project.

During the year, development expenditure relating to a new website platform was capitalised. The directors concluded that the expenditure satisfied the recognition criteria set out in FRS 102 and that the project remained under development at the reporting date.

(ii) Going Concern
In assessing the appropriateness of the going concern basis of preparation, the directors have exercised judgement in evaluating the Company's ability to continue in operational existence for a period of at least twelve months from the date of approval of the financial statements.

The assessment included consideration of current trading performance, profitability, available banking facilities, existing borrowing arrangements, liquidity levels, post year-end trading activity and cash flows, and the impact of reasonably foreseeable adverse scenarios.

The directors concluded that the use of the going concern basis remains appropriate.

(iii) Useful Economic Lives of Leasehold Improvements
The directors exercise judgement in determining the appropriate period over which leasehold improvements are depreciated. This assessment takes into account the remaining lease term, expected future use of the premises and the nature of the improvements undertaken.

Key Sources of Estimation Uncertainty
The estimates and assumptions that have a significant risk of resulting in a material adjustment to the carrying amounts of assets and liabilities within the next financial year are set out below.

(i) Valuation of Inventory
The Company holds inventories comprising diamonds and jewellery which are carried at the lower of cost and net realisable value.

Assessment of net realisable value requires management to estimate future selling prices, market demand, inventory turnover and the condition of inventory items. Changes in market conditions, customer demand or product pricing may result in revisions to these estimates and could affect future profitability.

(ii) Useful Economic Lives of Intangible and Tangible Assets
The annual amortisation charge for intangible assets and depreciation charge for tangible assets are sensitive to changes in the estimated useful economic lives and residual values assigned to assets.

Management reviews asset lives and residual values annually and revises estimates where necessary to reflect changes in expected patterns of economic benefit.

Henig Diamonds Limited (Registered number: 11618219)

Notes to the Financial Statements - continued
for the Year Ended 31 October 2025

(iii) Impairment of Trade and Other Debtors
Management assesses the recoverability of trade and other debtors by reference to historical collection experience, ageing profiles, customer-specific circumstances and expectations regarding future recoverability.

Changes in the financial position of customers or collection experience may result in revisions to impairment provisions.

(iv) Deferred Taxation
Deferred tax is recognised in respect of timing differences between the accounting treatment of transactions and their treatment for taxation purposes.

The measurement of deferred tax balances requires management to estimate the timing of reversal of temporary differences and the availability of future taxable profits where relevant.

Changes in future profitability or tax legislation may result in adjustments to deferred tax balances in future periods.
