Notes to the Financial Statements
1. General Information
H & Co Property Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 15195275 . The registered office is 67 Danbrook Road, London, SW16 5JY.
The presentation currency is £ Sterling.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The presentation currency is £GBP.
2.2. Going Concern Disclosure
The directors have considered the foreseeble future and consider that the companies income streams will contine to grow and that the company will be able to trade profitably based on it's projected income.
Further, the directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern and as such the directors consider the going concern basis of accounting appropriate.
Accordingly, the accounts are presented on a going concern basis.
2.3. Significant judgements and estimations
No significant judgements or material estimates, not included in notes reported elsewhere, have been used when preparing the financial statements.
2.4. Turnover
Turnover
Turnover represents amounts receivable for services provided in the ordinary course of business, measured at the fair value of the consideration received or receivable, net of VAT. Revenue is recognised in accordance with the five‑step model introduced by the 2024 amendments to FRS 102, which requires identification of performance obligations, determination of the transaction price, allocation to performance obligations, and recognition when control of the service transfers to the customer.
The company’s revenue streams comprise:
1. Commission income on rent collection
Commission earned for collecting rents on behalf of landlords is recognised as the service is performed, being the point at which the company satisfies its performance obligation of rent administration and remittance. Commission is typically calculated as a percentage of rents collected. As the company acts as agent in relation to rental income (which belongs to the landlord), only the commission element is recognised as turnover.
2. Property repairs and maintenance services
Where the company arranges repairs, maintenance or other works on behalf of landlords, revenue is recognised when the service has been provided, being the point at which the company fulfils its obligation to arrange and manage the works. The company assesses whether it acts as principal or agent for each transaction:
Where the company controls the service prior to transfer (e.g., selects contractors, bears credit risk, sets pricing), revenue is recognised gross.

2.4. Turnover - continued
Where the company merely arranges services on behalf of the landlord, revenue is recognised net, being only the commission or management fee.
This assessment is made in accordance with the revised revenue‑recognition guidance under FRS 102 Section 1A.
3. Holiday‑let management services (including cleaning and guest turnover)
For properties operated as holiday lets, the company provides guest‑turnover services, cleaning, check‑in/check‑out coordination and related activities. Revenue from these services is recognised over time as the services are delivered, reflecting the continuous transfer of service to the landlord.
Where the company acts as principal in delivering cleaning or guest‑turnover services (e.g., directly employing cleaners or subcontractors and setting service specifications), revenue is recognised gross. Where the company acts solely as agent, only the management fee is recognised.
4. Variable consideration and contract modifications
Where commission or service charges include variable elements (e.g., percentage‑based fees, ad‑hoc maintenance call‑outs), revenue is recognised only to the extent that it is highly probable that a significant reversal will not occur, consistent with the revised FRS 102 revenue model.
5. Timing of revenue recognition
Revenue is recognised when (or as) performance obligations are satisfied, which for the company’s services is generally:
At a point in time for rent‑collection commissions (service completed when rent is collected and processed).
Over time for holiday‑let cleaning and turnover services (continuous service delivery).
At a point in time or over time for repairs/maintenance depending on the nature of the service and whether the company controls the service prior to transfer.
2.5. Financial Instruments
Financial instruments are recognised in the company’s statement of financial position when the company become party to the contractual provisions of the instrument.
Basic financial assets
Basic financial assets which include trade and other receivables and cash and bank balances, are initially measured at transaction price including transaction costs.
Financial assets classified as receivable within one year are not amortised.
Where financial assets are classified as receivable in more than one year, they are subsequently carried at amortised cost using the effective interest rate method unless the arrangement constitutes a financing transaction, where the transaction is measured as the present value of the future receipts discounted at a market rate of interest.
Cash and cash equivalents
Cash and cash equivalents are basic financial instruments and include cash in hand, deposits held at call with banks, other short term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings within current liabilities.
Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.

2.5. Financial Instruments - continued
Basic financial liabilities, including trade and other payables, bank loans, loans from group companies and preference shares that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest method.
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of direct issue costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
2.6. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.
