Investment in associate: policy, significant judgment and supporting information
The company holds 1,250 ordinary shares, representing 25% of the ordinary share capital and ordinary voting rights, in Status Motor Group Ltd, company number 15910840, registered in England and Wales. Its principal activity is motor trading and its registered office is Unit 1 Bridge Connections, Ferry Lane, Rainham, RM13 9YH. The ordinary voting interest gives significant influence without control.
The investment is measured at acquisition cost less impairment. Mohammad Ilyas, the company's sole shareholder, director and ultimate controlling party, gifted the holding unconditionally to the company on 6 June 2025. The company gave no consideration, issued no shares in exchange and assumed no payment obligation.
The director's selected historical-cost policy measures this shareholder contribution at the actual consideration given by the recipient, which was nil. This is an accounting-policy judgment for the non-exchange gift; no monetary contribution reserve or gain is recognised. The nil carrying amount is not a fair-value estimate or a statement that the shares have no value. No valuation was established at the gift date.
At the gift date the holding was 25 ordinary shares representing 25%. By 31 March 2026 it was 1,250 ordinary shares representing the same 25% interest. No additional consideration was paid or is owed. There were no changes to the holding in the current period, no dividends and no obligation to provide financial support.
For both the period ended 19 October 2026 and the comparative period ended 31 March 2026, opening carrying amount, additions at historical acquisition cost, impairment and closing carrying amount were all £nil. The investment is reviewed for impairment; an impairment charge cannot reduce the nil carrying amount further.
The gift was a capital transaction, not revenue or a loan, and created no amount payable to Mohammad Ilyas or Status Motor Group Ltd. There were no transactions with the director or associate in the current period and no related-party receivables, payables, loans, advances, guarantees, commitments, security or bad-debt provisions at either reporting date.

Company information and basis of preparation
AMANEX HOLDINGS LTD is a private company limited by shares, incorporated in England and Wales on 6 June 2025, registered number 16500688. Its registered office is 60 60 Tottenham Court Road, Office 1685, Fitzrovia, London, W1T 2EW. The presentation and functional currency is pounds sterling, rounded to whole pounds.
These individual financial statements have been prepared in accordance with FRS 102, The Financial Reporting Standard applicable in the UK and Republic of Ireland, including Section 1A, and the Companies Act 2006, using historical cost. Recognition and measurement include the Periodic Review 2024 amendments effective for periods beginning on or after 1 January 2026. There are no revenue contracts, leases or other transactions affected by the principal new recognition requirements. The amendments have no effect on the reported figures; applicable disclosure changes have been incorporated.
The current period is 1 April 2026 to 19 October 2026. The director shortened the accounting period to provide updated financial statements. The reporting date is one day before the registered accounting reference date of 20 October 2026, within the seven-day flexibility in section 390(3) of the Companies Act 2006. The comparative income statement covers 6 June 2025 to 31 March 2026. The periods are of different lengths and are not directly comparable. The 31 March 2026 comparative balance sheet is restated as explained below.
Going concern
The director has assessed the company's ability to continue for at least twelve months from 20 October 2026, the approval date. His assessment takes account of the continuing investment holding, £100 available company cash, no liabilities, employees or contractual financial commitments and no intention to cease operations. On that basis the director considers the going-concern basis appropriate.
Cash, share capital and comparative presentation
Cash in hand is measured at its nominal amount. The 31 March 2026 comparative balance sheet has been restated to correct the classification of the £100 share subscription received in cash on 6 June 2025. The previous accounts incorrectly presented that subscription as called-up share capital not paid. The director confirms that the full £100 remained company cash, unspent, at both reporting dates.
At 31 March 2026, called-up share capital not paid is restated from £100 to £nil, cash in hand from £nil to £100, and net current assets from £nil to £100. Net assets and total equity remain £100. The correction has no effect on profit, share capital, net assets or equity. Opening balances for the current period are corrected on the same basis. The comparative investment disclosure is included under valuation information and policy; its carrying amount remains nil. These comparative corrections do not replace the earlier document on the public register.
At both reporting dates, issued and fully paid share capital comprised 100 ordinary shares of £1 each, totalling £100. No shares were issued in the current period. Share capital was £100 and retained earnings were nil at 1 April and 19 October 2026. There was no profit, dividend or other equity movement in the current period. Prior-period equity arose from the £100 original share subscription; prior-period profit and retained earnings were nil.
Related parties
Mohammad Ilyas is the sole shareholder, director and ultimate controlling party. In the comparative period he paid £100 cash on 6 June 2025 for the company's original ordinary shares and gifted the Status Motor Group Ltd holding without consideration. These were capital transactions, not revenue or loans. The subscription was fully settled; the unconditional gift created no amount payable to him or Status Motor Group Ltd. Details of the associate, the gift and its measurement are included under valuation information and policy.
There were no transactions with the director or the associate in the current period. At both reporting dates there were no related-party receivables or payables, loans, advances, guarantees, commitments, security or bad-debt provisions. The £100 cash is owned by the company and remains unspent.
Taxation
For both the current and comparative periods, profit before tax, expected tax on nil profit, reconciling differences, current tax charge, deferred tax charge and total tax charge were all £nil. There are no current-tax balances or recognised deferred-tax assets or liabilities. No income, chargeable gains, losses or timing differences giving rise to a tax balance were reported. The share subscription is capital and is not turnover.
Employees, dividends and commitments
The average number of employees was nil in each period. No dividends were declared, paid or payable in either period. There were no guarantees, contingent liabilities, capital commitments or other contractual financial commitments at either reporting date.
Events after the reporting period
The director has reviewed the period from 19 October 2026 to 20 October 2026, the approval date. There were no further transactions or changes to the investment holding; the full £100 company cash remained unspent. No event requiring adjustment to, or further disclosure in, these financial statements was identified in that review.
