One Million Mentors (Registered number: 08252639)

Report of the Trustees
for the Year Ended 31 March 2026

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2026. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES
The Organisation
One Million Mentors empowers young people aged 14 to 25 from diverse and disadvantaged backgrounds to become the best version of themselves by building trusted, one-to-one relationships with trained mentors. These connections help them build the knowledge, networks, skills and confidence they need to succeed in education, employment and social action. We operate across Greater London, the Cardiff Capital Region and Greater Manchester, in partnership with schools, colleges, local employers and community organisations. Since 2017 we have supported more than 7,000 young people, among them those with low attainment or low aspirations, those at risk of becoming NEET or of involvement in gang crime, care leavers and young carers.

The Board sets the strategic direction of the organisation and is responsible for policy development, staff recruitment and financial management. Following the transfer of the Environmental Leadership Programme to The Wildlife Trusts in February 2025 and the change of name in August 2025, this is the first full financial year in which the charity has operated solely as One Million Mentors.

Objectives
The objectives of the charity are to act as a resource for young people aged 14 to 25 by providing advice and assistance and organising educational and employability programmes and other activities as a means of:
1. advancing in life and helping young people by developing their leadership skills, capacities and capabilities to enable them to participate in society as independent, mature and responsible individuals;
2. advancing education; and
3. relieving unemployment and under-employment.

Public Benefit
The Trustees have complied with the duty in Section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission when reviewing the charity's objects, activities and plans for the future.

ACHIEVEMENTS AND PERFORMANCE
This section details the work of the programmes team, delivered between April 2025 and March 2026.

The need
Close to one million young people in the UK are not in education, employment or training, and one in five in England is experiencing a mental health problem. Advances in artificial intelligence risk leaving a significant share of the future workforce under-skilled by 2030, and rising social tensions have increased the need for programmes that build trust between communities. The trustees consider high-quality one-to-one mentoring a practical response: it gives a young person a trusted adult, a route to advice and a realistic sense of what is possible.

Mentoring delivery
During the year we supported 1,000 young people across our three established regions. We also piloted our offer in Liverpool, Sheffield and Newcastle to test how readily the model transfers to places where we have no existing delivery infrastructure, and that learning is shaping our approach to further expansion.

Impact
Before mentoring, only 21% of mentees knew how to access education or career advice, 38% had someone they could turn to and just over half felt hopeful about their future. After the programme, 81% know where to get help, 70% have a trusted adult and 79% feel more positive about their future. Nearly half report improved wellbeing, with 46% feeling happier and 42% less anxious. The trustees regard the rise in those with a trusted adult, from 38% to 70%, as the most telling of these figures, because it is the relationship rather than any particular piece of advice that carries most of the benefit.

Partnerships
We secured sponsoring partnerships during the year with Mott MacDonald, Grant Thornton, KPMG, Princes Ltd, Canon Medical and Veld Capital. These provide income and, as importantly, mentors from workplaces our young people would otherwise have little route into. We have continued to work closely with the Mayor of London's New Deal for Young People, now in its fifth year, and have been in discussion with the former team of Andy Burnham, the former Mayor of Greater Manchester, to support the MBacc scheme he established. We are in advanced discussions with several local councils about mentoring targeted at youth unemployment and community cohesion.

FINANCIAL REVIEW
Financial position
Total income received in the year ended 31 March 2026 amounted to £626k (2025: £877k), of which £267k was restricted income. Total expenditure amounted to £660k (2025: £1,063k) leaving accumulated funds of £8k (2025: £42k). The charity has negative unrestricted funds of £6k.

The organisation's focus is to be stable and sustainable. The Board and Executive team have worked closely together to attract additional funds into the organisation. We have a Finance Committee of the Board and stronger internal financial management and oversight. There is a long-term financial plan to generate surpluses over the current and future financial years to build up free reserves to meet our reserves policy.

Reserves policy
The reserves policy is to build reserves to a level of free unrestricted reserves equivalent to between one and three months of regular operating expenditure. The Board regularly reviews the reserve policy and is committed to a cost management and income generation plan to ensure sufficient reserves are in place.

FINANCIAL REVIEW
Going concern
The trustees have considered the charity's financial position, forecasts and plans for the coming year and have concluded that it is appropriate to prepare the financial statements on a going concern basis.

The charity is planning to reduce its level of activity up to March 2027, before increasing activity again from April 2027. Since the year end the charity continued to receive regular donations from another charity with which it shares a common trustee and unrestricted funds are now in a surplus position and cash remains positive. The trustees have reviewed the charity's cash flow forecasts and expected income and expenditure and are satisfied that it will have sufficient resources to meet its liabilities and ongoing commitments as they fall due.

The trustees have also considered the charity's plans to increase its activities from April 2027 and the funding required to support this. Based on the information currently available, the trustees do not consider that there are any material uncertainties regarding the charity's ability to continue as a going concern.

FUTURE PLANS
Our long-term goal remains to connect one million young people with one million mentors. Reaching it means scaling nationally, and we are doing so through established relationships with regional mayors, local authorities, Job Centres, educational institutions, charities and apprenticeship providers rather than by building our own presence in each new place. To support that growth the charity is seeking £1 million from funders interested in investing in a cost-effective programme that harnesses local social capital across UK cities, towns and villages, in order to empower and upskill the next generation to play their full part, economically and socially, in UK society.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

In the event of the company being wound up, members are required to contribute an amount not exceeding £1.

Recruitment and appointment of new trustees
The Trustees of One Million Mentors also serve as company directors for the purposes of charity law. Under the requirements of the Memorandum and Articles of Association, the Trustees are elected annually at the annual general meeting to serve for a period of three years and may put themselves forward for re-election. Unless otherwise determined by a general meeting, the number of the members of the Board of Trustees shall be nine, and meetings will be quorate when one-third of members or three members (whichever is the greater) are present.

The One Million Mentors Board of Trustees has met regularly across the year. In addition, the Finance Committee meets prior to each full Trustee meeting, to give further scrutiny and support as regards financial management, planning, and risk. The Trustees carry out a robust and open process to appoint new members to the Board and aim to recruit trustees based on the skills required to fill gaps on the Board.

Every effort is made to recruit a diverse group of Trustees and - as part of our commitment to opening up opportunities for power to our alumni - we have a regular programme of recruitment from our alumni body onto the Board, following a process of open recruitment against our usual skills-based criteria.

All new Trustees will receive ongoing support to help them contribute fully to their new roles. The process will be kept under review and developed, as necessary.

The Trustees have delegated day to day running of the charity to the Chief Executive.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Key management remuneration
The salaries and benefits paid by One Million Mentors will be fair and reasonable and in keeping with its position as a charitable organisation;
- Salary decisions will be influenced by the funding constraints placed upon One Million Mentors as a charity.
- Salary levels are reviewed regularly and set based on decisions which reflect the overall movement in 'cost of living', pay rends in the marketplace (with reference to reference to charitable, voluntary, and other public sector comparisons) and the charity's ability to pay.

One Million Mentors sets its own pay structure and considers arrangements in other sectors. Staff will understand how pay is determined and will be able to raise a grievance on pay and benefit decisions which directly affect them. Starting salaries for new posts are approved by the CEO and, at a senior leadership level, will be approved by the Trustees. The Trustee Board is responsible for setting (or increasing) the salary of the Chief Executive. All workers employed on a casual worker contract will be paid at least the minimum National Wage hourly rate

Risk management
One Million Mentors seeks to review and assess the risks it faces in all areas of its work and plans for the management of those risks. The implementation of an effective risk management policy ensures trustees and staff are able to make informed decisions, take timely action and operate effectively.

The responsibility for the governance of One Million Mentors, and therefore its risk management, rests with the trustees. Their involvement in reviewing the risk management process and its associated outcomes is essential and needs to be taken into consideration in any business planning process.

One Million Mentors defines risk as the uncertainty surrounding events and their outcomes that may have a significant effect, either enhancing or inhibiting any area of One Million Mentors operations.

The purpose of this policy is to ensure that the major risks which One Million Mentors is exposed to are identified and constantly reviewed, and that the correct systems have been established to manage those risks.

The process will involve careful consideration of:
- One Million Mentors's objectives
- Any external factors which may influence the organisation; and
- Past mistakes and problems.

Independent Examiner's Report to the Trustees of
One Million Mentors

Independent examiner's report to the trustees of One Million Mentors ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2026.

Responsibilities and basis of report
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement - matters of concern identified
Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.

I have completed my examination.

I have identified matters of concern in my report. I draw your attention to the balance sheet of the charity which shows negative unrestricted funds of £6,216, and to the trustees report and accounting policies going concern disclosure in note 1 which states that the charity is planning to reduce its level of activity and is reviewing their plans for future funding, whilst it continues to rely on receiving regular donations from another charity.

I confirm that no other matters have come to my attention in connection with the examination giving me reasonable cause to believe that in any material respect:

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; and
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I confirm that there are no other matters to which your attention should be drawn to enable a proper understanding of the accounts to be reached.

Income
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Donations and revenue grants are credited to the Statement of Financial Activities when received or receipt is probable, whichever is earlier. Where unconditional entitlement to grants receivable is dependent upon fulfilment of conditions within the charity's control, income is recognised when there is sufficient evidence that conditions will be met. Where there is uncertainty as to whether the charity can meet such conditions the income is deferred.

Contract income is recognised in the Statement of Financial Activities as it is earned.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

2. ACCOUNTING POLICIES - continued

Expenditure
Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure.

Allocation and apportionment of costs
All costs are allocated between the expenditure categories in the Statement of financial Activities on a basis designed to reflect the use of the resource. Costs relating to a particulate activity are allocated directly. Support costs, including governance costs, are apportioned on the basis of estimated aggregate time expended on each activity.

Taxation
The charity is exempt from corporation tax on its charitable activities.

Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

Cash and cash equivalents in the balance sheet comprise cash at banks and in hand and short term deposits with an original maturity date of three months or less. For the purpose of the statement of cash flows, cash and cash equivalents consist of cash and cash equivalents as defined above.

Creditors
