Statement of directors’ responsibilities in respect of the
financial statements
for the year ended 31 January 2026
The directors are responsible for preparing the Strategic Report, the Directors' Report and the financial
statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law
the directors have elected to prepare the financial statements in accordance with United Kingdom Generally
Accepted Accounting Practice including FRS 101 “Reduced Disclosure Framework” , and applicable law.
Under company law the directors must not approve the financial statements unless they are satisfied that
they give a true and fair view of the state of affairs of the Company and of the profit or loss of the Company
for that period. In preparing the financial statements, the directors are required to:
• select suitable accounting policies and then apply them consistently;
• state whether applicable United Kingdom Accounting Standards have been followed, subject to any
material departures disclosed and explained in the financial statements;
• make judgements and accounting estimates that are reasonable and prudent; and
• prepare the financial statements on the going concern basis unless it is inappropriate to presume
that the Company will continue in business.
The directors are responsible for safeguarding the assets of the Company and hence for taking reasonable
steps for the prevention and detection of fraud and other irregularities.
The directors are also responsible for keeping adequate accounting records that are sufficient to show and
explain the Company's transactions and disclose with reasonable accuracy at any time the financial position
of the Company and enable them to ensure that the financial statements comply with the Companies Act
2006.

Navan Labs UK Limited
Independent auditor's report to the members of Navan Labs
UK Limited
for the year ended 31 January 2026
Opinion
We have audited the financial statements of Navan Labs UK Limited for the year ended 31 January 2026
which comprise statement of comprehensive income, statement of financial position, statement of changes in
equity and notes to the financial statements, including significant accounting policies. The financial reporting
framework that has been applied in their preparation is applicable law and United Kingdom Accounting
Standards, including Financial Reporting Standard 101 Reduced Disclosures Framework (United Kingdom
Generally Accepted Accounting Practice).
In our opinion, the financial statements:
• give a true and fair view of the state of the company’s affairs as at 31 January 2026 and of its profit
for the year then ended;
• have been properly prepared in accordance with United Kingdom Generally Accepted Accounting
Practice;
• have been prepared in accordance with the requirements of the Companies Act 2006.
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and
applicable law. Our responsibilities under those standards are further described in the Auditor’s
responsibilities for the audit of the financial statements section of our report. We are independent of the
company in accordance with the ethical requirements that are relevant to our audit of the financial
statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical
responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained
is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors’ use of the going concern basis of
accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or
conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as
a going concern for a period of at least twelve months from when the financial statements are authorised for
issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in
the relevant sections of this report.
Other information
The directors are responsible for the other information contained within the annual report. The other
information comprises the information included in the annual report, other than the financial statements and
our auditor’s report thereon. Our opinion on the financial statements does not cover the other information
and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance
conclusion thereon.
Our responsibility is to read the other information and, in doing so, consider whether the other information is
materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise
appears to be materially misstated. If we identify such material inconsistencies or apparent material
misstatements, we are required to determine whether this gives rise to a material misstatement in the
financial statements themselves. If, based on the work we have performed, we conclude that there is a
material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.

UK Limited (continued)
for the year ended 31 January 2026
Report on the audit of the financial statements (continued)
Opinion on other matter prescribed by the Companies Act 2006
In our opinion based on the work undertaken in the course of our audit
• the information given in the strategic report and the directors' report for the financial year for which
the financial statements are prepared is consistent with the financial statements; and
• the strategic report and the directors' report have been prepared in accordance with applicable legal
requirements.
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course
of the audit, we have not identified material misstatements in the strategic report or the directors’ report.
We have nothing to report in respect of the following matters in relation to which the Companies Act 2006
requires us to report to you if, in our opinion:
• adequate accounting records have not been kept by the company, or returns adequate for our audit
have not been received from branches not visited by us; or
• the financial statements are not in agreement with the accounting records and returns; or
• certain disclosures of directors' remuneration specified by law are not made; or
• we have not received all the information and explanations we require for our audit.
Responsibilities of directors
As explained more fully in the directors’ responsibilities statement, the directors are responsible for the
preparation of the financial statements and for being satisfied that they give a true and fair view, and for such
internal control as the directors determine is necessary to enable the preparation of financial statements that
are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company’s ability to
continue as a going concern, disclosing, as applicable, matters related to going concern and using the going
concern basis of accounting unless the directors either intend to liquidate the company or to cease
operations, or have no realistic alternative but to do so.
Auditor’s responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are
free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes
our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit
conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists.
Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate,
they could reasonably be expected to influence the economic decisions of users taken on the basis of these
financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design
procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of
irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities,
including fraud is detailed below:
We obtained an understanding of the legal and regulatory frameworks within which the company operates,
focusing on those laws and regulations that have a direct effect on the determination of material amounts
and disclosures in the financial statements. The laws and regulations we considered in this context were
the Companies Act 2006 and Taxation legislation.

Independent auditor's report to the members of Navan Labs
UK Limited (continued)
for the year ended 31 January 2026
Report on the audit of the financial statements (continued)
We identified the greatest risk of material impact on the financial statements from irregularities, including
fraud, to be the override of controls by management. Our audit procedures to respond to these risks included
enquiries of management about their own identification and assessment of the risks of irregularities, sample
testing on the posting of journals and reviewing accounting estimates for biases, corroborating balances
recognised to supporting documentation on a sample basis and ensuring accounting policies are appropriate
under United Kingdom Generally Accepted Accounting Practice and applicable law.
A further description of our responsibilities for the audit of the financial statements is available on the
Financial Reporting Council’s website at: www.frc.org.uk/auditorsresponsibilities. This description forms part
of our auditor’s report.
Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of
the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's
members those matters we are required to state to them in an auditor's report and for no other purpose. To
the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the
company and the company's members as a body, for our audit work, for this report, or for the opinions we
have formed.

Going concern
At 31 January 2026, the Company has net current assets of £4,322,000 (2025: £6,119,000) and has
received written confirmation in the form of a letter of support from its parent company Navan Inc that it will
provide the necessary financial and operational support to enable the Company to meet its liabilities as they
fall due, for a period of at least twelve months from the date of approval of these financial statements.
The directors have prepared detailed financial forecasts which take into account the expected future trading
performance of the Company and the support level received. Having assessed the position of the parent
company, the directors have a reasonable expectation that the Company has reasonable resources and
support to continue in operational existence for the foreseeable future, being a period of at least twelve
months from the approval of these financial statements.
Accordingly, the directors continue to adopt the going concern basis in preparing these financial statements.
2.  Material accounting policies
Revenue
The Company employs sales and support staff who focus on booking & ticketing of flights, hotels & ancillary
services for business travel in the UK and throughout the world.
To determine whether to recognise revenue, the Company follows the five-step process detailed within IFRS
15. Revenue from contracts with customers is recognised when the Company satisfies a performance
obligation for a contracted service.
Performance obligations can be satisfied in a variety of ways upon successful completion of specific
obligation or as services are rendered. Revenue recognised is the value allocated to the satisfied
performance obligation over time or at a point in time excluding discounts, rebates, VAT and other sales
taxes.
The Company recognises revenue as follows:
• Intercompany income is derived from a contract to provide professional services to the ultimate
parent company Navan Inc. The performance obligation is satisfied over time as the immediate
parent company simultaneously receives and consumes the benefit of the service with no alternative
use and for which the Company is entitled to payment for the work performed to date.

2.  Material accounting policies (continued)
Revenue (continued)
• Variable commissions and fees are paid by the Company’s suppliers which are determined by
meeting volume targets detailed within the contractural arrangement. The performance obligation is
satisfied over time and is recognised to the extent that it is highly probable that a significant reversal
in the amount of cumulative revenue recognised will not occur when the uncertainty associated with
the variable consideration is subsequently resolved.
If the Company satisfies a performance obligation before it receives the consideration, this is reported either
as trade receivables or a contract asset in the Balance Sheet. The Company recognises a contract asset
where something other than the passage of time is required before the consideration is due in all other
cases.
If the Company has received consideration in respect of unsatisfied performance obligations, the Company
recognises a contract liability.
Where the Company acts as agent rather than principal, revenue is recognised net of the pass-through costs
to customers, which means that revenue recognised is comprised solely of fees or commissions.
Foreign currency
Functional and presentational currency
The Company’s functional and presentational currency is Pound Sterling.
Transactions and balances
Foreign currency transactions are translated into the functional currency using the spot exchange rates at
the dates of the transactions.
At each balance sheet date, monetary assets and liabilities that are denominated in foreign currencies are
retranslated at the rates prevailing at the balance sheet date. Any gain or loss arising from a change in
exchange rate subsequent to the date of the transaction is reported as an exchange gain or loss in the profit
or loss.
Employee benefits
Short-term benefits including holiday pay and annual bonuses are accrued as services are rendered.
Contributions to defined contribution pension schemes are charged to profit or loss as they become payable
in accordance with the rules of the scheme. Differences between contributions payable in the year and those
actually paid are shown as either accruals or prepayments in the balance sheet.
Share-based payments
The Company’s parent company, Navan Inc, operates group share award schemes under which certain
employees of the Company are awarded equity-settled share awards or restricted stock units (“RSUs”).
Additionally, the Employee Stock Purchase Plan (“ESPP”) allows eligible employees to contribute a portion
of their salaries via payroll deductions up to an agreed maximum amount set by the ultimate parent company
which will be used to purchase common stock at a discount to the market price per share. The Company has
no obligation to settle the awards.
Where share awards are awarded to employees, the fair value of the awards at the date of the grant is
charged to profit or loss over the vesting period. Non-market vesting conditions are taken into account by
adjusting the number of equity instruments expected to vest at each balance sheet date so that, ultimately,

Share-based payments (continued)
the cumulative amount recognised over the vesting period is based on the number of awards that eventually
vest.
Market vesting conditions are factored into the fair value of the awards granted. The cumulative expense is
not adjusted for failure to achieve a market vesting condition. The fair value of the award also takes into
account non-vesting conditions. These are either factors beyond the control of either party (such as a target
based on an index) or factors which are within the control of one or other of the parties (such as the ultimate
parent company keeping the scheme open or the employee maintaining any contributions required by the
scheme).
Where the terms and conditions of awards are modified before they vest, the increase in the fair value of the
awards, measured immediately before and after the modification, is also charged to profit or loss over the
remaining vesting period.
Where equity instruments are granted to persons other than employees, retained earnings is charged with
the fair value of goods and services received.
Current and deferred taxation
The tax expense for the period comprises current and deferred tax. Tax is recognised in the profit or loss,
except that a charge attributable to an item of income or expense recognised as other comprehensive
income or to an item recognised directly in equity is also recognised in other comprehensive income or
directly in equity respectively.
The current tax charge is calculated on the basis of tax rates and laws that have been enacted or
substantively enacted by the reporting date in the countries where the Company operates and generate
taxable income.
Deferred tax balances are recognised in respect of all timing differences that have originated but not
reversed by the balance sheet date, except that:
• the recognition of deferred tax assets is limited to the extent that it is probable that they will be
recovered against the reversal of deferred tax liabilities or other future taxable profits; and
• any deferred tax balances are reversed if and when all conditions for retaining associated tax
allowances have been met.
Deferred tax balances are not recognised in respect of permanent differences except in respect of business
combinations, when deferred tax is recognised on the differences between the fair values of assets acquired
and the future tax deductions available for them and the differences between the fair values of liabilities
acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws
that have been enacted or substantively enacted by the reporting date.
Property, plant and equipment
Property, plant and equipment are stated at historical cost less accumulated depreciation and any
accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing
the asset to the location and condition necessary for it to be capable of operating in the manner intended by
management.
Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated
useful lives.

Property, plant and equipment (continued)
Depreciation is provided on the following basis using the straight-line method:
Leasehold improvements
-
5 years
Fixtures and fittings
-
4 years
IT equipment
-
3 years
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively
if appropriate, if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are
recognised within ‘other operating income or losses' in profit or loss.
Financial instruments
Financial assets and financial liabilities are recognised in the Company's balance sheet when the Company
becomes a party to the contractual provisions of the instrument. Financial assets and financial liabilities are
initially measured at fair value. Transaction costs that are directly attributable to the acquisition or issue of
financial assets and financial liabilities (other than financial assets and financial liabilities at fair value through
profit or loss) are added to or deducted from the fair value of the financial assets or financial liabilities, as
appropriate, on initial recognition. Initial recognition of trade receivables is at their transaction price if the
trade receivables do not contain a significant financing component.
Financial assets
Classification
All financial assets are held at amortised cost in line with the Company’s business model to hold to collect
contractual cash flows and whose contractual terms give rise to cash flows on specified dates that represent
solely payments of principal and interest on the principal amounts. The Company has not designated any
assets at fair value through profit or loss.
Impairment
At each reporting date, the Company recognises loss allowances for expected credit losses (“ECL”) for all
financial assets held at amortised cost. At initial recognition, the Company records loss allowances at an
amount equal to 12-month ECL. If there is evidence of a significant increase in credit risk since initial
recognition, the allowance is increased to record the lifetime. When determining whether credit risk has
increased significantly, the Company considers reasonable and supportive information that is relevant and
available without undue cost or effort.
Trade receivables and contract assets are short-term in nature and do not contain significant financing
components. The Company has applied a practical expedient by using a provision matrix based on the
ageing and actual credit loss experience to calculate lifetime ECL. This has been adjusted for factors specific
to the underlying client, general economic conditions and forward-looking estimates.
Financial liabilities
All financial liabilities are held at amortised cost.
Borrowings are initially recognised at fair value, net of transaction costs incurred, and subsequently
measured at amortised cost.

Offsetting
Financial assets and liabilities are offset and the net amount is presented in the Balance Sheet when the
Company has a legal right to offset the amounts and intends to settle on a net basis or to realise the asset
and settle the liability simultaneously.
Dividends
Equity dividends are recognised when they become legally payable. Interim equity dividends are recognised
when paid. Final equity dividends are recognised when approved by the shareholders at an annual general
meeting.
3.  Critical accounting judgements and key sources of estimation uncertainty
Key sources of estimation uncertainty
Share-based payments
In determining the fair value of equity-settled share-based payments, the parent company makes
assumptions about future events and market conditions. In particular, the ultimate parent company has to
assess the likely number of shares that will vest and the fair value of each award granted by the ultimate
parent company. The fair value is determined by an independent expert using a valuation model which is
dependent on a number of assumptions including future volatility in the share price of the ultimate parent
company’s shares. These assumptions are inherently uncertain and could result in a material difference to
the recorded value of the share-based payment charge. The total expense recognised for share-based
payments in respect of employee services rendered during the year ended 31 January 2026 is £3,606,000
(2025: £1,613,000).

the payment, it was identified that the Company did not have sufficient distributable reserves at the time of
declaration, rendering the dividend unlawful under the Companies Act 2006.
As a result, the dividend was rescinded, and the financial statements have been adjusted accordingly with
the payment showing as a loan receivable from the parent company as at 31 January 2025.
On 9 September 2025, the Company had sufficient distributable reserves within Retained earnings to
declare an interim dividend of £2,300,000 to its parent company.

Assumptions
The fair value of the equity-settled share options and ESPP granted is estimated at the grant date using the
Black-Scholes model, taking into account the terms and conditions upon which the awards were granted.
The fair value of the equity-settled RSUs granted pre-IPO was estimated at the grant date using an
