4 Revised financial statements

These revised financial statements replace the original financial statements for the year ended
31 October 2025
.
They are now the statutory financial statements for that year.
They have been prepared as at
31 October 2025
and not as at the date of revision and accordingly do not deal with the events between those dates.
Correction to the preceding standard statement
In the standard statement immediately above, “31 October 2025” should read “28 July 2026”, the date on which the original financial statements were approved. These revised financial statements have been prepared as at 28 July 2026, not as at the date of revision, and accordingly do not deal with events between those dates.
The original financial statements did not comply with the requirements of the Companies Act 2006 because they contained incomplete comparative information for 2024 and errors in the recognition and presentation of assets, liabilities, income, finance costs and tax. These included erroneous CIS and PAYE/NIC balances, incorrect allocation of Iwoca finance costs between accounting periods, incorrect recognition and measurement of tax relating to loans to the director, and incorrect creditor classifications. They also omitted the required disclosure of advances to the director and incorrectly stated the average number of employees.
The revisions restore and restate the 2024 comparative figures and related opening reserves, correct the erroneous CIS and PAYE/NIC balances, and allocate Iwoca finance costs to the appropriate earlier periods. They recognise omitted sales and related debtors, recognise the Class 1A National Insurance expense and liability, recalculate ordinary Corporation Tax and tax relating to loans to the director, and remove the section 455 tax recoverable asset. The £9,000 creditor is reclassified as falling due within one year, and accruals are presented separately. A director’s advances disclosure has been added and the average number of employees corrected to nil for both years. The revised figures show a profit of £2,656 for the year ended 31 October 2025 and net liabilities of £3,905 at that date. The restated 2024 comparatives show a profit of £573 and net liabilities of £6,561.

5 Prior period adjustment – comparative figures

The comparative figures for the year ended 31 October 2024 have been restated to correct incomplete comparative information in the original 2025 financial statements and to reflect corrections to the 2024 accounts. The corrections include removing erroneous CIS and PAYE/NIC balances, correcting the Iwoca borrowing and related finance costs, recognising tax on loans to the director, and reclassifying creditors and staff training costs. The restated comparative figures show a profit of £573 for the year ended 31 October 2024 and net liabilities of £6,561 at that date. The related opening reserves at 1 November 2024 have been adjusted accordingly. These prior-period corrections are reflected in the comparative figures and opening reserves rather than charged to the profit for the year ended 31 October 2025.
For the year ending
31 October 2025
, the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

  • The director acknowledges their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of financial statements.
