Company registration number 03433979
The company is a private company limited by shares and registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.
The financial statements are presented in sterling and this is the functional currency of the company.
The financial statements have been prepared in accordance with FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland including Section 1A Small Entities.
The financial statements have been prepared under the historical cost convention in accordance with the Companies Act 2006.
After reviewing the company's forecasts and projections, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. The company therefore continues to adopt the going concern basis of accounting in preparing its financial statements.
Turnover represents rental income receivable from the property.
Transactions in foreign currencies are initially recognised at the rate of exchange ruling at the date of the transaction. At the end of each reporting period foreign currency monetary items are translated at the closing rate of exchange. Non-monetary items that are measured at historical cost are translated at the rate ruling at the date of the transaction. All differences are charged to profit or loss.
Deferred tax is recognised in respect of all timing differences between the recognition of income and expenses in the financial statements and their inclusion in tax assessments. Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date and that are expected to apply to the reversal of the timing difference, except for revalued land and investment property where the tax rate that applies to the sale of the asset is used. Current and deferred tax assets and liabilities are not discounted.
Tangible fixed assets are stated at cost or valuation less depreciation.
Investment property is carried at fair value determined annually and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided. Changes in fair value are recognised in profit or loss.
The company has elected to apply the provisions of Section 11 Basic Financial Instruments of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument.
Basic financial assets, including debtors, cash at bank and amounts due from related parties, are initially measured at transaction price and subsequently measured at amortised cost where appropriate.
Financial assets are assessed for indicators of impairment at each reporting date. Where there is objective evidence of impairment, any impairment loss is recognised in profit or loss.
Basic financial liabilities, including creditors, bank borrowings and amounts due to related parties, are initially recognised at transaction price and subsequently measured at amortised cost using the effective interest method where appropriate.

The Land and Buildings are an investment property rented to a group company. On 6th October 2020, the company property, Harwood House, was professionally valued by Christie & Co in accordance with the RICS Valuation - Global Standards (the "Red Book"), incorporating the International Valuation Standards ("IVS"), both effective from 31st January 2020. In Christie & Co's opinion, the Market Value of the Freehold Interest in the Property in its existing use and present condition as a fully equipped and operating entity, having regard to its trading potential as at the valuation date is £7,900,000.
The company owns the freehold interest in Harwood House, which is leased to its fellow group undertaking, Harwood House Limited, the operator of the nursing home business.
The directors have considered the value of the nursing home property as a whole and estimate that the combined value of the site at 31 July 2026 was approximately £7,995,888. Included within this amount are leasehold improvements and other leasehold assets with a carrying value of £352,966 recognised in Harwood House Limited.
After excluding these leasehold assets, the directors consider the fair value of the investment property owned by the company to be approximately £7,642,922, which is consistent with the carrying value included in these financial statements.
