STATEMENT OF DIRECTORS' RESPONSIBILITIES IN RESPECT OF THE DIRECTORS' REPORT AND THE FINANCIAL STATEMENTS
The Directors are responsible for preparing the annual report and the financial statements in accordance with applicable law and regulations.
Company law requires the Directors to prepare financial statements for each financial year. The Directors have elected to prepare these financial statements in accordance with United Kingdom Accounting Standards, including FRS 102, The Financial Reporting Standard applicable in the UK and Republic of Ireland, including Section 1A, and the requirements of the Companies Act 2006 applicable to companies subject to the small companies' regime.

• | select suitable accounting policies and apply them consistently; |
• | make judgements and accounting estimates that are reasonable and prudent; |
• | present information, including accounting policies, in a manner that provides relevant, reliable, comparable and understandable information; |

• | state whether applicable United Kingdom Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and |
• | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business. |
The Directors are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions, disclose with reasonable accuracy at any time the financial position of the Company and enable them to ensure that the financial statements comply with the Companies Act 2006.

These financial statements present information about the Company as an individual entity and not about its group. The Company has not prepared consolidated financial statements.

Amendments to FRS 102 that became effective for the current reporting period have been applied and did not have a material effect on these financial statements. NOTES TO THE FINANCIAL STATEMENTS (continued)
Critical accounting judgements and key sources of estimation uncertainty
The preparation of financial statements in conformity with FRS 102 requires the Directors to make judgements, estimates and assumptions that affect the application of accounting policies and the reported amounts of assets and liabilities.
The principal judgement made by the Directors in preparing these financial statements relates to the assessment of the recoverability of investments in subsidiary undertakings.
Investments in subsidiary undertakings are reviewed for indicators of impairment at each reporting date. In performing this assessment, the Directors consider the financial performance, net asset position and future prospects of the underlying subsidiary undertakings.
Based on this assessment, the Directors consider that the existing impairment provisions remain appropriate and that the carrying value of investments in subsidiary undertakings of £nil at 31 December 2025 is reasonable.
b)
Investments in subsidiary undertakings are measured at cost less accumulated impairment losses. At each reporting date, the Company assesses whether there is any indication that an investment may be impaired. Where such an indication exists, the recoverable amount is estimated and any impairment loss is recognised in profit or loss.
c) Trade and other payables
Basic financial liabilities, including amounts owed to group undertakings, are initially recognised at the transaction price and subsequently measured at amortised cost.
d) Trade and other receivables
Basic financial assets, including amounts due from group undertakings, are initially measured at the transaction price and subsequently measured at amortised cost.
At each reporting date, the Company assesses whether there is objective evidence that a financial asset is impaired. Any impairment loss is recognised immediately in profit or loss. Where an impairment loss subsequently decreases and the decrease can be objectively related to an event occurring after the impairment was recognised, the previously recognised impairment loss is reversed through profit or loss, subject to the asset not being carried above the amount that would have been recognised had no impairment occurred.
2. Employees and Directors' remuneration
The average number of employees during the year was nil (2024: nil).
No Directors received remuneration in respect of their services to the Company during the year (2024: £nil).
