Notes to the Financial Statements
1. General Information
ALBION YARD PROPERTIES LIMITED is a private company, limited by shares, incorporated in England & Wales, registered number 16041170 . The registered office is C/O Cantelowes Limited, 1 Royal Exchange Avenue, London, EC3V 3LT.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention, modified to include investment property at fair value, and in accordance with Financial Reporting Standard 102 Section 1A Small Entities “The Financial Reporting Standard applicable in the UK and Republic of Ireland” and the Companies Act 2006. These are the company’s first financial statements and cover the period from incorporation on 25 October 2024 to 31 October 2025. The financial statements are presented in sterling, which is the company’s functional currency, and are rounded to the nearest pound.
2.2. Going Concern Disclosure
At 31 October 2025 the company had net current liabilities of £677,307 and net liabilities of £31,069. The company is financed by bridging loans secured on its properties, which are repayable within twelve months of drawdown, and by an unsecured, interest-free loan from the director of £507,486, which is repayable on demand. The director has confirmed that he will continue to provide financial support to the company and will not seek repayment of his loan until the company is able to repay it without prejudicing its ability to meet its other liabilities as they fall due. Having considered the company’s expected cash flows covering a period of at least twelve months from the date of approval of these financial statements, the director considers it appropriate to prepare the financial statements on the going concern basis.
2.3. Turnover
Turnover comprises rental income receivable from the letting of the company’s investment properties under operating leases. Rental income is recognised on a straight-line basis over the term of the lease.
2.4. Investment Properties
Investment property comprises residential property held to earn rentals or for capital appreciation, or both, including property being refurbished for future use as investment property. Investment property is initially recognised at cost, which comprises the purchase price and directly attributable expenditure, including land transaction tax, legal fees, sourcing fees and refurbishment costs incurred to bring the property into a lettable condition. Investment property is subsequently measured at fair value at each reporting date, determined by the director. Changes in fair value are recognised in profit or loss. No depreciation is provided. Deferred tax is recognised on fair value gains and losses at the tax rates expected to apply when the property is sold.
2.5. Stocks and Work in Progress
Stock comprises property acquired and being refurbished for resale. It is stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises the purchase price, land transaction tax, legal and other directly attributable acquisition costs, and refurbishment costs incurred to the reporting date. Finance costs are recognised in profit or loss as incurred. At each reporting date stock is assessed for impairment, and any impairment loss is recognised immediately in profit or loss.
2.6. Financial Instruments
The company has elected to apply the provisions of Sections 11 Basic Financial Instruments and 12 Other Financial Instruments Issues of FRS 102. Loans, including bridging loans, are initially recognised at the transaction price net of transaction costs and are subsequently measured at amortised cost using the effective interest method. Arrangement fees, lender legal costs and exit fees are recognised in profit or loss over the term of the loan as part of the finance cost. Interest retained by the lender at drawdown is recognised as a prepayment and charged to profit or loss as it accrues. Amounts owed to the director and by group undertakings that are repayable on demand are measured at the undiscounted amount of cash expected to be paid or received. Trade creditors are measured at the transaction price.

The investment properties were acquired and refurbished during the period. The fair value at 31 October 2025 has been determined by the director by reference to the properties’ acquisition and refurbishment costs, which in the director’s opinion represent the best evidence of fair value at the reporting date because of the recent arm’s length purchases. The valuation was not carried out by an independent valuer. On the historical cost basis, investment property would have been included at £646,238.
