STRATEGIC REPORT
FOR THE YEAR ENDED 30 MARCH 2026
- 1 -
The directors present the strategic report for the year ended 30 March 2026.
Review of the business
The directors consider the company's performance during the financial year to have been satisfactory, with continued strong profitability, improved gross profit margins and a strengthened financial position.
Turnover for the year was £11,253,611 (2025: £12,062,690). The reduction was principally attributable to a large customer order received in the comparative period, which was not repeated during the year under review.
Profit before taxation amounted to £1,610,105 compared with £1,746,258 in the previous financial year, demonstrating the company's continued ability to generate healthy levels of profitability.
The directors are satisfied with the overall trading performance.
Financial Position
The company maintained a strong financial position throughout the year, with an increase in net assets and cash reserves.
Working capital remained healthy, providing the company with the financial resources necessary to support its ongoing operations and future development.
The company continued to invest in its operations and infrastructure during the financial year.
The directors consider that the company's financial position provides a sound foundation for maintaining its existing activities and pursuing future opportunities.
Principal risks and uncertainties
The directors recognise that the company operates within a competitive and evolving marketplace and that a number of external and operational factors may influence its future performance.
The principal risks and uncertainties facing the business, together with the measures taken to mitigate them, are outlined below.
Market Competition
The cleaning equipment and janitorial supplies industry remains highly competitive, with customers increasingly seeking high quality products, reliable service, competitive pricing, rapid delivery and innovative solutions.
The directors have extensive experience within the industry and possess a detailed understanding of the marketplace, including the strengths and weaknesses of competitors.
The company maintains close and regular contact with its customers, enabling it to respond to their changing requirements and expectations. Particular emphasis is placed on product quality, service standards, innovation, competitive pricing and delivery performance.
The increasing importance of environmental awareness and reporting has also created opportunities for the company to differentiate its offering through the provision of detailed product information and environmental reporting capabilities.
The company continues to invest in technology and innovation to strengthen its competitive position and enhance the services available to customers.

Supplier Relationships and Product Availability
The company recognises the importance of maintaining reliable supply chains and competitive purchasing arrangements to ensure continuity of supply and protect profitability.
As a member of the Jangro Group, the company benefits from the purchasing arrangements, supplier relationships and wider support available through the group.
In addition, the company's long-established presence within the industry has enabled it to develop strong and enduring relationships with numerous suppliers.
These relationships, together with the ability to source products from alternative suppliers where necessary, help mitigate the risks associated with supply chain disruption, product availability and fluctuations in purchasing costs.
Economic Conditions and Cost Inflation
The company operates in a market that can be affected by wider economic conditions, international events and fluctuations in supply chain costs.
Recent years have demonstrated the potential impact of events such as the COVID-19 pandemic and geopolitical instability on product availability, supplier pricing and transportation costs.
The directors actively monitor developments that may affect the company's supply chain and operating costs.
Where appropriate, the company takes proactive steps to manage stock levels and purchasing requirements, including purchasing products in advance of anticipated increases in demand or supplier costs.
These measures are intended to maintain continuity of supply, minimise disruption to customers and reduce the potential financial impact of external events.
Credit Risk
The company provides credit facilities to customers as part of its normal trading activities and is therefore exposed to the risk of delayed payment or customer default.
Customer accounts and outstanding balances are monitored daily, allowing the company to identify potential payment issues and take appropriate action promptly.
The directors consider that the company's established credit control procedures and the composition of its customer accounts help to limit exposure to significant individual credit risks.
Staff Recruitment and Retention
The directors recognise that the company's continued success depends upon the knowledge, experience and commitment of its employees.
The company benefits from a dedicated and experienced workforce, with strong retention levels among its core employees.
The directors seek to maintain a positive working environment and retain the skills and experience necessary to provide customers with consistently high standards of service.
The retention of experienced personnel helps maintain operational continuity, customer relationships and the specialist knowledge required within the business.

Development and performance
The company continues to focus on developing innovative solutions that enhance customer service, improve operational efficiencies and strengthen its competitive position.
An important development has been the launch of WessexHub, the company's integrated customer platform, designed to provide customers with a comprehensive solution for ordering, operational efficiency and environmental reporting.
WessexHub brings together a range of services and information within a single platform, enabling customers to manage their purchasing requirements more effectively while benefiting from improved access to product information and environmental reporting data.
The directors recognise that customers are increasingly seeking greater transparency regarding the products they purchase, together with practical tools to support their own efficiency and environmental objectives.
The development of WessexHub represents a significant step in responding to these changing requirements and provides a level of integrated functionality and service that the directors believe differentiates the company from its competitors.
The directors consider continued investment in innovation, technology and customer-focused solutions to be an important element of the company's long-term strategy.
Future Developments and Outlook
The directors remain confident in the company's future prospects and its ability to maintain a strong position within the cleaning equipment and janitorial supplies industry.
Following the exceptionally high level of turnover achieved in the previous financial year, the directors anticipate that turnover will remain broadly stable, with opportunities for modest organic growth in line with the company's historical underlying trading performance.
The company continues to focus on maintaining strong customer relationships, delivering high standards of service and developing its product and service offering to meet changing customer requirements.
Future Investment and Expansion
The company is planning to relocate to larger premises towards the end of 2026. The relocation will provide increased operational capacity and support the company's plans for future development.
The additional capacity will enable the company to accommodate new customers and respond to opportunities for growth while maintaining its established standards of service.
The directors consider the planned relocation an important investment in the company's future, providing a strong foundation for sustainable growth.

The directors are responsible for preparing the annual report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law, the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period.
In preparing these financial statements, the directors are required to:
select suitable accounting policies and then apply them consistently;

Opinion
We have audited the financial statements of Wessex Cleaning Equipment and Janitorial Supplies Limited (the 'company') for the year ended 30 March 2026 which comprise the statement of comprehensive income, the balance sheet and notes to the financial statements, including significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
give a true and fair view of the state of the company's affairs as at 30 March 2026 and of its profit for the year then ended;
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
have been prepared in accordance with the requirements of the Companies Act 2006.
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
The other information comprises the information included in the annual report, other than the financial statements and our auditor’s report thereon. The directors are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.

the information given in the strategic report and the directors' report for the financial year for which the financial statements are prepared is consistent with the financial statements; and
the strategic report and the directors' report have been prepared in accordance with applicable legal requirements.
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the strategic report and directors' report.
We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:
adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
the financial statements are not in agreement with the accounting records and returns; or
certain disclosures of directors' remuneration specified by law are not made; or
we have not received all the information and explanations we require for our audit.
Responsibilities of directors
As explained more fully in the directors' responsibilities statement, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.

Auditor's responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
The extent to which our procedures are capable of detecting irregularities, including fraud, is detailed below.
Based on our understanding of the company and industry, we identified that the principal risks of non-compliance with laws and regulations related to breaches of UK regulatory principles. We also considered the laws and regulations which have a direct impact on the financial statements such as the Companies Act 2006.
We evaluated management's incentives and opportunities for fraudulent manipulation of the financial statements (including the risk of override of controls), and determined that the principal risks were related to management bias in accounting estimates and judgmental areas of the financial statements.
Audit procedures performed by the audit engagement team included:
• Discussions with senior management, including consideration of known or suspected instances of noncompliance with laws and regulations or instances of fraud;
• Identifying and testing journal entries based on risk criteria;
• Designing audit procedures to incorporate unpredictability around the nature, timing or extent of our testing;
• Testing transactions entered into outside of the normal course of the company's business;
• Reviewing any potential litigation or claims against the entity which indicate any potential noncompliance issues.
There are inherent limitations in the audit procedures described above. We are less likely to become aware of instances of non-compliance with laws and regulations that are not closely related to events and transactions reflected in the financial statements. Also, the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentations, or though collusion.
A further description of our responsibilities for the audit of the financial statements is available on the Financial Reporting Council’s website at: http://www.frc.org.uk/auditorsresponsibilities. This description forms part of our auditor’s report.

Financial instruments

Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
1.9
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The current tax liability is recognised for the tax payable on the taxable profit of the current and past periods. A current tax asset is recognised in respect of a tax loss that can be carried back to recover tax paid in a previous period.

Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the profit and loss account, except when it relates to items charged or credited directly to equity, in which case the deferred tax is also dealt with in equity. Deferred tax assets and liabilities are offset when the company has a legally enforceable right to offset current tax assets and liabilities and the deferred tax assets and liabilities relate to taxes levied by the same tax authority.
1.10
Employee benefits
The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets.
The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.
Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
1.11
Retirement benefits
Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.
1.12
Leases
As lessee
Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of ownership to the lessees. All other leases are classified as operating leases.
Assets held under finance leases are recognised as assets at the lower of the assets fair value at the date of inception and the present value of the minimum lease payments. The related liability is included in the balance sheet as a finance lease obligation. Lease payments are treated as consisting of capital and interest elements. The interest is charged to profit or loss so as to produce a constant periodic rate of interest on the remaining balance of the liability.
Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the leases asset are consumed.
