Strategic Report
for the period 26 March 2025 to 31 December 2025
The Directors are pleased to present their Strategic Report for the period 26 March 2025 (date of incorporation) to 31 December 2025.
REVIEW OF BUSINESS
The Company acts as a UK-based provider of office administration, advisory and support services to related undertakings within the wider group of companies (the "Avoca Risk Group") to which it belongs, which is principally engaged in insurance broking and related activities. The Company does not generate income from unrelated third parties; its turnover represents recharges, of its own expenditure to related undertakings.
For the period from incorporation to 31 December 2025, the Company recorded a loss of £6,000 and as of 31 December 2025 had net liabilities of £5,923. This result is consistent with the Company's role as a cost-recovery service entity within the wider group, rather than a business run for its own profit.
Key performance indicators
Given the nature and scale of the Company's activities as an intra-group service provider, the Directors do not consider that additional financial or non-financial key performance indicators are necessary for an understanding of the development, performance or position of the Company's business, beyond the results set out in these financial statements.
PRINCIPAL RISKS AND UNCERTAINTIES
Risk factors likely to affect the future development of the Company are set out below.
Credit and liquidity risk
The majority of the Company's turnover and funding arise from recharges to, and support from, related undertakings within the wider group of companies the Company provides services to. The Company's exposure to credit and liquidity risk is therefore closely linked to the continued financial support of those related undertakings.
Group risk
This is the risk that the activities of the related undertakings with which the Company transacts have an adverse impact on the Company.
Operational risk
The Company's ability to conduct its administrative and support activities may be adversely affected by disruption to the systems, personnel or infrastructure of the related undertakings for which it provides services.
Financial risk management objectives and policies
The Company's principal financial instruments comprise cash at bank, amounts due to related undertakings, and other short-term payables, all of which arise directly from its operations. The Company does not enter into derivative transactions and does not trade in financial instruments speculatively.
The main financial risks arising from the Company's activities are credit and liquidity risk, both of which are managed through the ongoing financial support of related undertakings described under "Going concern" and "Credit and liquidity risk" above.

Report of the Directors
for the period 26 March 2025 to 31 December 2025
The directors present their report and the audited financial statements for the period 26 March 2025 to 31 December 2025.
The Company is part of a wider group which does not qualify as small under the Companies Act 2006. Accordingly, the Company does not qualify for the small companies' regime, and these financial statements and this report have been prepared as full financial statements, including a Strategic Report as set out on pages 2 to 3.
INCORPORATION
The company was incorporated on 26 March 2025.
PRINCIPAL ACTIVITY
The principal activity of the company in the period under review was that of the provision of combined office administrative service activities, advisory and support services, including but not limited to finance, compliance, corporate governance, marketing, and business development for other related/group companies.
REVIEW OF BUSINESS
The loss for the year amounted to (£6,000). As this is the first accounting period, there are no comparative figures.
DIVIDENDS
No dividends were declared or paid during the period.
EVENTS SINCE THE END OF THE PERIOD
Information relating to events since the end of the period is given in the notes to the financial statements.
DIRECTORS
The directors who have held office during the period from 26 March 2025 to the date of this report are as follows:
A K Carvill - appointed 26 March 2025
R T Cawley - appointed 26 March 2025
R J Klonk - appointed 26 March 2025
S E Tyler - appointed 29 September 2025
All the directors who are eligible offer themselves for election at the forthcoming first Annual General Meeting.
GOING CONCERN
The Directors have considered the financial position of the Company. At 31 December 2025 the Company had net current liabilities and net liabilities of £5,923, as it does not hold significant assets of its own and its costs are substantially met by recharges to, and funding from, related undertakings. Avoca Risk LLC has agreed to provide the Company with the financial support necessary to enable it to meet its liabilities as they fall due, for a period of at least twelve months from the date of approval of these financial statements. Having considered this support, the Directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. Accordingly, the financial statements have been prepared on a going concern basis.
PRINCIPAL RISKS AND UNCERTAINTIES
In accordance with section 414C(11) of the Companies Act 2006, the Directors have chosen to set out the Company's principal risks and uncertainties in the Strategic Report rather than repeating them in this report.
EVENTS AFTER BALANCE SHEET
The Directors confirm that there have been no events since the balance sheet date which would require disclosure in these financial statements.
STREAMLINED ENERGY AND CARBON REPORTING
Page 4
Britopia Holdings Limited
Report of the Directors
for the period 26 March 2025 to 31 December 2025
This section is prepared in accordance with the Streamlined Energy and Carbon Reporting framework introduced by the Companies (Directors' Report) and Limited Liability Partnerships (Energy and Carbon Report) Regulations 2018. The Company qualifies as a low energy user under that framework, having consumed 40,000 kWh or less of energy during the period, and accordingly is exempt from providing detailed energy consumption and greenhouse gas emissions disclosures.
STATEMENT OF DIRECTORS' RESPONSIBILITIES
The directors are responsible for preparing the Strategic Report, the Report of the Directors and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year.  Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period.  In preparing these financial statements, the directors are required to:
-
select suitable accounting policies and then apply them consistently;
-
make judgements and accounting estimates that are reasonable and prudent;
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
STATEMENT AS TO DISCLOSURE OF INFORMATION TO AUDITORS
So far as the directors are aware, there is no relevant audit information (as defined by Section 418 of the Companies Act 2006) of which the company's auditors are unaware, and each director has taken all the steps that he ought to have taken as a director in order to make himself aware of any relevant audit information and to establish that the company's auditors are aware of that information.
The directors confirm that:
- so far as each director is aware, there is no relevant audit information of which the Company's auditor is unaware, and
-  the directors have taken all the steps that they ought to have taken as directors in order to make themselves aware of any relevant audit information and to establish that the Company's auditor is aware of that information.
AUDITORS
In accordance with the provisions of section 489 of the Companies Act 2006, the Directors appointed Anstey Bond LLP as the Company's first auditors. A resolution to reappoint them as auditors of the Company will be proposed at the next general meeting at which accounts are presented before members.

Report of the Independent Auditors to the Members of
Britopia Holdings Limited
Opinion
We have audited the financial statements of Britopia Holdings Limited (the 'company') for the period ended 31 December 2025 which comprise the Income Statement, Other Comprehensive Income, Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and Notes to the Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
-
give a true and fair view of the state of the company's affairs as at 31 December 2025 and of its loss for the period then ended;
-
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
-
have been prepared in accordance with the requirements of the Companies Act 2006.
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report.  We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements.  We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Other information
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.  We have nothing to report in this regard.
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:true
-
the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and
-
the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements.
Page 6
Report of the Independent Auditors to the Members of
Britopia Holdings Limited
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors.
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
-
adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or
-
the financial statements are not in agreement with the accounting records and returns; or
-
certain disclosures of directors' remuneration specified by law are not made; or
-
we have not received all the information and explanations we require for our audit; or
-
the directors were not entitled to take advantage of the small companies' exemption from the requirement to prepare a Strategic Report.
Responsibilities of directors
As explained more fully in the Statement of Directors' Responsibilities set out on page five, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
Page 7
Report of the Independent Auditors to the Members of
Britopia Holdings Limited
Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion.  Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
We gained an understanding of the legal and regulatory framework applicable to the Company and the industry in which it operates and considered the risk of acts by the Company that were contrary to applicable laws and regulations, including fraud. In identifying and assessing risks of material misstatement in respect of irregularities, including fraud and non-compliance with laws and regulations, we considered the nature of the Company's operations, its control environment and business performance.
We designed audit procedures responsive to those risks, recognising that the risk of not detecting a material misstatement resulting from fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment through collusion, forgery, intentional omissions, misrepresentations or the override of internal controls.
We focused on laws and regulations that could reasonably be expected to have a material effect on the financial statements, including, but not limited to, the Companies Act 2006, UK tax legislation, and other regulatory requirements applicable to the Company. Our procedures included:
- enquiries of management regarding known or suspected instances of fraud and non-compliance with laws and regulations;
- reviewing relevant legal and regulatory correspondence, where applicable;
- agreeing disclosures in the financial statements to supporting documentation;
- reviewing accounting estimates and judgements for evidence of management bias;
- testing journal entries and other adjustments; and
- considering the risk of management override of controls.
There are inherent limitations in the audit procedures described above and, consequently, there is an unavoidable risk that material misstatements due to fraud or non-compliance with laws and regulations may not be detected. The further removed non-compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it.
As in all of our audits, we addressed the risk of management override of internal controls, including through journal testing and an evaluation of whether there was evidence of bias in accounting estimates and judgements that represented a risk of material misstatement due to fraud.
We did not identify any key audit matters relating to irregularities, including fraud.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.

2.
ACCOUNTING POLICIES
Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
The presentation currency of the financial statements is the GBP (£) and have been prepared to the nearest whole £.
Financial Reporting Standard 102 - reduced disclosure exemptions
As the Company does not qualify for the small companies' regime (see below), these financial statements have been prepared applying the full disclosure requirements of FRS 102, and no reduced disclosure exemptions have been taken.
Parent undertaking and controlling party
The Company's immediate parent undertaking is Avoca Risk LLC, a company incorporated in the United States. The Company's ultimate parent undertaking is Avoca Insurance Holdings, a company incorporated in Bermuda, that does not produce publicly available financial statements.
The group does not qualify as small under the Companies Act 2006, and accordingly the Company does not qualify for the small companies' regime, and these financial statements have been prepared as full financial statements.
Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.
Financial instruments
The Company's financial instruments comprise basic financial instruments only, being cash at bank, amounts owed to related undertakings, and other short-term creditors. These are initially recognised at transaction price and subsequently measured at amortised cost using the effective interest method, or at the undiscounted amount of cash expected to be paid or received where this does not differ materially, in each case less any impairment.
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme.  Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.
