Basis of measurement and preparation of accounts
The accounts use FRS 105 applicable to a period beginning on 27 January 2025, without early adoption of the later Periodic Review 2024 requirements. These are the first accounts. Figures are rounded to whole pounds; note amounts retain pence. Average employees: 0; paid providers were external contractors or suppliers.
Share capital
One ordinary share of £1 is fully paid. No share capital is unpaid.
Going concern and estimates
The accounts use the going-concern basis. The company has net liabilities of £4,340.32. Meeting near-term tax and operating obligations depends on the control of continuing trading receipts and collection of director and related-company balances. No HMRC instalment arrangement, guaranteed repayment plan or committed additional financing has been agreed. These conditions create a material uncertainty that may cast significant doubt on the company’s ability to continue as a going concern. The director confirmed an intention to continue trading on 26 October 2026 and considered at least twelve months from eventual approval. No adjustments arising from a cessation of trade are included. The collection and tax estimates remain subject to material factual uncertainties. The carrying value of the material Osadare receivable reflects estimated available resources and competing claims, rather than a guaranteed recovery. The actual £8,004.12 reciprocal settlement on 26 October is subsequent evidence, not January netting.
