| 1. | STATUTORY INFORMATION |
B.R. Barnes Limited is a
| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
The financial statements are presented in sterling, which is the company’s functional currency, and are rounded to the nearest pound.
Going concern
The directors have assessed the company’s ability to continue as a going concern for a period of at least twelve months from the date of approval of these financial statements. The company is profitable, generates regular cash flows from rental income and has substantial net assets. The net current liabilities at the year end mainly reflect tenants’ deposits, which are matched by cash held in designated bank accounts, and an amount owed to a director. The directors are therefore satisfied that there are no material uncertainties about the company’s ability to continue as a going concern, and the financial statements have been prepared on that basis.
Turnover
Turnover represents rent receivable from the company’s investment properties and is recognised on a straight-line basis over the period to which it relates. Rent received in advance is included in deferred income. Amounts recovered from tenants for service charges and insurance are deducted from the related costs.
Tangible fixed assets
| Plant and machinery etc | - |
Investment property
Investment property is property held to earn rental income or for capital appreciation. It is initially recognised at cost and is subsequently measured at fair value at each reporting date, with changes in fair value recognised in profit or loss. No depreciation is provided. Fair value gains, net of the related deferred tax, are not realised profits and are transferred from retained earnings to an undistributable reserve.
Financial instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 'Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the company's statement of financial position when the company becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the statement of financial position date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the statement of financial position date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Deferred tax on investment property measured at fair value is calculated using the tax rates and allowances that would apply to the sale of the property.
Cash and cash equivalents
Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

| 5. | INVESTMENT PROPERTY - continued |
On an historical cost basis this property would have been included at an original cost of £130,000 (2025: £130,000) and aggregate depreciation of £114,400 (2025: £111,800). The original cost excludes land of £53,279 (2025: £53,279), which is not depreciated.
Deferred tax of £280,196 (2025: £280,196) has been provided at 25% on the difference between the fair value of the investment properties and their indexed base cost for tax purposes. This represents the corporation tax that would be payable on chargeable gains if the properties were sold at fair value.
The valuation of the properties was carried out by the directors on 31 May 2026 based on prevailing market conditions in the areas where the properties are located.
Fair value at 31 May 2026 is represented by:

The undistributable reserve of £1,259,525 (2025: £1,315,564) represents the cumulative fair value gains on the investment properties, net of the related deferred tax. These gains are not realised profits under the Companies Act 2006 and therefore cannot be distributed to shareholders as a dividend.
The transfer between reserves of £56,039 corrects the undistributable reserve for the increase in deferred tax on the investment properties that was charged to profit and loss in the year ended 31 May 2024, for which no transfer was made at the time.
| 10. | RELATED PARTY DISCLOSURES |
Included in creditors is £20,430 (2025: £15,850) owed to N Chajet, a director. The loan is interest free and repayable on demand.
