Notes to the Financial Statements
1. General Information
HARRIS KERNOW LIMITED is a private company, limited by shares, incorporated in England & Wales, registered number 07982229 . The registered office is Sunset, Porthmeor, St Ives, Cornwall, TR26 1JZ.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The financial statements have been prepared on the going concern basis. At 31 March 2026 the company had net liabilities of £3,357,750, and net current assets of £5,271,377,
The company's principal liabilities comprise loans advanced by five family members totalling £9,021,683. These loans are not interest bearing. These loans are governed by formal agreements in force at 31 March 2026 which provide for repayment by instalments and restrict the lenders' rights to demand early repayment. Monthly repayments currently total £11,400 (£136,800 per annum).
The director has prepared and reviewed cash-flow forecasts up to October 2027 and considered the company's anticipated income, operating expenditure, contractual loan repayments, available financial resources and amounts receivable from subsidiary undertakings.
Having considered the completed cash-flow forecasts, the contractual financing arrangements and the company's financial position, the director is satisfied that the company has adequate resources to meet its liabilities as they fall due and to continue in operational existence for the foreseeable future. Accordingly, the director considers it appropriate to prepare the financial statements on the going concern basis.
2.3. Investment Properties
All investment properties are carried at fair value determined annually and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided for. Changes in fair value are recognised in the profit and loss account.
2.4. Financial Instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 'Other
Financial Instruments Issues' of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the company's balance sheet when the company becomes party to the
contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price
including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.
Basic financial liabilities
Basic financial liabilities, including creditors, bank loans and loans from fellow group companies, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.

2.4. Financial Instruments - continued
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised in current liabilities.
Loans from directors and close family members
The company has elected to apply the exemption available under paragraph 11.13A(a) of FRS 102 in respect of loans received from directors and members of their group of close family members. Accordingly, qualifying loans are initially recognised at transaction price rather than at the present value of future repayments discounted at a market rate of interest. These loans are subsequently measured at amortised cost using the effective interest rate implicit in the contractual arrangements, which is nil for the interest-free loans concerned.
2.5. Investments in subsidiary and associated undertakings
Investments in subsidiary and associated undertakings are measured at cost less accumulated impairment losses.
At each reporting date, the company assesses whether there is any indication that an investment may be impaired. Where such an indication exists, the investment’s recoverable amount is estimated and any impairment loss is recognised in the profit and loss account.
Dividend income is recognised when the company’s right to receive payment is established.
2.6. Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends
payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
