HPREF II UK MINORITY HOLDINGS LIMITED

Notes to the Financial Statements

for the Period Ended 31 December 2025

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

    Other accounting policies

Summary of material accounting policies A summary of the principal accounting policies, all of which have been applied consistently throughout the period presented is set out below: a) Basis of preparation These Financial Statements are prepared on a going concern basis under the historical cost convention. The preparation of Financial Statements requires the use of certain critical accounting estimates. It also requires management to exercise its judgement in the process of applying the Company’s accounting policies. The areas involving a higher degree of judgement or complexity, or areas where assumptions and estimates are significant to the Financial Statements, are disclosed in note 4. b) Exemptions under FRS 102 Section 1A The Company qualifies as a small entity under the Act, and is entitled to certain exemptions under Section 1A as a result, including the need to provide a Statement of Cash Flows. The Company has taken advantage of this exemption in preparing these Financial Statements. c) Going Concern The financial information presented within these Financial Statements have been prepared on a going concern basis. The Directors have made an assessment of going concern, taking into account both the Company’s current performance and outlook, using available information to the date of issue of these Financial Statements. The Financial Statements have been prepared on a going concern basis, following assessment by the Directors that the Company has the ability to meet any obligations through resources to be made available in the foreseeable future. d) Foreign currency translation Functional and presentation currency The Financial Statements are presented in Great British Pounds (GBP), which is also the Company’s functional currency. Transactions and balances Monetary assets and liabilities denominated in foreign currencies are translated into GBP amounts at the year end exchange rate. Income and expense items denominated in foreign currencies are translated into GBP amounts using the exchange rate on the date of the transaction. Foreign exchange gains and losses resulting from the settlement of such transactions and from the translation at year end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in the Statement of Comprehensive Income. Non-monetary items that are measured at fair value in a foreign currency are translated using the exchange rates at the date when the fair value was determined. Translation differences on assets and liabilities carried at fair value are reported as part of the fair value gain or loss. For example, translation differences on non-monetary assets and liabilities such as equities held at fair value through profit or loss are recognised in profit or loss as part of the fair value gain or loss and translation differences on non-monetary assets such as equities classified as at fair value through other comprehensive income are recognised in other comprehensive income. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction. e) Expenses All expenses are recognised on an accruals basis as incurred. f) Share capital and distributions to shareholders Ordinary shares are classified as equity. Incremental costs directly attributable to the issue of new ordinary shares or options are shown in equity as a deduction, net of tax, from the proceeds. Dividend distribution to the Company’s shareholders is recognised as a liability in the Company’s financial statements in the period in which the dividends are approved by the Company’s shareholders. g) Financial Instruments Recognition Financial assets and financial liabilities are recognised when the Company becomes a party to the contractual provisions of the financial instrument. Basic financial assets Basic financial assets including trade and other receivables and cash instruments are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Such assets are subsequently carried at amortised cost using the effective interest method. At the end of each reporting period, financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the assets original effective interest rate. The impairment loss is recognised in the Statement of Comprehensive Income. If there is a decrease in the impairment loss arising from an event occurring after the impairment was recognised, the impairment is reversed. The reversal is such that the current carrying amount does not exceed what the carrying amount would have been had the impairment not previously been recognised. The impairment reversal is recognised in the Statement of Comprehensive Income. Other basic financial assets, including investments in equity instruments which are not subsidiaries, associates or joint ventures are stated at cost but written down to their realisable value if, in the Directors’ opinion, there has been an impairment in their value. Financial assets are derecognised when: (a) the contractual right to the cash flows from the asset expire or are settled, or (b) substantially all the risks and rewards of the ownership of the asset are transferred to another party, or (c) control of the asset has been transferred to another party who has the practical ability to unilaterally sell the asset to an unrelated party without imposing additional restrictions. Basic financial liabilities Basic financial liabilities, including trade and other payables are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest. Such liabilities are subsequently carried at amortised cost using the effective interest method. Offsetting financial instruments Financial assets and liabilities are offset and the net amount reported in the Statement of Financial Position only when there is legally enforceable right to offset the recognised amounts and there is an intention to settle on a net basis, or to realise the asset and settle the liability simultaneously. Cash and cash equivalents Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term highly liquid investments with original maturities of three months or less and bank overdrafts. Effective interest method The effective interest method is a method of calculating the amortised cost of the financial instrument over the relevant period. The effective interest rate is the rate that exactly discounts estimated future cash flows throughout the expected life of the financial instrument, or when appropriate, a shorter period, to the net carrying amount of the financial instrument. When calculating the effective interest rate, the Company estimates cash flows considering all contractual terms of the financial instrument. h) Taxation expense The Company is taxed at the standard rate of corporate tax in the United Kingdom, which was 25% for the year ending 31 December 2025. Current tax Current tax is the expected tax payable or receivable on the taxable profit or loss for the period, using tax rates enacted or substantively enacted at the Statement of Financial Position date, and any adjustment to tax payable in respect of previous periods.
