Accounting policies

Significant accounting policies
The financial statements have been prepared under the historical cost convention and in accordance with FRS 102, the Financial Reporting Standard applicable in the UK and Republic of Ireland, as applied to small entities by Section 1A of the standard. The financial statements are presented in sterling and rounded to the nearest pound. The comparative figures have been restated; see the prior period adjustment note.
Pensions: the company operates a defined contribution pension scheme. Contributions are charged to the profit and loss account as they become payable.
Going concern basis
The directors have considered the company's cash resources of £143,464 at the year end, its contracted and recurring revenue and its trading since the year end, and consider that it is well placed to manage its business risks successfully. Accordingly, they have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Thus they continue to adopt the going concern basis of accounting in preparing the financial statements.
Turnover
Services are sold either as monthly contracts invoiced in arrears or as blocks of credits paid in advance. Turnover is recognised as the service is delivered, measured by credits used or hours delivered in the period. Amounts received for credits not yet used are carried as deferred income. Services delivered but not yet invoiced are included as accrued income. Credits that expire unused are recognised as turnover on expiry.
Government grants
Government grants are recognised in other operating income when they are receivable and the conditions attached to them have been met (performance model).
Operating lease rentals
Rentals payable under operating leases, including the motor vehicle contract hire, are charged to the profit and loss account on a straight-line basis over the lease term. The initial rental is spread over the term of the lease.
Finance lease and hire purchase charges
Interest on hire purchase contracts is charged to the profit and loss account over the term of the contract.
Research and development expenditure
Research and development expenditure is written off as incurred. The research and development expenditure credit is recognised in other operating income in the period in which the qualifying expenditure is incurred, once the claim can be quantified with reasonable certainty, and is set against the corporation tax liability for the period.
Taxation
The tax charge comprises current and deferred tax. Current tax is calculated using the tax rates and laws that have been enacted or substantively enacted at the reporting date.
Deferred taxation
Deferred tax is recognised in respect of timing differences that have originated but not reversed at the reporting date, including unrelieved tax losses to the extent that it is probable that they will be recovered. Deferred tax is measured at the tax rates expected to apply when the timing differences reverse.
Tangible fixed assets
Tangible fixed assets are stated at cost less depreciation. Depreciation is provided at rates calculated to write off the cost of fixed assets, less their estimated residual value, over their expected useful lives on the following basis:
Fixtures and fittings - 25% reducing balance
Computer equipment - 33% straight line
Motor vehicles - 25% reducing balance
Assets on finance lease and hire purchase
Assets held under hire purchase contracts are capitalised and depreciated over their useful lives. The capital element of future payments is shown in creditors.
Provisions for liabilities
Provisions for liabilities comprise the provision for deferred tax, which is recognised and measured as set out in the taxation policy.

Prior period adjustment

The comparative figures for the year ended 31 October 2024 have been restated to correct errors in the financial statements previously approved. Amounts received in advance from customers for credits not yet used had been recognised as turnover on receipt rather than as the services were delivered; the cost of contractor services delivered in October 2024 but invoiced and paid in November 2024 had not been accrued; certain costs paid in advance had not been treated as prepayments; and one customer invoice had been included in turnover and trade debtors twice. The effect on the year ended 31 October 2024 is to reduce turnover by £108,805, increase administrative expenses by £91,762, and reduce profit before tax by £200,566 from £207,466 to £6,900. The tax charge of £32,764 previously reported has been replaced by a charge of £4,884, comprising tax payable under section 455 CTA 2010 on a loan to a director of £1,049 and deferred tax of £3,835, being a liability of £18,354 on accelerated capital allowances (of which £934 arose in the previous period and had not been provided) less an asset of £14,519 on the trading loss now available for carry forward; the corporation tax paid for the year is recoverable and is shown within debtors at 31 October 2025. Profit after tax for the year ended 31 October 2024 is reduced by £172,686 to £2,016 and net assets at 31 October 2024 by the same amount, from £223,647 to £50,961. The profit and loss reserve at 1 November 2023 is unchanged. The profit and loss reserve at 1 November 2024 of £223,547 as previously reported is reduced by the prior period adjustment of £172,686 to £50,861 as restated; the loss for the year of £5,341 and dividends of £26,260 bring the reserve to £19,260 at 31 October 2025.
10.

Directors' advances, credits and guarantees

Dr Valeed Ghafoor: balance owed to the company at 1 November 2024 £3,107; advances during the year £13,180; amounts credited (use of home) £624; balance at 31 October 2025 £15,663 (2024: £3,107); maximum balance during the year £16,287. The loan is unsecured, interest free and repayable on demand. The balance was not repaid within nine months of the year end and tax under section 455 CTA 2010 of £4,238 (2024: £1,049) is included in creditors.
11.

During the year the company wrote off a loan of £15,550 (2024: balance £15,550) due from Future Doctors Academy Ltd, a company of which Dr Valeed Ghafoor was a director and 25 to 50% shareholder, following its dissolution on 20 May 2025.

The Brooke Surgery, a GP practice of which Dr Valeed Ghafoor is a principal, is a customer of the company. Turnover from The Brooke Surgery in the year was £157,592 (2024: £150,001), on the company's standard terms. 13.

Hire purchase

The hire purchase obligation of £26,975 is secured on the BYD Seal motor vehicle and is repayable by 48 monthly instalments of £343.49 to September 2028 followed by a final payment of £17,302.50.
14.

Taxation

The tax under section 455 CTA 2010 is repayable to the company if and when the loan to the director is repaid, released or written off; no asset has been recognised because no repayment had been made at the date these financial statements were approved.
15.

Deferred tax and corporation tax recoverable

The provision for deferred tax of £9,960 (2024: £3,835) comprises accelerated capital allowances of £9,960 (2024: £18,354) less tax losses of £nil (2024: £14,519). The asset on losses was released in the year as the losses were used against the profits of the year. Deferred tax is measured at 19%, the small profits rate enacted and expected to apply when the timing differences reverse (2024: 25%); the effect of the change in rate, a credit of £3,145, is included in the deferred tax charge for the year. Corporation tax recoverable within debtors £32,764 (2024: nil), being the tax paid for the year ended 31 October 2024 that is repayable following the amendment of that return.
16.

Financial commitments

At 31 October 2025 the company had total future minimum payments under a non-cancellable contract hire agreement for a motor vehicle of £36,090 (2024: £65,497), not provided in the financial statements. The agreement runs for 36 months from January 2025 at £1,336.67 a month, with 27 payments outstanding at 31 October 2025.
17.
