2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
These consolidated financial statements have been prepared in accordance with applicable law and United
Kingdom Accounting Standards, including Financial Reporting Standard 102 — The Financial Reporting
Standard applicable in the UK and Republic Of Ireland ("FRS 102"). The accounts have been prepared
under the historical cost convention, except for the revaluation Of certain properties as described below.
The Group qualifies as a small group in the prior period; the directors have voluntarily included disclosures
based on the recognition and measurement principles of FRS 102 Section IA where appropriate. The
financial statements are presented in pounds sterling (f).
Basis Of consolidation: The consolidated financial statements include the financial statements Of the
Company and its subsidiary undertaking made up to 3 1 January 2026. Intra-group balances and transactions
are eliminated on consolidation. The acquisition of the subsidiary has been accounted for under the
acquisition method. Upon acquisition, the subsidiary's identifiable assets and liabilities were included in
the consolidated accounts at their fair values. The excess ofthe cost of acquisition over the fair value ofthe
identifiable net assets acquired was recognized as goodwill (see Intangible assets policy below). No
separate profit and loss account is presented for the Company, as permitted by s408 of the Companies Act 2006
2.2. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Sale of goods
Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer. This is usually at the point that the customer has signed for the delivery of the goods.
Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.
2.3. Intangible Fixed Assets and Amortisation - Goodwill
Goodwill arises on consolidation and is stated at cost less accumulated amortisation and any provision for
impairment. Goodwill is amortised on a straight-line basis over its estimated useful life. The directors have
determined a useful life Of IO years for the goodwill arising on acquisition Of the subsidiary. This period
reflects the expected period over which economic benefits will arise from the acquired business
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
