3 Accounting policies

Basis of preparation

The
financial statements
have been prepared on the historical cost basis, as modified by the revaluation of certain assets.
The
financial statements
are prepared in sterling, which is the functional currency of the company.

Transition to FRS 102 and restatement of comparative figures

These are the company’s first financial statements prepared under FRS 102 Section 1A. The previous financial statements were prepared under the FRS 105 micro-entity provisions. The date of transition was 1 February 2024.
Under FRS 102, investment property is measured at fair value, with subsequent changes recognised in profit or loss. Related deferred tax is also recognised.
The previously reported figures included property valuation movements and deferred tax posted directly to reserves, despite the accounts having been prepared under the micro-entity provisions. The comparative figures have been revised to reflect the reassessed property valuation and to recognise the annual fair value movement and related deferred tax through profit or loss. The deferred tax liability has also been reclassified from debtors to provisions for liabilities.
Reconciliation of equity at 31 January 2025
Equity as previously reported was £42,621. The investment property valuation was reduced by £31,643 and the related deferred tax liability was reduced by £6,010. Equity as restated was therefore £16,988.
Reconciliation of loss for the year ended 31 January 2025
The loss as previously reported was £1,737. An investment property fair value loss of £452 and a related deferred tax credit of £86 were recognised through profit or loss. The restated loss was therefore £2,103. The reclassification of deferred tax from debtors to provisions for liabilities has no effect on total equity.
Opening equity reconciliation at 1 February 2024
Equity as previously reported was £30,353. A whole-pound presentation difference of £1.05 reconciles this to opening equity per the accounting records of £30,354.05. The investment property valuation was reduced by £13,901.67 and the related deferred tax liability was reduced by £2,639.27. Restated opening equity was therefore £19,091.65.

Tangible assets

Investment property is held to earn rental income or for capital appreciation and is initially recognised at cost, including directly attributable acquisition costs. It is subsequently measured at fair value at each reporting date, with changes in fair value recognised in profit or loss. No depreciation is charged on investment property measured at fair value.
Other tangible fixed assets are initially recognised at cost and subsequently measured at cost less accumulated depreciation and impairment losses. Depreciation is charged to profit or loss to allocate the depreciable amount of each asset over its estimated useful life.
Depreciation is provided on a straight-line basis at the following annual rates:
Office equipment — 33%
Fixtures and fittings — 20%

Impairment

A review for indicators of impairment is carried out at each reporting date, with the recoverable amount being estimated where such indicators exist. Where the carrying value exceeds the recoverable amount, the asset is impaired accordingly. Prior impairments are also reviewed for possible reversal at each reporting date.

Financial instruments

A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument.
Basic financial instruments are initially recognised at the transaction price and are subsequently measured as follows: Debt instruments are subsequently measured at amortised cost and commitments to receive a loan and to make a loan to another entity are subsequently measured at amortised cost. Where investments in non-convertible preference shares and non-puttable ordinary shares or preference shares are publicly traded or their fair value can otherwise be measured reliably, the investment is subsequently measured at fair value with changes in fair value recognised in profit or loss. All other such investments are subsequently measured at cost less impairment.
All other financial instruments, including derivatives, are initially recognised at fair value, which is normally the transaction price and are subsequently measured at fair value, with any changes recognised in profit or loss.
Financial assets that are measured at cost or amortised cost are reviewed for objective evidence of impairment at the end of each reporting date. If there is objective evidence of impairment, an impairment loss is recognised in profit or loss immediately.
All equity instruments regardless of significance, and other financial assets that are individually significant, are assessed individually for impairment. Other financial assets or either assessed individually or grouped on the basis of similar credit risk characteristics.
Any reversals of impairment are recognised in profit or loss immediately, to the extent that the reversal does not result in a carrying amount of the financial asset that exceeds what the carrying amount would have been had the impairment not previously been recognised.

Deferred tax

Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the reporting date. Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is more likely than not that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Deferred tax is measured on an undiscounted basis at the tax rates that would apply in the periods in which timing differences are expected to reverse, based on tax rates and laws enacted at the statement of financial position date.

Provisions for liabilities

Provisions are recognised when the entity has an obligation at the reporting date as a result of a past event; it is probable that the entity will be required to transfer economic benefits in settlement and the amount of the obligation can be estimated reliably. Provisions are recognised as a liability in the statement of financial position and the amount of the provision as an expense.
Provisions are initially measured at the best estimate of the amount required to settle the obligation at the reporting date and subsequently reviewed at each reporting date and adjusted to reflect the current best estimate of the amount that would be required to settle the obligation. Any adjustments to the amounts previously recognised are recognised in profit or loss unless the provision was originally recognised as part of the cost of an asset. When a provision is measured at the present value of the amount expected to be required to settle the obligation, the unwinding of the discount is recognised in finance costs in profit or loss in the period it arises.

4 Average number of employees
