STRATEGIC REPORT
FOR THE YEAR ENDED 31 MARCH 2026
The directors present their strategic report for the year ended 31 March 2026.
REVIEW OF BUSINESS
The year has represented an important period of development for the Company, both strategically and structurally. During the year, a management buyout was completed, resulting in full ownership and control transferring to the existing management team. This provides continuity of leadership whilst giving the directors greater autonomy over the Company's future strategic direction and reinforces our long-term commitment to the business.
Turnover for the year was £11,582,412 compared with £14,340,818 in the previous year. The reduction principally reflects the continuing evolution of the Company's revenue mix, with an increased focus on services and value led customer engagements alongside the continued supply of hardware and software. Hardware transactions can carry significant revenue values and consequently changes in the mix of business can materially affect reported turnover. The directors remain focused on sustainable profitability and long term customer value rather than turnover growth in isolation.
The Company continues to operate across both commercial and public sector markets, providing a diversified customer base and reducing reliance on any single sector. Our services portfolio continues to develop as customers increasingly look to Trustco for consultancy, technical expertise and ongoing support alongside technology procurement. Our long-standing customer relationships and broad technology experience allow us to act as a trusted adviser, helping customers navigate an increasingly complex technology landscape.
Rapid developments in artificial intelligence, cloud, cyber security and modern infrastructure continue to create both opportunity and disruption within the IT market. Trustco's broad portfolio of technology partners and independent approach allows us to consider multiple technologies, architectures and procurement routes to achieve customer objectives whilst balancing performance, availability, cost and risk.
The Company continues to invest in its operational standards and governance, maintaining ISO 9001 and ISO 14001 certification together with Cyber Essentials Plus, reflecting our commitment to quality management, environmental responsibility and cyber security.
Looking ahead, the directors remain positive about the Company's future. Following the management buyout, our continued development of services, established customer relationships and diverse public and commercial customer base provide a strong platform for sustainable growth.
The company's key financial and other performance indicators during the year were as follows:
| Financial KPIs | Unit | 2026 | 2025 |
| Turnover | £ | 11,582,412 | 14,340,818 |
| Gross Profit | £ | 971,143 | 1,214,852 |

STRATEGIC REPORT
FOR THE YEAR ENDED 31 MARCH 2026
PRINCIPAL RISKS AND UNCERTAINTIES
The directors recognise that the Company operates within a rapidly changing global technology market and continually considers the principal risks that could affect its operations and future performance.
Geopolitical and economic uncertainty continues to present risk to the technology market. International conflict, trade disruption and volatility in global economic conditions can affect technology pricing, product availability and customer investment. The Company seeks to mitigate these risks through its diversified customer base and maintaining flexibility across its technology and supplier portfolio.
Technology supply chain pressures remain an important consideration. Rapid growth in artificial intelligence infrastructure and associated demand for components, together with wider global supply-chain pressures, can affect product availability and pricing. Trustco maintains relationships across a broad range of manufacturers and distribution partners, enabling alternative technologies and procurement routes to be considered where appropriate.
Cyber security remains a significant risk both to the Company and its customers. The increasing sophistication of cyber threats requires businesses to continually review their security posture. Trustco maintains robust internal controls and documented procedures, supported by Cyber Essentials Plus. The Company also recognises cyber risk within the wider technology supply chain and continues to assess its supplier relationships to reduce third-party exposure where reasonably possible.
Rapid technological change presents both opportunity and risk. Developments across artificial intelligence, cloud, cyber security and infrastructure continue to change customer requirements. The Company seeks to mitigate this through continued investment in technical knowledge and maintaining relationships across a broad range of technology partners.
The availability of skilled resources also remains a challenge across the technology industry. Trustco continues to invest in its people and partner relationships and, where appropriate, supplements internal capability with trusted specialist resources.
The directors believe that the Company's established customer relationships, diversified customer base, broad technology portfolio and continued focus on services provide resilience against these risks and position the Company well to adapt to changing market conditions.

RESEARCH AND DEVELOPMENT
Technological advancements, such as artificial intelligence, machine learning, and the Internet of Things, continue to reshape industries and create exciting opportunities. Our company is committed to staying at the forefront of these advancements, leveraging our expertise and experience to deliver innovative solutions that drive efficiency and business growth.
We continue to investigate and seek research and development opportunities that will provide Trustco with competitive advantages into the future.
FUTURE DEVELOPMENTS
Looking ahead to the coming year, we remain cautiously optimistic about the future of the UK IT market but feel that a slowdown may occur, especially in the NHS and Government sectors due to the unrest in parliament and a decreasing appetite to public spending. We believe that the UK commercial sector will continue on a trajectory of acquisitions and consolidation, which may moderate how organisations invests and consumes technology as those organisations reshape and restructure.
While we also anticipate potential hurdles, including regulatory changes and shifting economic landscapes. We recognise the importance of adaptability and agility in navigating these challenges and have built a resilient business model that can weather such storms.

ON BEHALF OF THE BOARD:
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
TRUSTCO PLC
Opinion
We have audited the financial statements of Trustco PLC (the 'company') for the year ended 31 March 2026 which comprise the Statement of Comprehensive Income, Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and Notes to the Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
| - | give a true and fair view of the state of the company's affairs as at 31 March 2026 and of its profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Other information
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon.
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
| - | the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
| - | the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements. |
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
TRUSTCO PLC
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors.
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
| - | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |
| - | the financial statements are not in agreement with the accounting records and returns; or |
| - | certain disclosures of directors' remuneration specified by law are not made; or |
| - | we have not received all the information and explanations we require for our audit. |
Responsibilities of directors
As explained more fully in the Directors' Responsibilities Statement set out on page four, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
TRUSTCO PLC
Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
Prior to engagement the following audit procedures are considered:
- Identification of laws and regulations being significant in the context of the entity;
- Understanding the entity's current activities, the scope of its authorisation and the effectiveness of its control
environment where the entity is a regulated entity;
- Determining any key audit matters that require further explanation;
Audit procedures performed by the engagement team to detect irregularities, including fraud from instances
of non-compliance with laws and regulations included:
- Discussions with management, including consideration of known or suspected instances of non-compliance
with laws and regulations and fraud;
- Reading key correspondence from regulatory bodies;
- Challenging assumptions and judgements made by management in it's significant accounting estimates that
involved making assumptions and considering future events that are inherently uncertain. We focused on the
valuation of provisions against debtors, and the assessment of impairment of intangible and tangible assets,
as well as any other estimates and provisions within the accounts;
- Consideration of recent correspondence with the companies legal advisors to ensure that it aligned with the
conclusions drawn on obligations recognised in respect of uncertain legal matters;
- Identifying and testing journal entries, in particular any journal entries posted with unusual account
combinations or those posted by unexpected users;
- Reviewing relevant meeting minutes including those of the board of directors
- Testing transactions entered into that are outside of the normal course of the Company's business
We identified areas of laws and regulations that could reasonably be expected to have a material effect on
the financial statements from our general commercial and sector experience, through discussion with the
directors and other management (as required by auditing standards), and from inspection of the group's
regulatory and legal correspondence and discussed with the directors and other management the policies and
procedures regarding compliance with laws and regulations. We communicated identified laws and
regulations throughout our audit team and remained alert to any indications of non-compliance throughout the
audit.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
TRUSTCO PLC
Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.
