| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
Going concern
The financial statements showed a loss for the year £56,272 and shareholders fund of £452,413 in deficit at the balance sheet date.
Having considered the company's post year end trading performance, cash resources and budget, together with the operational and financial measures available to management to mitigate these risks, we are satisfied that the company will be able to meet its liabilities as they fall due for a period of at least twelve months from the date of approval of the financial statements. In addition, the ultimate parent company has confirmed its intention to continue providing financial support to the company on an unchanged basis, where necessary, including the continued provision of seasonal working capital funding under the existing intercompany loan facility. Based on the historical support provided and the ultimate parent company's continued assurance, the management confirmed that such support will remain available for at least twelve months from the date of the audit report. Therefore, we consider it is appropriate to prepare the financial statements using the going concern basis.
Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.
Turnover
Turnover represents the fair value of consideration received or receivable for goods supplied to customers in the ordinary course of business, net of value added tax, returns, trade discounts and other sales-related allowances.
Revenue from the sale of goods is recognised when the significant risks and rewards of ownership have transferred to the customer, the company retains neither continuing managerial involvement nor effective control over the goods sold, the amount of revenue and associated costs can be measured reliably, and it is probable that the economic benefits associated with the transaction will flow to the company.
For retail sales, revenue is normally recognised at the point of sale. For online and mail-order sales, revenue is recognised when the significant risks and rewards of ownership have transferred to the customer in accordance with the applicable terms of sale.
Amounts received from customers in respect of gift vouchers and gift cards are initially recognised as a liability and recognised as revenue when the voucher or gift card is redeemed. Amounts relating to unredeemed vouchers and gift cards are recognised as revenue when the company's obligation expires or when redemption is considered remote, as appropriate.
Intangible assets
Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.
FARLOWS LIMITED (REGISTERED NUMBER: 03549429)
NOTES TO THE FINANCIAL STATEMENTS - continued
FOR THE YEAR ENDED 31 JANUARY 2026
| 2. | ACCOUNTING POLICIES - continued |
Tangible fixed assets
Tangible fixed assets are initially measured at cost.
Freehold land and buildings are subsequently measured at revalued amount, being fair value at the date of revaluation less subsequent accumulated depreciation and impairment losses. Revaluations are undertaken with sufficient regularity to ensure that the carrying amount does not differ materially from that which would be determined using fair value at the reporting date.
Other tangible fixed assets are subsequently measured at cost less accumulated depreciation and accumulated impairment losses.
The cost of tangible fixed assets includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to operate as intended.
Depreciation is charged so as to allocate the depreciable amount of an asset, being its cost or valuation less its residual value, over its estimated useful economic life on a systematic basis.
The principal annual depreciation rates/periods are:
| Freehold land | - | not depreciated |
| Freehold property | - | 50 years |
| Improvements to property | - | 10 years |
| Fixtures and fittings | - | 3 to 5 years |
| Computer equipment | - | 3 to 5 years |
The residual values and useful economic lives of tangible fixed assets are reviewed if there is an indication of a significant change since the previous reporting date.
At each reporting date, the company considers whether there are indicators that a tangible fixed asset may be impaired. Where such indicators exist, the recoverable amount of the asset is estimated and any impairment loss recognised in accordance with FRS 102.
Revaluation gains are recognised in other comprehensive income and accumulated in the revaluation reserve, except to the extent that they reverse a previous revaluation decrease in respect of the same asset that was recognised in profit or loss. Revaluation losses are recognised in other comprehensive income to the extent of any previously recognised revaluation surplus relating to that asset, with any excess recognised in profit or loss.
Stocks
Stocks are valued at the lower of cost and estimated selling price less costs to complete and sell, after making due allowance for obsolete and slow moving items.
Cost is determined using the weighted average cost method. This method calculates the cost of inventories based on the average cost of similar items at the beginning of the period and those purchased or produced during the period. The weighted average is recalculated after each purchase.
Cost comprises all costs of purchase, costs of conversion and other costs incurred in bringing the inventories to their present location and condition. Costs of purchase include purchase price, import duties, transport and handling costs, and other directly attributable costs, net of trade discounts, rebates and similar items.
Net realisable value is the estimated selling price in the ordinary course of business less the estimated costs of completion and the estimated costs necessary to make the sale.
Provision is made for obsolete, slow-moving or defective inventory where appropriate.

| 2. | ACCOUNTING POLICIES - continued |
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Foreign currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.
Hire purchase and leasing commitments
Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter.
The interest element of these obligations is charged to profit or loss over the relevant period. The capital element of the future payments is treated as a liability.
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs
From 1 April 2015, under the Pensions Act 2008, the company must put certain staff into a pension scheme and contribute towards it. This is called automatic enrolment. To comply with automatic enrolment laws, the company signed a participation agreement with a pension provider by which staff become members of an independently administered pension plan. The company and staff make contributions as specified in the plan.
For those staff members not enrolled in the above scheme the company makes contributions into their personal pension schemes.
The company has no liability under the aforementioned schemes other than for the payment of those contributions.
At the balance sheet, contributions outstanding amounted to £6,769 (2025: £6,927).
