1. General Information

Delta Technology Group Limited is a private company, limited by shares, incorporated in England & Wales, registered number 04828012 . The registered office is Newby Road Industrial Estate, Hazel Grove, Stockport, Cheshire, SK7 5DR.

2. Accounting Policies

2.1. Basis of Preparation of Financial Statements

The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.

2.2. Tangible Fixed Assets and Depreciation

Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.3. Investment Properties

All investment properties are carried at fair value determined annually and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided for. Changes in fair value are recognised in the profit and loss account.

2.4. Taxation

Income tax expense represents the sum of the tax currently payable and deferred tax.

The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.

Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.

Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.

Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.

The company's owner-occupied property was revalued on 01 April 2026 to £4,550,000 based on an external, independent valuation carried out by Greenham Commercial Limited, who is a chartered surveyor holding a recognised and relevant professional qualification and possessing recent experience in the location and class of the property being valued.

Following the valuation, a component of the property with a fair value of £1,150,000 met the definition of an investment property and was transferred from tangible fixed assets to investment property. The remaining owner-occupied component is retained within property, plant and equipment at a revalued carrying amount of £3,400,000.

Had the owner-occupied asset been measured using the cost model, its net historical carrying amount at the reporting date would have been £947,408.

Included in Land & Property Freehold is land valued at £1,308,381, which is not depreciated.

12. Related Party Transactions

Northern Marine Power Limited

Subsidiary company

During the year, the company made recharges of £1,165 (PY £1,565) to Northern Marine Power Limited and received recharges of £2,758 (PY £27,053). Delta Technology Group Limited transferred monies of £nil (PY £70,000) and paid £nil (PY £341,260) to the Northern Marine Power Limited to repay inter-company loans. Northern Marine Power Limited paid monies amounting to £2,200 (PY £nil) to Delta Technology Group Limited and repaid £43,011 (PY £nil) to repay inter-company loans. The balance owed to Delta Technology Group Limited at the year-end is £838,287 (PY £799,068).

Northern Aqua Power (Manchester) Limited

Subsidiary company

During the year, Delta Technology Group Limited paid for expenses amounting to £nil (PY £nil) and repaid inter-company loans to associates of Northern Aqua Power (Manchester) Limited amounting to £755 (PY £6,755). The balance owing at the year-end is £229,524 (PY £230,278).

Northern Sea Power Limited

Subsidiary company

During the year, sales were collected by Northern Sea Power Limited on behalf of Delta Technology Group Limited of £98,000 (PY £64,167) and expenses of £5,655 (PY £11,982) were paid by Northern Sea Power Limited for Delta Technology Group Limited. Delta Technology Group Limited was repaid £4,900 (PY £20,000) for inter-company loans and further monies were paid to the associates of Northern Sea Power Limited amounting to £43,766 (PY paid by associates £347,655). The balance owed by Delta Technology Group Limited at the year-end was £400,592 (PY £444,272).

The loans are interest free with no fixed plans for repayment.

Delta Technology Group Limited allows its subsidiaries to trade from the property it owns, free from rent.

13. Ultimate Controlling Party

The company's ultimate controlling party is Mr C Dyas by virtue of his control of 100% of the issued share capital in the company.
