7.

HIVE-UP OF TRADE AND ASSETS

During the prior financial year, the company transferred its trade, assets, and certain liabilities to Tri-tech Engineering Limited as part of a group restructuring.

The transfer was effected on 1 February 2024, was conducted at book value and did not result in a gain or loss in the Company’s financial statements. Following the hive-up, the company ceased trading but remains active at the year-end, holding intercompany balances, cash and cash equivalents, share capital, and retained earnings.

The company has continued to operate its own bank account and retains control over the associated cash balances. As a result, these balances are recognised as cash and cash equivalents within the company's balance sheet rather than being included within intercompany receivables.

The company continues to be part of the Stanford Marsh Group and is subject to group audit requirements.

8.

RELATED PARTY TRANSACTIONS

The company has taken the exemption under FRS 102 33.1A from disclosing transactions with wholly owned group companies.

9.
