Strategic Report
For the Year Ended 31 October 2025
Business overview and strategic direction
Eye Safe Ltd, trading as Vert, has continued to develop its position as a technology-led ground transportation and mobility services business. Its established commercial relationships, operational expertise and commitment to service quality are complemented by VertOS (Vert Operating System), the company’s proprietary technology platform. Together, these capabilities provide a strong foundation for growth in software-enabled mobility services and the development of a connected, international operating ecosystem.
Performance and financial resilience
The company delivered positive underlying operating earnings during the year, with management reporting earnings before interest, tax, depreciation and amortisation (EBITDA) of £152,190. The directors consider this a positive indicator of the resilience of the established business and a platform for further investment in proprietary technology. The statutory results and financial position are set out in the accompanying financial statements. EBITDA is an alternative performance measure and is not a substitute for statutory profit.
VertOS: building a scalable subscription business
VertOS has been developed as an integrated operating environment for booking management, dispatch, business administration, compliance, customer interfaces, reporting, payments and related workflows. The software proposition is structured around tiered Software-as-a-Service (SaaS) subscriptions—Core, Control, Growth and bespoke Enterprise—with opportunities for usage-based and additional service revenue. This model establishes a defined route to diversified, recurring software income as adoption grows. The directors see meaningful long-term potential in the scalability of the platform and the opportunity to increase the contribution from software and connected services.

1. General Information - continued
The company continues to develop VertOS as a core proprietary intellectual property asset. Its technology programme includes customer-facing artificial intelligence, automation of operational and administrative workflows, and server-side connectivity using Model Context Protocol (MCP). These developments are intended to improve user experience, support operational efficiency and make the platform easier to connect with customers and commercial partners. The directors believe continued innovation can support wider adoption and additional opportunities for technology-related revenue.
Platform connectivity and international growth
The directors’ longer-term strategy is to establish VertOS as an orchestration layer linking transport demand, independently operated service providers, technology systems and payment workflows. Broader software adoption and commercial integrations offer opportunities to extend geographic coverage, deepen network connectivity and develop subscription and transaction-related revenue streams. International partner networks provide a potentially valuable route to market, although the size of a partner network does not itself represent committed business or revenue for the company.
Safety, sustainability and recognition
Safety, service quality and environmental responsibility remain central to the Vert proposition. The company continues to promote lower-emission mobility and support environmental initiatives including tree planting and kelp restoration. Its environmental work has received recognition through the QSi Awards. Following the year-end, management reported cumulative measures of approximately 268 metric tonnes of CO₂ emissions avoided and 2,300 trees planted; these cumulative measures should not be interpreted as outcomes arising solely within the financial year ended 31 October 2025.
Post-year-end developments and commercial outlook
Following the year-end, commercial and technical activity has strengthened the company’s plans for wider VertOS adoption. This includes opportunities associated with GNet’s network of more than 6,000 partners and HQ Extend’s coverage across six continents, alongside discussions and integration work involving CMAC, Blacklane, SIXT, Jyrney and HQ Connect. The company is also progressing its subscription offering for third-party operators in domestic and international markets. These developments relate to 2026, are at differing stages of commercial maturity, and should not be read as contracts, customers or revenue established at 31 October 2025.
Investment priorities and future prospects
The directors believe the combination of established operating earnings, proprietary software, a defined SaaS subscription model and an expanding network of prospective commercial partners positions Vert positively for its next stage of development. Priorities include growing domestic and international software subscriptions, expanding connectivity with demand and service networks, advancing AI-enabled capabilities and strengthening payment and operational infrastructure. The company is exploring strategic investment and collaboration opportunities intended to accelerate this development. Its objective is to build a geographically diversified business with an increasing proportion of recurring technology revenue, while maintaining service quality and financial discipline.
Principal risks and uncertainties
The principal uncertainties relate to changes in market demand, working capital and payment timing, regulatory requirements, information security and adoption of new technology. The directors seek to manage these through financial oversight, established compliance processes, appropriate controls and phased investment in platform development and expansion.
