DIRECTOR'S REPORT
FOR THE YEAR ENDED 31 JANUARY 2026
- 1 -

The director presents his annual report and financial statements for the year ended 31 January 2026.

Principal activities

The principal activity of the company continued to be the manufacture and sale of petrol pump accessories.

Director

The director who held office during the year and up to the date of signature of the financial statements was as follows:

Mr O J Yeo
Director summary of results

The 2025–2026 financial year remained loss-making for this subsidiary, reflecting continued investment in product development and increased operating costs against a backdrop of ongoing global economic uncertainty. Nevertheless, the directors remain positive about the Company's longer-term prospects, supported by significant developments in the regulatory, commercial and technological environment in which GripHero operates.

During the financial year, increasing international recognition of the health risks associated with exposure to vehicle fuels has reinforced the importance of the Company's specialist safety solutions. In particular, the International Agency for Research on Cancer (IARC) classified automotive gasoline as carcinogenic to humans (Group 1) in 2025, representing a significant development in the understanding of the health risks associated with petrol exposure.

These developments have strengthened the relevance of GripHero's integrated approach to chemical hazard communication and purpose-designed personal protective equipment (PPE), addressing the specific circumstances of routine vehicle refuelling.

The Company has continued to invest in the development and improvement of its PPE and dispensing systems, enhancing their performance, functionality and environmental credentials. These developments further differentiate GripHero's offering through its combination of chemical resistance, electrostatic safety, convenience and substantially reduced material consumption and waste compared with conventional disposable alternatives.

The directors also recognise significant commercial opportunities arising from the application of existing health and safety legislation to vehicle refuelling undertaken as part of work. This extends the Company's potential market beyond traditional fuel retailers to include commercial fleets, transport operators and other organisations whose employees routinely refuel vehicles in the course of their employment.

Since the financial year-end, further extensive engagement with regulatory and enforcement authorities, supported by technical research and investigations into industry compliance practices, has strengthened the directors' confidence in the commercial relevance of GripHero's solutions and highlighted opportunities arising from the need for more comprehensive consideration of chemical exposure during routine refuelling.

Alongside these developments, GripHero continues to offer fuel retailers operational and commercial benefits, including improved customer convenience, cleaner hands and reduced barriers to purchases of food, beverages and other convenience products following refuelling.

The Company's established customer base across domestic and international markets, together with opportunities for further expansion within existing fuel retail networks and continued development of new markets, provides a valuable platform for future commercial growth.

Although the financial year resulted in a further loss, the directors consider that continued investment in product innovation, regulatory engagement and market development has strengthened the Company's competitive position and foundations for future growth. The Company remains focused on translating these developments into increased adoption across its domestic and international markets, while carefully managing operating expenditure and pursuing a return to profitability seen in prior years.
